2. SCOPE OF SERVICES

3. TERM & TERMINATION

The parties acknowledge that the Contractor is an independent contractor and not an employee, partner, or joint venturer of the Company. The Contractor is not eligible for employee benefits, including but not limited to, PF, ESI, or gratuity.

6. INTELLECTUAL PROPERTY (IP)

All work product, deliverables, code, or materials created by the Contractor during the term of this Agreement shall be deemed "work made for hire." All right, title, and interest in such IP shall vest exclusively with the Company upon payment.

7. CONFIDENTIALITY

Contractor agrees to maintain strict confidentiality regarding any proprietary business information, trade secrets, or client data disclosed during the term of this Agreement. This obligation survives for [__________] years post-termination.

8. GOVERNING LAW & DISPUTE RESOLUTION

• Jurisdiction: This Agreement shall be governed by the laws of India.
