2. PARTIES & RECITALS

THIS PROMISSORY NOTE (the "Note") is made and entered into as of [Effective Date] (the "Effective Date"), by and between:

NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, the receipt and sufficiency of which are hereby acknowledged, the Maker unconditionally promises to pay to the order of the Holder the Principal Sum, together with interest and all other charges, in strict accordance with the terms of this Note.

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Principal Sum and Interest Rate

1.1 Principal Amount. For value received, the Maker promises to pay to the order of the Holder the principal sum of [Amount in USD] ($[Numeric Amount]), together with interest thereon calculated in accordance with this Section 1. 1.2 Interest Rate. The unpaid principal balance of this Note shall bear interest at a fixed rate of [Interest Rate, e.g., 5.5]% per annum (the "Interest Rate"), calculated on the basis of a 360-day year consisting of twelve 30-day months. Interest shall begin to accrue on the Effective Date and shall continue to accrue until the Principal Sum and all accrued, unpaid interest are paid in full. 1.3 Post-Default Interest. Upon the occurrence of an Event of Default (as defined herein), and regardless of whether the Holder accelerates the maturity of this Note, the unpaid principal balance and, to the extent permitted by applicable law, any overdue interest, shall bear interest at the maximum rate permitted by applicable law (the "Default Rate").

Section 2. Repayment Terms and Amortization

2.1 Repayment Schedule. The Maker shall repay the principal and accrued interest of this Note in [Number of Installments] consecutive monthly installments of [Monthly Installment Amount in USD] ($[Numeric Amount]), commencing on [First Payment Due Date], and continuing on the same day of each successive month thereafter until [Final Maturity Date] (the "Maturity Date"), at which time the entire remaining indebtedness, including all principal and accrued interest, shall be due and payable in full. 2.2 Application of Payments. Each payment made by the Maker under this Note shall be applied first to any late charges, collection costs, and administrative fees then due; second to accrued and unpaid interest; and third to the reduction of the principal balance. 2.3 Method of Payment. All payments due under this Note shall be made in lawful money of the United States of America via electronic funds transfer (ACH), wire transfer, or check payable to the order of the Holder at [Holder Payment Address or Electronic Portal Instructions], or at such other place as the Holder may designate in writing to the Maker.

Section 3. Prepayment Privileges

3.1 Right to Prepay. The Maker reserves the right to prepay the principal amount of this Note, in whole or in part, at any time without penalty. 3.2 Effect of Prepayment. Any partial prepayment shall not postpone the due date of any subsequent monthly installment, nor change the amount of such installments, unless the Holder expressly agrees in writing to such modification. All prepayments shall be applied directly to the principal balance outstanding.

Section 4. Default, Acceleration, and Remedies

4.1 Events of Default. The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note: (a) Failure to Pay: The Maker fails to pay any principal, interest, or other sum due under this Note within [Number of Grace Period Days, e.g., 10] calendar days of its scheduled due date; (b) Breach of Covenants: The Maker fails to observe or perform any other covenant, condition, or agreement contained in this Note or any contemporaneous agreement relating to the educational enrollment or financial aid; (c) Insolvency or Bankruptcy: The Maker files a petition in bankruptcy, seeks relief under any insolvency law, makes an assignment for the benefit of creditors, or has an involuntary bankruptcy petition filed against them; (d) Misrepresentation: Any representation, warranty, or financial statement furnished by or on behalf of the Maker to the Holder proves to have been materially false or misleading when made. 4.2 Acceleration. Upon the occurrence of an Event of Default, and at any time thereafter while such default continues, the Holder may, at its sole option and without notice or demand (demand, protest, and notice of dishonor being hereby expressly waived by the Maker), declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable. 4.3 Late Charges and Collection Costs. If any payment is not received within [Number of Days] days of its due date, the Maker shall pay a late charge of [Late Fee Amount, e.g., $50 or 5% of the overdue payment]. Furthermore, if this Note is placed in the hands of an attorney for collection, or if suit is instituted, or if collection is enforced through any judicial proceeding, the Maker promises to pay all reasonable costs of collection, including, without limitation, reasonable attorneys' fees, court costs, and related administrative expenses.

Section 5. Representations and Warranties of the Maker

5.1 Capacity and Authority. The Maker represents and warrants that they possess full legal capacity, power, and authority to enter into, execute, and deliver this Note and to perform all obligations arising hereunder. 5.2 Binding Obligation. Section 6. Waivers and Consents

6.1 Waiver of Presentment. The Maker, and any endorsers, sureties, and guarantors hereof, jointly and severally waive presentment, demand, protest, notice of dishonor, notice of intent to accelerate, notice of acceleration, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note. 6.2 No Waiver by Holder. No failure or delay on the part of the Holder in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

Section 7. Governing Law and Jurisdiction

7.1 Governing Law. This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Governing Jurisdiction State], without regard to its conflict of laws principles. 7.2 Consent to Jurisdiction. The Maker irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County, State], for any action, suit, or proceeding arising out of or relating to this Note. The Maker waives any objection to the laying of venue of any such litigation in said courts and agrees not to plead or claim in any such court that such litigation has been brought in an inconvenient forum.

8.1 Severability. If any provision of this Note is held to be invalid, illegal, or unenforceable by any court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Note, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. 8.2 Entire Agreement. This Note constitutes the final, complete, and exclusive statement of the agreement between the Maker and the Holder with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, negotiations, and discussions, whether oral or written. 8.3 Amendments and Modifications.
