INSTRUCTIONS FOR USE

• Completion: Both the Client and the Freelance 3D Artist must fill out all bracketed fields and initial every page to ensure enforceability.
• Attachments: Mandatory attachments include "Exhibit A: Statement of Work (SOW)" detailing technical specs, poly-counts, and engine requirements.
• Retention: Maintain a fully executed digital or hard copy of this agreement for a minimum of seven (7) years following project completion for audit and tax compliance.

4. INTELLECTUAL PROPERTY (IP)

• Artist Portfolio: Artist retains a limited, non-exclusive right to display non-confidential deliverables in their professional portfolio unless otherwise specified in Exhibit A.

5. CONFIDENTIALITY

The Artist agrees to maintain the strict confidentiality of all project assets, scripts, and trade secrets provided by the Client. This obligation survives the termination of this Agreement for a period of [____] years.

6. REPRESENTATIONS & WARRANTIES

The Artist warrants that:

1. The work is original and does not infringe upon the rights of any third party.
2. The Artist has the full legal authority to enter into this Agreement.

7. TERMINATION
