2.1. Governance and Board Composition
(a) The Shareholders agree to vote all Shares owned or controlled by them, at any annual or special meeting called for the purpose of electing directors, or in any written action in lieu thereof, to ensure that the Board of Directors is comprised of exactly [Number] directors, allocated as follows: (i) [Number] director(s) designated by Shareholder A; (ii) [Number] director(s) designated by Shareholder B; and (iii) [Number] independent director(s) mutually agreed upon by Shareholder A and Shareholder B. 2.2. Restrictions on Transfer of Shares
(a) General Prohibition: No Shareholder shall Transfer any Shares, in whole or in part, except in strict compliance with the terms and conditions of this Agreement. Any purported Transfer in violation of this Agreement shall be null and void ab initio, shall not be recognized by the Corporation, and shall confer no rights upon any purported transferee. (b) Right of First Refusal (ROFR): If any Shareholder (the "Selling Shareholder") receives a bona fide, written, unrevoked offer from a third party (the "Third-Party Purchaser") to purchase all or any portion of the Selling Shareholder's Shares (the "Offered Shares"), which the Selling Shareholder desires to accept, the Selling Shareholder shall first give written notice (the "Transfer Notice") to the Corporation and the non-selling Shareholders. The Transfer Notice shall set forth the identity of the Third-Party Purchaser, the purchase price, the payment terms, and all other material conditions of the proposed Transfer. The Corporation shall have the primary right, exercisable within thirty (30) days of receipt of the Transfer Notice, to purchase all (but not less than all) of the Offered Shares at the same price and on the same terms. If the Corporation declines or fails to exercise such right, the non-selling Shareholders shall have the secondary right, exercisable for an additional fifteen (15) days, to purchase their pro rata share of the Offered Shares.
2.3. Tag-Along Rights (Co-Sale)
If a Selling Shareholder proposes to Transfer a majority of the issued and outstanding Common Stock to a Third-Party Purchaser, each non-selling Shareholder shall have the absolute right to participate in such Transfer (the "Tag-Along Right") by selling to the Third-Party Purchaser a pro rata number of Shares calculated based on the total number of Shares held by all participating Shareholders, at the exact same price, terms, and conditions as the Selling Shareholder.
2.4. Drag-Along Rights
If Shareholders holding at least [Percentage]% of the issued and outstanding voting Common Stock (the "Selling Group") approve a bona fide third-party offer to sell all or substantially all of the assets or capital stock of the Corporation (a "Drag-Along Sale"), the Selling Group shall have the right to compel all other Shareholders (the "Dragged Shareholders") to vote in favor of, consent to, and sell all of their respective Shares in the Drag-Along Sale, provided that the consideration received per share is identical and paid in cash or marketable securities.
2.5. Representations and Warranties
Each Shareholder severally represents and warrants to the Corporation and to each other Shareholder that: (a) Such Shareholder has full legal power, authority, and capacity to execute, deliver, and perform this Agreement; (b) This Agreement constitutes a legal, valid, and binding obligation of such Shareholder, enforceable against such Shareholder in accordance with its terms; (c) The execution and delivery of this Agreement and the consummation of the transactions contemplated hereby do not violate, conflict with, or constitute a default under any contract, agreement, judgment, order, or law applicable to such Shareholder; and (d) Such Shareholder is the sole legal and beneficial owner of the Shares set forth opposite their name on Exhibit A, free and clear of any and all liens, claims, encumbrances, security interests, or restrictions on transfer, other than those imposed by this Agreement and applicable federal and state securities laws.
SECTION 3: DEFAULT, TERMINATION, AND REMEDIES
3.1. Events of Default
The occurrence of any one or more of the following events shall constitute an immediate Event of Default under this Agreement by a Shareholder (the "Defaulting Shareholder"): (a) The breach of any material covenant, representation, warranty, or obligation contained in this Agreement; (b) The filing of a voluntary petition in bankruptcy, the adjudication of bankruptcy, the appointment of a receiver for all or substantially all of the assets of a Shareholder, or the execution of an assignment for the benefit of creditors; (c) Any attempted Transfer of Shares in direct violation of Section 2.2 of this Agreement; or (d) The termination of a Shareholder's employment or service relationship with the Corporation for Cause or Misconduct.
3.2. Notice of Default and Cure Period
Upon the occurrence of an Event of Default, the non-defaulting party or parties, or the Corporation, shall provide written notice of default (the "Default Notice") to the Defaulting Shareholder, specifying the nature of the breach with reasonable particularity. The Defaulting Shareholder shall have a period of thirty (30) Business Days from the date of receipt of the Default Notice to fully cure such breach, to the reasonable satisfaction of the non-defaulting parties, provided that this cure period shall not apply to breaches under Section 3.1(c) or 3.1(d) which are incurable.
3.3. Remedies Upon Default
If an Event of Default is not cured within the thirty (30) Business Day cure period (where applicable), the non-defaulting Shareholders and/or the Corporation may, at their sole option and in addition to any other rights available at law or in equity, exercise any or all of the following remedies: (a) Compulsory Buyout: The Corporation or the non-defaulting Shareholders may elect to purchase all (but not less than all) of the Defaulting Shareholder's Shares at a purchase price equal to seventy-five percent (75%) of the Fair Market Value of such Shares, or the original cost basis, whichever is lower, payable in installments over a period not to exceed twenty-four (24) months; (b) Suspension of Rights: Suspension of the Defaulting Shareholder's right to vote their Shares, receive dividends, or inspect corporate books and records for the duration of the default; and (c) Injunctive Relief: Seeking immediate injunctive relief, specific performance, and temporary restraining orders from a court of competent jurisdiction without the requirement of posting a bond.
3.4. Termination
This Agreement shall terminate automatically and be of no further force or effect upon the earliest to occur of: (a) The written agreement of all then-current Shareholders; (b) The consummation of a firm-commitment underwritten public offering of the Corporation's Common Stock registered under the Securities Act of 1933, as amended; or (c) The dissolution, liquidation, winding up, or judicial bankruptcy of the Corporation.
SECTION 4: BOILERPLATE LEGAL PROVISIONS
4.1. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the offending provision shall be deemed excised, and the remaining provisions of this Agreement shall remain in full force and effect and shall be construed in accordance with the original intent of the parties.
4.2. Entire Agreement
This Agreement, together with the Exhibits attached hereto, constitutes the entire agreement between and among the parties pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless executed in writing by all parties hereto.
4.3. Force Majeure
No party shall be liable or responsible to the other parties, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national emergency, revolution, pandemic, epidemic, or government decree (each, a "Force Majeure Event"), provided that the affected party gives prompt written notice to the other parties and uses commercially reasonable efforts to resume performance as soon as practicable.
4.4. Governing Law
This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Jurisdiction], without regard to its conflict of laws principles.
