3.4 Use of Leased Premises

The Leased Premises shall be used and occupied solely for [Permitted Commercial Use, e.g., general administrative offices, software development, professional services] and for no other purpose without the prior written consent of Landlord. • (c) Alterations: Tenant shall not make any structural alterations, additions, or improvements to the Leased Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld, delayed, or conditioned.

3.6 Compliance with Laws

Tenant shall, at its sole expense, comply promptly with all applicable laws, ordinances, rules, regulations, and orders of all governmental authorities having jurisdiction over the Leased Premises, including environmental, health, safety, and accessibility standards (e.g., the Americans with Disabilities Act).

Tenant shall have thirty (30) business days from the receipt of such notice to cure any non-monetary default; provided, however, that if the default is of a nature that it cannot reasonably be cured within thirty (30) business days, Tenant shall not be in Default if Tenant promptly commences curative action and diligently and continuously prosecutes the same to completion.

4.3 Landlord Remedies

Upon the occurrence of any Event of Default, Landlord shall have the right, at its sole election, to pursue any one or more of the following legal and equitable remedies without further notice or demand:

  1. Termination of Lease: Terminate this Lease and Tenant's right to possession of the Leased Premises, whereupon Tenant shall immediately surrender possession to Landlord.
  2. Re-entry and Reletting: Re-enter the Leased Premises and repossess the same, and relet the Leased Premises on such terms as Landlord may deem advisable, applying the proceeds derived therefrom to Tenant's obligations hereunder.
  3. Acceleration of Rent: Declare the entire balance of Base Rent and Additional Rent for the remainder of the Lease term to be immediately due and payable.
  4. Damages: Recover from Tenant all damages incurred by Landlord as a result of Tenant's default, including past-due rent, the costs of recovering the Leased Premises, attorneys' fees, and the present value of the remaining rent due under the Lease.

4.4 Cumulative Remedies

All remedies available to Landlord under this Lease, at law, or in equity are cumulative and non-exclusive. The exercise of any one remedy shall not constitute an election or waiver of any other remedy.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Lease or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, the remainder of this Lease, and the application of such provision to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected thereby, and each provision of this Lease shall be valid and enforced to the fullest extent permitted by law.

5.2 Entire Agreement

This Agreement, along with any exhibits, addenda, or schedules expressly incorporated herein, constitutes the final, complete, and exclusive statement of the agreement between Landlord and Tenant with respect to the subject matter hereof, and supersedes all prior or contemporaneous oral or written negotiations, understandings, representations, and agreements. No modification, amendment, or waiver of any provision of this Lease shall be effective unless set forth in a written instrument executed by both Parties.

This Lease shall be governed by, construed, and enforced in accordance with the substantive and procedural laws of the State of [Jurisdiction], without regard to its conflict of laws principles. Any legal action, proceeding, or arbitration arising out of this Lease shall be brought exclusively in the state or federal courts located in [County Name] County, [Jurisdiction], and the Parties hereby irrevocably consent to the personal jurisdiction and venue of such courts.
