COMMERCIAL LEASE AGREEMENT

THIS AGREEMENT is entered into on this [Day] day of [Month], [Year] (the "Effective Date").

1. PARTIES

BETWEEN: [Landlord Name/Company Name], Registration Number [Registration Number], having its registered office at [Physical Address] (hereinafter referred to as the "Landlord");

2. RECITALS

WHEREAS, the Landlord is the lawful owner of the property located at [Physical Address of Property] (the "Premises");

WHEREAS, the Tenant desires to lease the Premises for commercial purposes, and the Landlord agrees to lease the Premises to the Tenant subject to the terms and conditions set forth herein;

3. OPERATIONAL DEFINITIONS

1. "Basic Rent" shall mean the amount of [Amount in ZAR] payable monthly by the Tenant to the Landlord.
2. "Business Day" shall mean any day other than a Saturday, Sunday, or official public holiday in the Republic of South Africa.
3. "Commencement Date" shall mean [Date].

5. "Operating Costs" shall mean all costs relating to the maintenance, insurance, rates, and taxes of the Premises.

4. SUBSTANTIVE TERMS & OBLIGATIONS

1. Grant of Lease: The Landlord hereby lets the Premises to the Tenant, and the Tenant hereby hires the Premises from the Landlord for the Lease Term.
2. Use of Premises: The Tenant shall use the Premises exclusively for [Nature of Business] and shall comply with all municipal bylaws and zoning regulations.
3. Rent Payment: The Tenant shall pay the Basic Rent, plus Value Added Tax (VAT), in advance on or before the first (1st) day of each month into the Landlord's nominated bank account.
4. Maintenance: The Tenant shall maintain the interior of the Premises in good order and repair, fair wear and tear excepted. The Landlord shall be responsible for structural repairs and the maintenance of the exterior of the Premises.
5. Insurance: The Landlord shall maintain adequate insurance cover over the structural integrity of the Premises. The Tenant shall maintain adequate insurance for all contents, stock, and public liability.

5. DEFAULT, TERMINATION, AND REMEDIES

1. Breach: Should either party commit a breach of any material term of this Agreement, the aggrieved party shall provide the defaulting party with written notice to remedy such breach.
2. Cure Period: The defaulting party shall have thirty (30) Business Days from the date of receipt of notice to rectify the breach.
3. Remedies: Should the defaulting party fail to remedy the breach within the cure period, the aggrieved party may, without prejudice to any other rights available at law: a) Claim immediate specific performance; or b) Cancel this Agreement and claim damages.
4. Insolvency: Either party may terminate this Agreement immediately upon written notice if the other party is placed under liquidation, business rescue, or sequestration.

6. BOILERPLATE LEGAL PROVISIONS

1. Entire Agreement: This document constitutes the entire agreement between the Parties and supersedes all prior negotiations or understandings.
2. Severability: Should any provision of this Agreement be found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
3. Force Majeure: Neither party shall be liable for any failure to perform its obligations where such failure results from any cause beyond the reasonable control of that party, including acts of God, war, or governmental restriction.
4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.
5. Dispute Resolution: Any dispute arising out of or in connection with this Agreement shall be referred to arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
