3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement: Client hereby retains Provider, and Provider accepts such retention, to perform the professional services specified in this Agreement and in any subsequently executed Statements of Work (each, an "SOW"), the form of which is attached hereto as Exhibit A.
1.2 Standard of Performance: Provider warrants, covenants, and agrees that all services shall be performed in a professional, workmanlike manner, in accordance with the highest industry standards, and by personnel possessing requisite skill, training, and experience.
1.3 Change Orders: Any material modification, expansion, or reduction in the Scope of Services shall require a written Change Order signed by authorized representatives of both parties. Provider shall not be obligated to perform out-of-scope work without prior written agreement regarding corresponding adjustments in fees and timelines.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Fee Structure: In consideration for the full and faithful performance of the services, Client shall pay Provider the fees set forth in Exhibit B (Fee Schedule) or the applicable SOW. Fees may be structured on a fixed-fee milestone basis, time-and-materials basis, or retainer model as expressly agreed.
2.2 Invoicing & Payment Schedule: Provider shall issue invoices to Client on a [Monthly / Bi-Weekly / Milestone-Based] basis. All invoices are due and payable in United States Dollars (USD) within [Thirty (30)] calendar days of the invoice date (the "Due Date").
2.3 Late Payment & Interest: Unpaid balances not subject to a good-faith dispute shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until paid in full.
