Effective Date: [Effective Date]
Version: 4.2
Governing Jurisdiction: [State/Country]
1. STATUTORY & LEGAL COMPLIANCE NOTICE
LEGAL DISCLAIMER: This Volunteer Engagement and Non-Compensation Agreement is an institutional-grade legal template designed for structural enforceability across common-law jurisdictions. It establishes a bona fide volunteer relationship intended to operate outside the scope of employment, labor, and wage-and-hour statutes (including the Fair Labor Standards Act). However, employment classifications and volunteer laws vary significantly by federal, state, and local jurisdiction. Organizations must review this document with qualified local legal counsel to ensure compliance with specific statutory definitions of "volunteer," workers' compensation eligibility thresholds, and organizational non-profit or for-profit structuring requirements.
2. PARTIES & RECITALS
This Volunteer Engagement and Non-Compensation Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:
Organization: [Company Full Legal Name], a [State of Incorporation] [Corporation/Non-Profit Entity/LLC], having its principal place of business located at [Principal Address] (hereinafter referred to as the "Organization"), and
Volunteer: [Client Full Legal Name] (legal name format), residing at [Principal Address] (hereinafter referred to as the "Volunteer").
RECITALS
WHEREAS, the Organization operates as a [Description of Organization's Mission/Operations] dedicated to [Core Organizational Purpose];
WHEREAS, the Volunteer desires to freely and without coercion contribute time, talent, labor, and services to assist the Organization in the advancement of its institutional mission, without expectation of monetary compensation, wages, employee benefits, or financial remuneration of any kind; and
WHEREAS, the Organization desires to accept the volunteer services of the Volunteer subject to the terms, conditions, covenants, and restrictions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and legal sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: NATURE OF ENGAGEMENT & SCOPE OF SERVICES
1.1 Non-Employee Status. The parties expressly acknowledge, covenant, and agree that the relationship created by this Agreement is strictly that of a volunteer and a charitable/corporate entity, and does not constitute an employment relationship, partnership, joint venture, agency, or principal-agent relationship. The Volunteer shall not be entitled to any compensation, wages, salary, bonuses, health insurance, disability benefits, retirement benefits, unemployment compensation, workers' compensation coverage, or any other fringe benefits or perquisites provided by the Organization to its paid employees.
1.2 Scope of Services. The Volunteer agrees to perform the tasks, duties, and responsibilities outlined in Exhibit A (attached hereto and incorporated herein by this reference) (the "Services"). The Organization may, from time to time, modify the scope of the Services upon mutual verbal or written understanding, provided that such modifications do not fundamentally alter the non-compensated nature of this engagement.
1.3 Supervision and Direction. While the Volunteer maintains autonomy over their personal schedule, the performance of the Services shall be subject to the general oversight, directives, and operational policies of the Organization's designated supervisor, [Supervisor Name/Title], or such other personnel as the Organization may designate.
SECTION 2: COMPENSATION & FINANCIAL TERMS
2.1 Zero Compensation. The Volunteer acknowledges and agrees that all Services rendered under this Agreement are provided on a strictly voluntary, pro bono basis. The Volunteer shall receive no financial compensation, hourly wages, stipends, or equity consideration whatsoever for time expended, services rendered, or deliverables created pursuant to this Agreement. 2.2 Expense Reimbursement. The Organization shall not be liable for any expenses incurred by the Volunteer in the performance of the Services unless such expenses have been explicitly authorized in advance and in writing by an authorized executive officer of the Organization. Any approved expense reimbursements shall be strictly contingent upon the submission of itemized receipts, invoices, and supporting documentation conforming to the Organization's standard accounting policies within thirty (30) days of incurrence.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until [End Date] or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience. Either party may terminate this Agreement at any time, with or without cause, and without penalty or liability of any kind, by providing at least seven (7) days prior written notice to the other party.
3.3 Termination for Cause. The Organization may terminate this Agreement immediately upon written notice to the Volunteer in the event of: (a) any breach by the Volunteer of any term, covenant, or representation contained herein; (b) any conduct by the Volunteer that brings disrepute, scandal, or legal liability upon the Organization; (c) violation of the Organization's code of conduct, safety policies, or anti-harassment policies; or (d) gross negligence or willful misconduct in the performance of the Services.
3.4 Survival of Obligations. Upon the expiration or termination of this Agreement for any reason, all rights and obligations of the parties shall immediately cease, except that Sections 4 (Intellectual Property), 5 (Confidentiality), 7 (Limitation of Liability & Indemnification), and 9 (Governing Law) shall survive indefinitely or for the maximum period permitted by applicable law.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Definition of Work Product. "Work Product" shall mean all deliverables, inventions, discoveries, designs, software code, artwork, writings, memoranda, reports, data, processes, techniques, and improvements, whether patentable or copyrightable, conceived, created, authored, or developed by the Volunteer, solely or jointly with others, during the Term of this Agreement and arising out of or in connection with the performance of the Services. 4.2 Work Made for Hire. The parties acknowledge and agree that all Work Product constitutes a "work made for hire" as defined under the copyright laws of the United States (17 U.S.C. § 101). To the extent that any Work Product does not qualify as a work made for hire under applicable law, the Volunteer hereby irrevocably, absolutely, and unconditionally assigns, transfers, and conveys to the Organization, worldwide and in perpetuity, all right, title, and interest in and to such Work Product, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights therein, without the requirement of any further consideration. 4.3 Further Assurances. The Volunteer agrees to execute and deliver any and all documents, instruments, and assignments, and to take any further actions reasonably requested by the Organization, both during and after the Term, to perfect, register, maintain, or protect the Organization's complete ownership of all intellectual property rights in the Work Product.
SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by or on behalf of the Organization to the Volunteer, whether orally, visually, or in writing, including but not limited to business plans, financial data, donor lists, client lists, operational procedures, software, technical processes, trade secrets, and organizational strategies. Confidential Information shall also include any notes, analyses, compilations, studies, or other documents prepared by the Volunteer that contain or reflect such information. 5.2 Non-Disclosure Obligations. The Volunteer agrees to hold all Confidential Information in strict confidence, using at least the same degree of care that the Volunteer uses to protect their own confidential information (but in no event less than a reasonable degree of care). The Volunteer shall not disclose any Confidential Information to any third party without the prior written consent of the Organization and shall not use any Confidential Information for any purpose other than the performance of the Services for the Organization. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement by the Volunteer; (b) was already known to the Volunteer on a non-confidential basis prior to disclosure by the Organization; (c) is lawfully received by the Volunteer on a non-confidential basis from a third party authorized to disclose it; or (d) is independently developed by the Volunteer without reference to or reliance upon the Organization's Confidential Information. 5.4 Compelled Disclosure. If the Volunteer is requested or required by law, subpoena, court order, or governmental authority to disclose any Confidential Information, the Volunteer shall provide the Organization with prompt written notice of such request so that the Organization may seek an appropriate protective order or waive compliance with the provisions of this Section 5.
SECTION 6: REPRESENTATIONS & WARRANTIES
6.1 Volunteer Representations. The Volunteer represents and warrants that: (a) they have the full legal right, power, and authority to enter into this Agreement and to perform all obligations required hereunder; (b) the execution and performance of this Agreement do not and will not violate any other agreement, contract, or legal obligation to which the Volunteer is a party or by which they are bound; (c) all Services performed shall be original works of the Volunteer or properly licensed materials that do not infringe upon, misappropriate, or violate the intellectual property, privacy, or publicity rights of any third party; and (d) they possess the necessary skills, qualifications, and experience to perform the Services in a professional and workmanlike manner.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Assumption of Risk. The Volunteer acknowledges that participation in volunteer activities may involve inherent risks, including physical injury, illness, property damage, or financial loss. The Volunteer knowingly, freely, and voluntarily assumes all such risks, known and unknown, associated with the performance of the Services and presence on the Organization's premises or operational sites. 7.2 Release of Liability. To the maximum extent permitted by applicable law, the Volunteer, for themselves, their heirs, executors, administrators, and assigns, hereby releases, discharges, and forever holds harmless the Organization, its directors, officers, employees, agents, successors, and assigns from any and all liability, claims, demands, damages, actions, or causes of action of every kind and nature, whether known or unknown, arising out of or related to any loss, damage, injury, or death sustained by the Volunteer in connection with the performance of the Services or participation in organizational activities, except to the extent caused by the gross negligence or willful misconduct of the Organization. 7.3 Indemnification. The Volunteer agrees to defend, indemnify, and hold harmless the Organization, its directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or resulting from: (a) any material breach of this Agreement by the Volunteer; (b) any gross negligence, willful misconduct, or unlawful act of the Volunteer in the performance of the Services; or (c) any infringement or misappropriation of third-party intellectual property or privacy rights by the Volunteer in connection with the Work Product.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Good Faith Negotiation. In the event of any dispute, claim, question, or disagreement arising out of or relating to this Agreement or the breach thereof, the parties shall first use their best efforts to settle such disputes through direct good-faith consultations and negotiations for a period of thirty (30) days before resorting to formal legal proceedings.
8.2 Binding Arbitration. If the dispute cannot be settled through good-faith negotiations, the dispute shall be submitted to final and binding arbitration administered by [Arbitration Body, e.g., the American Arbitration Association (AAA)] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language. The arbitrator's award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Choice of Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State/Country of [Governing Jurisdiction], without regard to its conflict of laws principles.
9.2 Jurisdiction and Venue. Subject to Section 8, each party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State], for any legal action or proceeding arising out of or relating to this Agreement.
SECTION 10: MISCELLANEOUS PROVISIONS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Entire Agreement. This Agreement, including Exhibit A, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and understandings, whether written or oral. 10.3 Amendments & Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by authorized representatives of both parties. No failure or delay by either party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof. 10.4 Assignment. The Volunteer may not assign, delegate, or transfer this Agreement or any of their rights or obligations hereunder, voluntarily or by operation of law, without the prior written consent of the Organization. Any attempted assignment in violation of this section shall be null and void ab initio. The Organization may freely assign this Agreement to any successor entity resulting from merger, reorganization, or sale of all or substantially all of its assets. 10.5 Counterparts & Electronic Signatures. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
