3. SUBSTANTIVE TERMS & OBLIGATIONS
- Demand for Vacant Possession: The Landlord hereby formally demands that the Tenant peaceably yield up and deliver vacant possession of the Premises to the Landlord on or before 23:59 hours on the Vacate Date.
- Continuation of Rent and Covenants: The service of this Notice shall not prejudice, waive, or affect the Landlord's right to demand, sue for, and recover all Rent, utility charges, council tax, and other sums accrued or accruing due under the Tenancy Agreement up to and including the date upon which vacant possession is actually delivered to the Landlord. The Tenant remains strictly bound by all covenants contained within the Tenancy Agreement.

However, in respect of monetary breaches (such as arrears of Rent), the Tenant is afforded a period of 30 Business Days from the date of receipt of a formal demand to rectify outstanding financial liabilities before secondary legal escalation.
- Legal Recourse and Possession Proceedings: If the Tenant fails or refuses to yield up vacant possession of the Premises by the Vacate Date, the Landlord shall be entitled, without further notice, to issue possession proceedings in the County Court pursuant to Section 21 and/or Section 8 of the Housing Act 1988 (or common law equivalent).
- Indemnification for Legal Costs: The Tenant shall be held fully liable for, and shall indemnify the Landlord against, all reasonable legal costs, court fees, bailiff/high court enforcement officer fees, and professional disbursements incurred by the Landlord in securing the recovery of possession of the Premises and/or recovering arrears of Rent.
