  7. "Post-Operative Recovery Period" means the timeframe commencing immediately upon the conclusion of the surgical procedure and terminating upon the final clinical release by the Attending Surgeon, typically spanning ninety (90) calendar days.
  8. "Provider" means [Healthcare Provider/Facility Name], its agents, employees, attending physicians, nurses, and administrative personnel.
  9. "Recipient" means the individual patient undergoing cataract surgery, or their legally authorized representative possessing valid power of attorney or healthcare proxy authority.
  10. "Surgery" means the elective or medically necessary cataract extraction and lens replacement procedure performed upon the Recipient by the Provider.

3. Substantive Terms & Obligations

3.1 Content Requirements of the Discharge Summary

The Provider is legally obligated to generate and furnish a complete, legible, and medically accurate Discharge Summary upon the physical or electronic discharge of the Recipient. The document shall explicitly incorporate the following mandatory data fields:

  2. Pre-operative and post-operative visual acuity measurements.
  3. Specific make, model, diopter power, and serial number of the implanted Intraocular Lens (IOL).
  4. A comprehensive, chronologically ordered post-operative pharmacological regimen, including specific ophthalmic drops (antibiotics, steroids, non-steroidal anti-inflammatory drugs), dosage frequencies, and tapering schedules.
  5. Explicit, itemized physical activity restrictions (e.g., prohibitions on bending, heavy lifting exceeding [Weight Limit] pounds, swimming, and rubbing the operative eye).
  6. Emergency contact protocols and explicit warning signs necessitating immediate clinical intervention (e.g., sudden vision loss, flashing lights, severe ocular pain, or progressive redness).

3.2 Provider Duties and Performance Metrics

  1. The Provider warrants that all clinical assessments, surgical interventions, and subsequent documentation standards shall comply strictly with the current standards of care established by the American Academy of Ophthalmology (AAO) and applicable regulations of [State/National Healthcare Regulatory Body].
  2. The Provider shall deliver the physical or secure electronic copy of the Discharge Summary to the Recipient and/or their designated caregiver prior to the Recipient's departure from the surgical facility, or within twenty-four (24) hours in the event of an authorized electronic transmission.
  3. The Provider shall maintain a secure, retrievable copy of the executed Discharge Summary within the Recipient’s electronic health record (EHR) for a statutory minimum of [Number of Years, e.g., 7] years.

3.3 Recipient Rights, Duties, and Compliance

  1. The Recipient possesses the right to receive a comprehensive verbal and written explanation of the Discharge Summary in a language or format comprehended by the Recipient.

4.1 Classification of Breach

A breach of this Agreement shall be deemed to occur if either Party fails to perform, observe, or comply with any material covenant, obligation, or representation detailed herein.

  1. Provider Breach: Failure to deliver the compliant Discharge Summary within the mandated timeframe, or gross negligence in the clinical execution of the Surgery or post-operative documentation.
  2. Recipient Breach: Willful failure to follow post-operative protocols resulting in clinical detriment, or failure to remit agreed-upon out-of-pocket surgical fees not covered by third-party payors.

4.2 Notice and Cure Periods

In the event of an alleged default, the non-defaulting Party shall provide written notice detailing the exact nature of the breach. The defaulting Party shall have a period of thirty (30) business days from the formal receipt of such notice to cure said default to the reasonable satisfaction of the non-defaulting Party.

4.3 Legal Recourse and Remedies

  1. Upon the expiration of the thirty (30) business day cure period without effective remediation, the non-defaulting Party may terminate this Agreement and pursue all available remedies at law or in equity.
  2. In the event of a material breach by the Provider regarding documentation failures that directly result in an unmanaged Adverse Event, the Recipient reserves the right to seek compensatory damages, subject to the limitations of medical malpractice liability laws within [Jurisdiction].
  3. The prevailing Party in any legal action, arbitration, or formal dispute resolution proceeding arising out of this Agreement shall be entitled to recover reasonable attorney’s fees, expert witness fees, and associated court costs from the non-prevailing Party.

5.1 Severability

If any provision, clause, or section of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or enforceability of any other provision herein. The Parties agree to negotiate in good faith to replace any invalid provision with a valid, enforceable provision that achieves, as closely as possible, the economic and legal intent of the original provision.

5.2 Entire Agreement

This Agreement, inclusive of any formally incorporated clinical appendices and the specific Discharge Summary format annexed hereto, constitutes the entire understanding between the Provider and the Recipient concerning the subject matter hereof. This Agreement supersedes all prior oral or written negotiations, representations, understandings, or agreements between the Parties.

5.3 Force Majeure

Neither Party shall be held liable for any failure or delay in the performance of its operational obligations under this Agreement if such failure arises directly from a Force Majeure Event, provided that the affected Party gives prompt written notice to the other Party and utilizes commercially reasonable efforts to resume performance as soon as practicable.

5.4 Governing Law

This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the substantive laws of the State/Jurisdiction of [Jurisdiction], without regard to its conflict of laws principles.
