- Consent may be given expressly in writing, orally, or deemed under the circumstances prescribed by the PDPA. The Company shall not, as a condition of providing a product or service, require a Data Subject to consent to the collection, use, or disclosure of Personal Data beyond what is reasonable to provide the product or service.
3.2 Purpose Limitation & Notification Obligations
- The Company shall collect, use, and disclose Personal Data only for Purposes that a reasonable person would consider appropriate in the circumstances, and for which the Data Subject has been duly notified prior to or at the time of collection.
- Prior to collection, the Company shall provide the Data Subject with clear, prominent, and comprehensive notice regarding the specific Purposes for collection, use, and disclosure, via a privacy notice, contract, or direct communication.
3.3 Protection & Security Obligation
- The Company shall implement and maintain rigorous administrative, physical, and technical security arrangements—including encryption, role-based access controls, secure firewalls, and multi-factor authentication—to protect Personal Data in its possession or under its control against unauthorized or accidental access, collection, use, disclosure, copying, modification, disposal, or similar risks.
- In the event the Company engages a Data Intermediary to process Personal Data on its behalf, the Company shall bind such Data Intermediary by way of a legally enforceable written contract to provide a comparable standard of protection to the Personal Data as required under the PDPA.
3.4 Retention Limitation Obligation
- The Company shall not retain documents containing Personal Data, or remove the means by which the Personal Data can be associated with particular individuals, as soon as it is reasonable to assume that:
- the specified Purpose for which the Personal Data was collected is no longer being served by retention of the Personal Data; and
- retention is no longer necessary for legal, regulatory, accounting, or business purposes.
- Upon expiration of the retention period, the Company shall securely destroy, anonymize, or permanently delete all physical and digital copies of Personal Data in accordance with international data destruction standards.

- Upon receipt of a Correction Request, the Company shall correct the Personal Data as soon as practicable, unless the Company is satisfied on reasonable grounds that a correction should not be made under the exceptions provided in the PDPA.
3.6 Data Breach Notification

- The Company shall likewise notify affected Data Subjects without unreasonable delay if the data breach is assessed to be likely to result in significant harm to such individuals.
4. Default, Termination, and Remedies
4.1 Breach Classifications
- Material Breach: Any intentional, reckless, or grossly negligent violation of Sections 3.1, 3.3, or 3.6 of this Agreement, or any unauthorized exfiltration, sale, or systemic compromise of Personal Data, shall constitute a Material Breach.
- Minor Breach: Any remediable, non-systemic administrative failure to comply with procedural timelines (e.g., Access or Correction Request response delays) shall constitute a Minor Breach.
4.2 Notice and Cure Periods
- Upon the occurrence of a Minor Breach, the non-defaulting Party shall provide detailed written notice specifying the default. The defaulting Party shall have thirty (30) business days from the receipt of such notice to cure the breach to the reasonable satisfaction of the non-defaulting Party.
- In the case of a Material Breach, or a data breach resulting from the Company's failure to maintain reasonable security safeguards, the non-defaulting Party may terminate this Agreement immediately upon written notice, without affording a cure period.
4.3 Legal Recourse and Remedies
- In the event of a Material Breach or un-cured Minor Breach, the aggrieved Party reserves all rights at law and in equity, including but not limited to:
- Immediate injunctive relief from a court of competent jurisdiction to restrain unauthorized processing, disclosure, or transfer of Personal Data;
- Immediate termination of any underlying commercial service agreements; and

- If the dispute remains unresolved within thirty (30) calendar days of the commencement of negotiations, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause.
