1. STATUTORY & LEGAL COMPLIANCE NOTICE
CLINICAL DISCLAIMER: This Master Transportation, Cargo Consignment, and Service Agreement, incorporating standard Bill of Lading (B/L) conditions, constitutes a binding legal contract. It directly affects legal rights, liabilities, and statutory immunities concerning the international and domestic carriage of goods. Parties acknowledge that maritime transport, non-vessel operating common carrier (NVOCC) operations, and freight forwarding services are subject to specific international conventions and domestic statutes, including the United States Carriage of Goods by Sea Act (COGSA, 46 U.S.C. § 30701 et seq.), the Hague-Visby Rules, and Federal Maritime Commission regulations.
Execution of this document by authorized representatives binds both the Carrier and the Shipper/Consignee to all terms, conditions, exceptions, and limitations contained herein. Legal counsel should be consulted prior to execution to ensure complete alignment with corporate risk profiles and specific jurisdictional requirements.
2. PARTIES & RECITALS
This Master Transportation, Cargo Consignment, and Service Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:
CARRIER / NVOCC: ECU Worldwide / [Company Full Legal Name], a corporation organized and existing under the laws of [Jurisdiction of Incorporation], having its principal place of business at [Principal Address] (hereinafter referred to as the "Carrier"), and
SHIPPER / CLIENT: [Client Full Legal Name], a corporation organized and existing under the laws of [Jurisdiction of Incorporation], having its principal place of business at [Principal Address] (hereinafter referred to as the "Shipper").
RECITALS: WHEREAS, the Carrier operates as a licensed Non-Vessel Operating Common Carrier (NVOCC) and international freight forwarder, providing comprehensive logistics, intermodal transport, cargo consolidation, and supply chain management services;
WHEREAS, the Shipper desires to retain the Carrier to arrange for and provide the transportation, handling, customs clearance, and delivery of certain goods, merchandise, and cargo from time to time, under the terms and conditions of this Agreement and the individual Bills of Lading issued hereunder; and
WHEREAS, the parties intend for this Agreement to govern the overarching commercial, legal, and operational relationship between them, establishing uniform liability limits, payment structures, and procedural frameworks for all shipments tendered by the Shipper to the Carrier;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
3.1 Scope of Services & Engagement
(a) General Engagement: The Shipper hereby retains the Carrier, and the Carrier agrees to provide or procure transportation, freight forwarding, consolidation, warehousing, and related logistics services for cargo tendered by or on behalf of the Shipper (the "Services"). The specific details of each shipment—including origin, destination, routing, vessel/voyage, container numbers, and cargo description—shall be set forth in the individual Bill of Lading (B/L), Sea Waybill, booking confirmation, or electronic shipping document issued by the Carrier (collectively, the "Transport Documentation").
(b) Non-Exclusive Relationship: This Agreement is non-exclusive. The Shipper is free to engage other third-party logistics providers, and the Carrier is free to contract with other shippers, subject to specific commitments undertaken in separate written service contracts or amendments.
(c) Subcontracting and Routing: The Carrier is authorized to subcontract, in whole or in part, any of its obligations hereunder, including drayage, ocean carriage, rail transport, air freight, and warehousing, to any underlying carrier, stevedore, warehouseman, or independent contractor (collectively, "Subcontractors"). All defenses, exemptions, limitations of liability, and immunities granted to the Carrier under this Agreement and any applicable Transport Documentation shall extend to and protect all such Subcontractors, agents, and servants. The Carrier reserves complete freedom of choice regarding routing, transshipment points, vessels, and modes of transport, notwithstanding any routing instructions provided by the Shipper.
3.2 Compensation & Payment Terms
(a) Tariff and Rates: Compensation for Services rendered shall be calculated in accordance with the Carrier’s published tariff, applicable service contracts, or specific quotations provided to the Shipper. Quotations are based on prevailing freight rates, currency exchange rates, bunker surcharges, port tariffs, and labor costs at the time of issuance and are subject to change without notice prior to booking confirmation.
(b) Invoicing: The Carrier shall issue invoices to the Shipper for all freight charges, duties, taxes, demurrage, detention, storage, and ancillary fees upon or immediately following cargo receipt, booking, or departure. Unless otherwise agreed in writing, all invoices are due and payable in United States Dollars (USD) within thirty (30) calendar days of the invoice date (Net 30). Payments shall be remitted to the account designated by the Carrier via electronic wire transfer or automated clearing house (ACH).
(c) Late Interest: Any invoice balance not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the due date until paid in full. The Shipper shall reimburse the Carrier for all costs and expenses incurred in collecting delinquent amounts, including reasonable attorney’s fees, collection agency fees, and court costs.
(d) Disputed Invoices: If the Shipper disputes any portion of an invoice in good faith, the Shipper must provide detailed written notice of the dispute to the Carrier within ten (10) business days of receipt of the invoice, specifying the exact items in dispute and the factual basis therefor. The Shipper shall pay all undisputed portions of the invoice when due. Failure to provide timely notice shall constitute a complete waiver of the Shipper's right to dispute the invoice.
(e) General Lien and Security Interest: The Carrier shall have a continuous, general, and particular lien on all cargo, documents relating to cargo, and any other property of the Shipper in the Carrier's actual or constructive possession, custody, or control, for all sums due under this Agreement, any Transport Documentation, or any other agreement between the parties (including past-due charges, freight, storage, demurrage, fines, and expenses). The Carrier may enforce this lien by public or private sale of the cargo, without notice to the Shipper, upon ten (10) business days' written notice of default.
3.3 Term & Termination
(a) Initial Term: This Agreement shall commence on the Effective Date and shall continue for a period of one (1) year (the "Initial Term"), unless earlier terminated in accordance with the provisions herein. Following the Initial Term, this Agreement shall automatically renew for successive one (1) year periods (each a "Renewal Term") unless either party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.
(b) Termination for Convenience: Either party may terminate this Agreement, without cause, by providing ninety (90) days' prior written notice to the other party. Termination for convenience shall not affect any rights or obligations accrued prior to the effective date of termination, including the obligation to pay for Services already rendered and shipments currently in transit.
(c) Termination for Cause: Either party may terminate this Agreement immediately upon written notice if:
- The other party commits a material breach of any provision of this Agreement and fails to cure such breach within thirty (30) calendar days after receipt of written notice detailing the breach;
- The other party files a petition for bankruptcy, becomes insolvent, makes an assignment for the benefit of creditors, has a receiver appointed for its assets, or undergoes any similar insolvency or liquidation proceeding.
(d) Effect of Termination: Upon termination of this Agreement, all outstanding invoices shall immediately become due and payable. The Carrier shall complete the transportation of any cargo currently in transit under active Transport Documentation, and all terms of this Agreement and the applicable Bills of Lading shall continue to govern such in-transit shipments until final delivery and discharge.
3.4 Intellectual Property Ownership & Work Made for Hire
(a) Proprietary Rights: Each party shall retain sole and exclusive ownership of all intellectual property rights owned or developed independently of this Agreement, including trademarks, trade secrets, software, proprietary routing algorithms, and operational systems.
(b) Data and Documentation: All operational data, EDI interfaces, software platforms, and documentation provided by the Carrier in connection with the Services remain the exclusive intellectual property of the Carrier. The Shipper is granted a limited, non-exclusive, non-transferable, revocable license to use such systems solely for the purpose of tracking shipments and managing logistics operations during the term of this Agreement.
3.5 Mutual Confidentiality & Non-Disclosure
(a) Definition of Confidential Information: "Confidential Information" shall mean all non-public information, data, operational procedures, pricing schedules, volume metrics, customer lists, financial data, and trade secrets disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with this Agreement, whether orally, visually, or in writing, and whether or not marked as "Confidential."
(b) Obligations of Confidentiality: The Receiving Party shall hold all Confidential Information in strict confidence, using the same degree of care it uses to protect its own proprietary information (but no less than a reasonable degree of care). The Receiving Party shall not disclose Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who have a strict "need to know" and who are bound by confidentiality obligations at least as restrictive as those contained herein.
(c) Exclusions: Confidential Information shall not include information that:
- Is or becomes publicly known through no breach of the Receiving Party;
- Was already in the rightful possession of the Receiving Party prior to disclosure;
- Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or
- Is required to be disclosed by law, regulation, or court order, provided that the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order.
3.6 Representations & Warranties
(a) Corporate Authority: Each party represents and warrants that it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization; that it has all requisite corporate power and authority to execute, deliver, and perform its obligations under this Agreement; and that the execution and performance of this Agreement have been duly authorized by all necessary corporate action.
(b) Compliance with Laws: Each party represents and warrants that it shall comply with all applicable international, federal, state, and local laws, regulations, conventions, and ordinances, including export control laws, import regulations, economic sanctions (including OFAC regulations), the Foreign Corrupt Practices Act (FCPA), and anti-money laundering statutes.
(c) Shipper Warranty Regarding Cargo: The Shipper warrants that:
- The cargo is properly and safely described, marked, labeled, packed, and classified in accordance with all legal and regulatory requirements for intermodal transport;
- The cargo does not contain any hazardous materials, dangerous goods, contraband, weapons, or illicit substances, unless full prior written disclosure has been made to the Carrier and express written acceptance has been granted; and
- All documentation, commercial invoices, certificates of origin, and customs declarations provided to the Carrier are complete, accurate, and truthful in every respect.
3.7 Limitation of Liability & Indemnification
(a) Carrying Liability and COGSA/Hague-Visby Integration: The Carrier's liability for loss of, damage to, or delay in the delivery of cargo shall be strictly limited to the limits set forth in the applicable Transport Documentation, the Carrier's published tariff, or statutory limitations under COGSA (500 USD per package or customary freight unit) or the Hague-Visby Rules, whichever is legally applicable. If no international convention or statute applies, the Carrier’s liability shall not exceed two dollars ($2.00) per kilogram of gross weight of the cargo lost or damaged, or a maximum of five thousand United States Dollars ($5,000.00) per occurrence, whichever is less.
(b) Waiver of Consequential Damages: Neither party, nor its officers, directors, employees, or agents, shall be liable to the other party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business opportunity, loss of market, or overhead expenses, arising out of or in connection with this Agreement or the Services, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.
(c) Shipper Indemnification: The Shipper shall defend, indemnify, and hold harmless the Carrier, its affiliates, subcontractors, vessel owners, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from:
- Any breach by the Shipper of any representation, warranty, or covenant in this Agreement;
- The inaccuracy, incompleteness, or falsity of any shipping documentation or customs declarations provided by the Shipper;
- The nature, inherent vice, defective packing, or illegal character of the cargo; or
- Any violation of environmental, hazardous material, or customs regulations by the Shipper or its agents.
(d) Force Majeure: Neither party shall be liable for any failure or delay in performance under this Agreement (other than the obligation to pay money) resulting from acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, strikes, labor disputes, lockouts, government actions, embargoes, port closures, vessel arrest, mechanical breakdowns of vessels or transport infrastructure, or any other cause beyond the reasonable control of the affected party (a "Force Majeure Event"). The affected party shall promptly notify the other party in writing upon the occurrence of a Force Majeure Event and shall use commercially reasonable efforts to resume performance as soon as practicable.
3.8 Dispute Resolution & Arbitration
(a) Negotiation and Escalation: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, or termination (a "Dispute"), the authorized representatives of the parties shall first attempt to resolve the Dispute through good-faith negotiations. Either party may give the other party written notice of a Dispute. If the Dispute has not been resolved within thirty (30) days of such notice, either party may submit the Dispute to binding arbitration.
(b) Binding Arbitration: Any Dispute that cannot be resolved through negotiation shall be settled by binding arbitration administered by the Society of Maritime Arbitrators, Inc. (SMA) in New York, New York, in accordance with its rules then in effect, or, if mutually agreed, by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator (or a panel of three arbitrators if the claim exceeds $250,000). The arbitration proceedings shall be conducted in the English language.
(c) Enforceability of Award: The arbitration award shall be final, binding, and non-appealable, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Each party shall bear its own legal fees and expenses, provided that the arbitrator(s) may award costs and reasonable attorneys' fees to the prevailing party.
3.9 Governing Law & Jurisdiction
(a) Choice of Law: This Agreement, the Transport Documentation, and all claims or causes of action (whether in contract, tort, or statute) based upon, arising out of, or related to this Agreement shall be governed by, construed, and enforced in accordance with the general maritime law of the United States and, where applicable, the internal laws of the State of New York, without regard to its conflict of laws principles.
(b) Jurisdiction: Subject to the arbitration provisions in Section 3.8, each party irrevocably submits to the exclusive jurisdiction of the United States District Court for the Southern District of New York or, if federal jurisdiction is lacking, the state courts located in New York County, New York, for any legal action or proceeding arising out of this Agreement. Each party waives any objection to venue or inconvenient forum.
3.10 Miscellaneous
(a) Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
(b) Entire Agreement: This Agreement, together with all associated Transport Documentation, Bills of Lading, and published tariffs, constitutes the final, complete, and exclusive agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, representations, and agreements, whether written or oral.
(c) Amendments and Waivers: No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by authorized representatives of both parties. No failure or delay by either party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.
(c) Counterparts and Electronic Execution: This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by facsimile, email (PDF), or digital signature platform (such as DocuSign or Adobe Sign) shall be equally effective as delivery of an original executed hard copy.
