2. Operational Definitions
For purposes of this Agreement, the following terms shall have the meanings ascribed below, which meanings shall be equally applicable to both the singular and plural forms of such terms:
- "Authorized Users" means students, parents, legal guardians, teachers, school administrators, and other authorized personnel who are permitted by the School to access and use the Services provided by the Operator.
- "Biometric Data" means data generated by automatic measurements of an individual's biological characteristics, such as a fingerprint, voiceprint, iris or retina pattern, facial template, or hand geometry, which is used to identify a specific individual.
- "De-Identified Data" means information concerning a student that has been stripped of all direct and indirect personal identifiers, such that the remaining information cannot reasonably identify, reference, or be linked to a specific student, and where the Operator has made a technical determination that re-identification is not reasonably foreseeable.
- "Educational Records" has the meaning ascribed to it under the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g, and its implementing regulations, 34 C.F.R. Part 99, encompassing records directly related to a student and maintained by the School or a party acting for the School.
- "Personally Identifiable Information (PII)" means any information maintained or collected by the School or Operator that can be used to distinguish or trace an individual's identity, either directly or indirectly, through linkage with other data, including but not limited to a student's name, parent's name, home address, email address, telephone number, social security number, student identification number, or persistent online identifiers.
- "Security Incident" means the unauthorized access, acquisition, modification, disclosure, or destruction of Student Data, or any breach of the Operator’s physical, technical, or administrative safeguards that compromises the security, confidentiality, or integrity of Student Data.
- "Services" means the software applications, websites, platforms, digital tools, cloud storage, maintenance, and technical support services provided by the Operator to the School pursuant to the underlying service agreement.
- "Student Data" means any information, whether collected directly from the student or provided by the School or its Authorized Users, that is directly related to a student and generated by or provided to the Operator in the course of providing the Services, including Educational Records and PII.
3. Substantive Terms & Obligations

The School retains all right, title, and interest in and to all Student Data, Educational Records, and PII provided to or accessed by the Operator. The Operator acquires no ownership interest, implied or express, in Student Data. Student Data shall remain under the direct control of the School.
3.2 Permitted Use and Purpose
The Operator shall collect, access, and process Student Data solely and exclusively for the purpose of performing its obligations under the Services agreement, or as otherwise expressly authorized in writing by the School. The Operator is expressly prohibited from using Student Data for any commercial, promotional, advertising, or marketing purpose whatsoever, except as necessary to provide the contracted Services.
3.3 Prohibition of Targeted Advertising and Profiling
The Operator shall not use Student Data to:
- Target advertising or marketing to students, parents, or legal guardians based on the profile, behavior, or inferred characteristics of a student generated through the use of the Operator's Services.
- Build a personal profile of a student for any commercial purpose other than providing the educational Services authorized by the School.
- Mine Student Data for any data analytics, machine learning, or artificial intelligence training purposes not explicitly authorized by the School in writing.
3.4 Data Security Safeguards
The Operator shall implement, maintain, and enforce comprehensive administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of Student Data. Such safeguards shall comply with industry standards (such as NIST or ISO/IEC 27001) and shall include, at a minimum:
- Encryption: Encryption of all Student Data at rest (using AES-256 or robust equivalent standards) and in transit across public networks (using TLS 1.2 or higher).
- Access Controls: Strict role-based access controls, multi-factor authentication (MFA) for all administrative access, and the principle of least privilege regarding personnel access to Student Data.
- System Security: Regular vulnerability assessments, penetration testing, patch management, and intrusion detection systems.
3.5 Personnel and Sub-Processor Restrictions
- Personnel: The Operator shall restrict access to Student Data strictly to those employees, contractors, and agents who require access to perform the Services. All such personnel shall be bound by strict written confidentiality agreements no less restrictive than this Agreement and shall undergo appropriate privacy and security training.
- Sub-Processors: The Operator shall not engage any third-party sub-processor to host, store, or process Student Data without the prior express written consent of the School. Any approved sub-processor must execute a binding written agreement imposing data protection obligations no less stringent than those set forth herein, and the Operator shall remain fully liable for any acts or omissions of its sub-processors.
3.6 Data Deletion and Return
Upon termination, expiration, or completion of the Services, or upon the written request of the School, the Operator shall, within thirty (30) calendar days, securely return and/or permanently and irreversibly destroy and expunge all Student Data in its possession, custody, or control, including any backup copies, cached data, or derived analytics. The Operator shall provide a written certification of compliance with this destruction obligation executed by an authorized corporate officer within ten (10) business days of completion.
3.7 Audit Rights
The School, or its designated independent third-party auditor, reserves the right, upon thirty (30) calendar days' written notice to the Operator, to audit, inspect, and review the Operator’s systems, facilities, policies, and records relating to the processing and security of Student Data to verify compliance with the terms of this Agreement. The Operator shall cooperate fully with any such audit and provide reasonable access to relevant personnel and technical documentation.
4. Default, Termination, and Remedies
4.1 Breach Classifications
The occurrence of any of the following events shall constitute a material breach of this Agreement by the Operator:
- Any unauthorized access, disclosure, alteration, or destruction of Student Data resulting from the Operator's negligence, willful misconduct, or failure to maintain adequate security controls.
- The use of Student Data for unauthorized commercial, advertising, or profiling purposes in violation of Section 3.3.

- Failure to timely notify the School of a Security Incident pursuant to Section 4.3.
- Any material failure to comply with the substantive data protection obligations set forth in Section 3.
4.2 Notice and Cure Periods
In the event of a material breach of this Agreement, the non-defaulting Party shall provide written notice of default to the defaulting Party, detailing the specific nature of the breach. Except for Security Incidents or willful violations of data privacy laws (which shall be subject to immediate termination without a cure period), the defaulting Party shall have thirty (30) business days from receipt of such notice to cure the identified default to the reasonable satisfaction of the non-defaulting Party.
4.3 Mandatory Security Incident Notification
In the event of a confirmed or suspected Security Incident, the Operator shall:
- Notify the School in writing via email and telephone immediately, and in no event later than twenty-four (24) hours after becoming aware of the Security Incident.

- Provide the School with timely, ongoing updates regarding the investigation, root cause analysis, compromised data elements, and affected individuals.
- Indemnify and hold harmless the School for all reasonable costs associated with statutory notification requirements, credit monitoring services, legal fees, forensic investigations, and regulatory fines resulting from the Security Incident.
4.4 Remedies and Injunctive Relief
In the event of an uncured material breach or a breach involving the compromise of Student Data, the School may, at its sole discretion and without prejudice to any other legal or equitable remedies:
- Immediately terminate the underlying Services agreement and this Policy without penalty or financial liability to the School.
- Seek and obtain immediate injunctive relief and specific performance from a court of competent jurisdiction, without the necessity of posting a bond, to prevent or halt any threatened or actual violation of this Policy.
- Recover all actual damages, losses, and reasonable attorney's fees incurred by the School as a result of the breach.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
5.2 Entire Agreement
This Agreement, together with any underlying service agreements, exhibits, and data processing addenda incorporated by reference, constitutes the entire agreement between the School and the Operator concerning the subject matter hereof and supersedes all prior oral or written negotiations, commitments, understandings, and communications between the Parties.
5.3 Force Majeure
Neither Party shall be liable for any failure or delay in performance under this Agreement (other than obligations relating to data security, confidentiality, and data destruction) to the extent such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, or electrical/telecommunications grid failures beyond the reasonable control of the affected Party, provided that the affected Party uses diligent efforts to mitigate the effects of such event.
