NOW, THEREFORE, in consideration of the mutual covenants, rights, and obligations contained herein, and other good and valuable consideration—the receipt and sufficiency of which are hereby acknowledged—the Parties agree to the operational terms set forth below.

2. OPERATIONAL DEFINITIONS

For the purposes of this Policy, the following terms shall have the precise legal meanings ascribed to them below:

  1. "APP" means the Australian Privacy Principles set out in Schedule 1 of the Privacy Act 1988 (Cth).
  2. "Authorised Personnel" means those specific employees, contractors, or agents of the Recipient who have been duly authorised by the Company to access Personal Information, and who are bound by strict contractual confidentiality obligations.
  3. "Data Breach" means: a. unauthorised access to, or unauthorised disclosure of, Personal Information held by the Company or Recipient; or b. loss of Personal Information held by the Company or Recipient in circumstances where unauthorised access or unauthorised disclosure is likely to occur.
  4. "De-identified" means that personal information has been stripped of all personal identifiers and contextual metadata to a standard where the information can no longer be attributed to a specific, identifiable individual, whether directly or indirectly.
  5. "Eligible Data Breach" has the meaning ascribed under Part IIIC of the Privacy Act 1988 (Cth).
  6. "Personal Information" means information or an opinion about an identified individual, or an individual who is reasonably identifiable, whether the information or opinion is true or not, and whether the information or opinion is recorded in a material form or not.
  7. "Privacy Act" means the Privacy Act 1988 (Cth) as amended from time to time, including any subordinate legislation, regulations, and binding Privacy Codes.
  8. "Processing" means any operation or set of operations performed upon Personal Information, whether or not by automated means, such as collection, recording, organisation, structuring, storage, adaptation, alteration, retrieval, consultation, use, disclosure by transmission, dissemination, alignment, combination, restriction, erasure, or destruction.

"Sensible Data" or "Sensitive Information" has the meaning given in Section 6 of the Privacy Act 1988 (Cth), including health information, biometric data, genetic information, and information concerning an individual’s racial or ethnic origin, political opinions, membership of a political association, religious beliefs or affiliations, philosophical beliefs, membership of a professional or trade union, sexual orientation, or criminal record.

3. SUBSTANTIVE TERMS & OBLIGATIONS

3.1 Lawful Collection and Purpose Limitation

  1. The Recipient shall collect, hold, use, and disclose Personal Information strictly and exclusively for the performance of its contractual duties owed to the Company, and for no other purpose whatsoever.
  2. The collection of Personal Information must be carried out by lawful and fair means, directly from the individual to whom the information relates, unless an exception under APP 3 applies and prior written authorisation is secured from the Company.

3.2 Compliance with Australian Privacy Principles (APPs)

  1. The Recipient covenants and warrants that its internal operations, systems, and personnel shall strictly comply with the thirteen (13) APPs enshrined within the Privacy Act 1988 (Cth), regardless of whether the Recipient is directly bound as an APP entity under the statute.
  2. The Recipient shall not perform any act or engage in any practice that would breach, or cause the Company to breach, the APPs.

3.3 Security, Storage, and Technical Safeguards

  1. The Recipient must implement, maintain, and enforce robust administrative, physical, and technical safeguards designed to protect Personal Information against accidental, unauthorised, or unlawful destruction, loss, alteration, disclosure, or access.
  2. Technical measures must include, at a minimum: a. industry-standard encryption of Personal Information both at rest and in transit (utilizing AES-256 or equivalent cryptographic protocols); b. multi-factor authentication (MFA) and strict role-based access control (RBAC) ensuring that only Authorised Personnel retain access; and c. continuous security monitoring, vulnerability assessments, and regular patching of all systems processing Personal Information.

3.4 Cross-Border Data Transfers

  1. The Recipient shall not transfer any Personal Information outside of the Commonwealth of Australia, nor permit access to Personal Information from outside Australia, without obtaining the prior express written consent of the Company.
  2. Where cross-border disclosure is explicitly authorised by the Company, the Recipient shall ensure that the overseas recipient is bound by enforceable obligations—comparable to the APPs—to protect the Personal Information to a standard equal to or exceeding Australian legal requirements.

3.5 Mandatory Data Breach Notification and Incident Response

  1. In the event of a suspected or actual Data Breach affecting Personal Information handled under this Policy, the Recipient shall notify the Company in writing within twenty-four (24) hours of becoming aware of the incident.
  2. The notification must include: a. a detailed description of the nature and scope of the Data Breach; b. the categories and approximate number of individuals and records concerned; c. the likely consequences of the breach; and d. any remediation measures already taken or recommended to mitigate potential harm.
  3. The Recipient shall provide full cooperation, documentation, and assistance to the Company to enable compliance with mandatory reporting obligations under Part IIIC of the Privacy Act 1988 (Cth) (Notifiable Data Breaches scheme).

3.6 Audit, Inspection, and Compliance Verification

  1. The Company, or its designated independent external auditor, reserves the right to conduct an audit of the Recipient's facilities, systems, policies, and records relating to the processing of Personal Information upon giving ten (10) business days' written notice.
  2. The Recipient shall provide unhindered access to its premises, personnel, and technological infrastructure to verify compliance with the terms of this Policy.

3.7 Retention, De-identification, and Destruction

  1. Personal Information shall not be retained by the Recipient for any period longer than is strictly necessary for the fulfillment of the authorized purpose.
  2. Upon termination of the underlying commercial relationship, or upon the Company’s written demand, the Recipient shall, at the Company's absolute discretion: a. securely return all Personal Information to the Company in a structured, interoperable format; or b. securely destroy and permanently purge all copies of Personal Information from its physical and electronic systems, certifying compliance in writing within seven (7) business days.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Classification of Breach

Any failure by the Recipient to adhere strictly to the substantive obligations, security requirements, or notification mandates contained in Sections 3.1 through 3.7 of this Policy shall constitute a material breach of this Agreement.

4.2 Cure Period and Notice of Default

  1. In the event of a remediable material breach, the Company shall issue a formal written notice of default to the Recipient specifying the exact nature of the non-compliance.
  2. The Recipient shall have a strict cure period of thirty (30) business days from the date of receipt of the default notice to fully remedy the breach and provide documented proof of remediation to the Company.

4.3 Immediate Termination for Cause

Notwithstanding Section 4.2, the Company may terminate this Policy and any associated commercial agreements immediately, without prior notice or cure period, if: a. the Recipient commits a material breach of this Policy that is incapable of remedy; b. an Eligible Data Breach occurs due to the gross negligence, willful misconduct, or systemic security failure of the Recipient; or c. the Recipient becomes insolvent, enters into external administration, liquidation, or bankruptcy, or ceases to carry on business.

4.4 Legal Recourse and Indemnification

  1. The Recipient agrees to defend, indemnify, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, liabilities, penalties, regulatory fines (including those levied by the Office of the Australian Information Commissioner - OAIC), losses, damages, costs, and expenses (including legal fees on a solicitor-and-own-client basis) arising directly or indirectly from any breach of this Policy by the Recipient or its personnel.
  2. The Company reserves the right to seek urgent interlocutory injunctive relief from a court of competent jurisdiction to prevent or restrain any threatened or actual breach of this Policy, without the requirement of posting a bond.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Policy is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect, maintaining the original commercial and legal intent of the Parties.

5.2 Entire Agreement

This Policy constitutes the entire agreement between the Parties concerning the protection and processing of Personal Information, superseding all prior negotiations, representations, understandings, or agreements, whether written or oral.

5.3 Force Majeure

Neither Party shall be liable for any failure or delay in the performance of its obligations under this Policy if such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, or widespread utility/telecommunication grid failures beyond the reasonable control of the affected Party ("Force Majeure Event"); provided, however, that a lack of cyber-security controls or foreseeable IT infrastructure failure shall explicitly not constitute a Force Majeure Event.

5.4 Governing Law and Jurisdiction

This Policy shall be governed by, construed, and enforced in accordance with the laws of the State of [State, e.g., New South Wales] and the Commonwealth of Australia, without regard to conflict of law principles. The Parties irrevocably submit to the exclusive jurisdiction of the courts of [State] and any courts hearing appeals therefrom.

5.5 Dispute Resolution

  1. In the event of any dispute, controversy, or claim arising out of or relating to this Policy, the Parties shall first attempt in good faith to resolve the matter through senior management negotiations within fourteen (14) business days of written notice.
