To ensure the proper execution, filing, and enforcement of this Consulting Services Agreement, follow these instructions meticulously:

  1. Review Thoroughly: Read the entire document, including all Schedules, to ensure full understanding and agreement with all terms and conditions.
  2. Consult Legal Counsel: Crucially, before filling or signing, provide this complete document to qualified legal counsel in your jurisdiction for review, customization, and final approval. This template is a starting point, not a substitute for legal advice.
  3. Fill All Blanks: Carefully complete every bracketed [FIELD NAME] placeholder with accurate and specific information. Ensure dates, names, addresses, amounts, and specific details in Schedules A and B are correct and complete.
    • Schedule A (Scope of Work): Clearly define the exact services, deliverables, milestones, and timelines. Ambiguity here is a primary source of disputes.
    • Schedule B (Compensation): Clearly define payment terms, rates, schedules, and expense policies.
  4. Print Originals: Print at least two (2) identical original copies of the complete Agreement, including all filled Schedules. Each party should receive an original signed copy. More copies may be needed if other stakeholders (e.g., legal, finance) require them.
  5. Execute Signatures:
    • Ensure the authorized representatives of both the Client and the Consultant physically sign and date both original copies in the designated signature blocks.
    • Verify that printed names and titles are accurate.
  6. Distribute Signed Originals: Each party must receive one fully executed (signed and dated) original copy of the Agreement.
  7. Secure Filing: Each party should securely file their original signed Agreement in a safe, accessible location where it can be retrieved if needed for reference, audit, or legal enforcement. Digital scans should also be made and stored securely.
  8. Internal Communication: Inform relevant internal teams (e.g., project management, finance, legal) about the executed agreement and its key terms.
  9. Monitor & Enforce: Periodically review the Agreement throughout the project term to ensure compliance with milestones, payment schedules, and other obligations. Refer to it in case of any disputes or questions regarding the terms of engagement.
  10. Amendments: Remember that any changes to this Agreement must be made in writing and signed by both parties, as per Clause 17.
