2. COMPENSATION & PAYMENT TERMS
2.1 In consideration of the provision of the Services, the Client shall pay the Consultant the fees set out in Schedule 2 (Fee Structure & Payment Schedule). 2.2 Unless otherwise specified in Schedule 2, the Consultant shall submit a valid, itemised invoice to the Client upon the completion of specific milestones or on a [monthly/weekly] basis for Services rendered during the preceding billing period. 2.3 The Client shall pay all undisputed invoices within [30] calendar days of the date of receipt of the invoice (the "Due Date"). Payment shall be made in Pounds Sterling (£) via electronic bank transfer to the bank account designated in writing by the Consultant. 2.4 If the Client fails to pay any undisputed amount by the Due Date, the Consultant reserves the right to charge interest on the overdue sum pursuant to the Late Payment of Commercial Debts (Interest) Act 1998, accruing at the statutory rate of 8% per annum above the Bank of England base rate from time to time, running from the Due Date until the date of actual payment, whether before or after judgment. 2.5 All fees and charges stated in this Agreement are exclusive of Value Added Tax (VAT), which shall be added to the Consultant's invoice at the prevailing statutory rate, where applicable, and paid by the Client against a valid VAT invoice. 2.6 The Client shall not be entitled to withhold, set off, or deduct any monies due to the Consultant under this Agreement against any claim, sum, or allegation asserted by the Client against the Consultant.
3. TERM & TERMINATION
3.1 This Agreement shall commence on the Effective Date and shall continue in full force and effect until [Termination Date / Completion of Services], unless terminated earlier in accordance with this Section 3. 3.2 Either Party may terminate this Agreement at any time, for any reason or no reason, by providing not less than [30] calendar days' prior written notice to the other Party. 3.3 Either Party may terminate this Agreement immediately by giving written notice to the other Party if: (a) the other Party commits a material breach of any of the terms of this Agreement and, if such breach is remediable, fails to remedy that breach within fourteen (14) days of receiving written notice requiring it to do so; (b) the other Party takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (in each case other than for the sole purpose of a solvent restructuring), being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of its assets or ceasing to carry on business; or (c) the other Party suspends, or threatens to suspend, or ceases or threatens to cease to carry on all or a substantial part of its business. 3.4 Upon termination of this Agreement for any reason: (a) the Client shall immediately pay to the Consultant all of the Consultant's outstanding unpaid invoices and interest and, in respect of Services supplied but for which no invoice has been submitted, the Consultant may submit an invoice, which shall be payable immediately upon receipt; (b) each Party shall promptly return or destroy (at the disclosing Party's option) all Confidential Information belonging to the other Party in its possession or control; and (c) the accrued rights, remedies, obligations, and liabilities of the Parties as at expiry or termination shall be unaffected, including the right to claim damages in respect of any breach of the Agreement which existed at or before the date of termination or expiry.

The Consultant hereby assigns to the Client, with full title guarantee, all present and future Intellectual Property Rights in the Foreground IP. 4.5 The Consultant waives, or shall procure the waiver of, all moral rights arising under Chapter IV of the Copyright, Designs and Patents Act 1988, and any equivalent rights worldwide, in respect of the Foreground IP.

7. LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Nothing in this Agreement shall limit or exclude either Party's liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot be limited or excluded by applicable law. 7.2 Subject to Clause 7.1, neither Party shall under any circumstances be liable to the other Party, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for: (a) any loss of profits, sales, business, or revenue; (b) loss or corruption of data, information, or software; (c) loss of business opportunity; (d) loss of anticipated savings; (e) loss of goodwill; or (f) any indirect or consequential loss. 7.3 Subject to Clause 7.1, each Party's total aggregate liability to the other Party under or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total fees paid or payable by the Client to the Consultant under this Agreement in the twelve (12) month period immediately preceding the event giving rise to the claim. 7.4 The Consultant shall indemnify, keep indemnified, and hold harmless the Client against all losses, damages, liabilities, costs (including legal fees), and expenses incurred by the Client arising out of or in connection with any claim that the Services or deliverables infringe the Intellectual Property Rights of any third party.
8. DISPUTE RESOLUTION & ARBITRATION
8.1 If a dispute arises out of or in connection with this Agreement or its formation or validity (including non-contractual disputes or claims), the Parties shall attempt in good faith to resolve such dispute through senior management representatives. 8.2 If the dispute is not resolved within thirty (30) days of the commencement of discussions under Clause 8.1, the dispute shall be referred to mediation in accordance with the Model Mediation Procedure of the Centre for Effective Dispute Resolution (CEDR).
