WHEREAS, the parties intend to establish an independent contractor relationship, wherein Consultant operates with autonomy regarding the means and methods of executing the agreed-upon scope of work, subject to the final performance outcomes specified herein;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement. Client hereby engages Consultant to provide, and Consultant agrees to provide, the professional consulting services described herein and in any mutually executed Statement of Work (each, an "SOW") substantially in the form attached hereto as Exhibit A (collectively, the "Services").
1.2 Statements of Work. Each SOW shall explicitly detail the specific Services to be rendered, project milestones, deliverables, timelines, and specific compensation structures. In the event of any direct conflict between the terms of this Agreement and the terms of any SOW, the terms of this Agreement shall control unless the SOW expressly references the specific section of this Agreement to be modified and is executed by authorized representatives of both parties.
1.3 Standard of Performance. Consultant shall perform the Services in a professional, workmanlike manner, in accordance with industry standards and best practices, and with the degree of skill, care, and diligence expected of a recognized professional in Consultant’s field. Consultant shall allocate sufficient resources and qualified personnel to ensure timely completion of the Services.
1.4 Changes to Scope. Any material modification, expansion, or reduction of the Services or deliverables set forth in an SOW must be memorialized in a written change order (a "Change Order") signed by authorized representatives of both parties, detailing any corresponding adjustments to fees, timelines, and deliverables.
2. COMPENSATION & PAYMENT TERMS
2.1 Compensation. In consideration for the full and faithful performance of the Services, Client shall pay Consultant the fees set forth in the applicable SOW, which may be structured on an hourly, retainer, or milestone-completion basis.
2.2 Invoicing. Unless otherwise specified in an SOW, Consultant shall submit itemized invoices to Client on a [monthly / bi-weekly] basis for Services rendered and reimbursable expenses incurred during the preceding billing cycle.
2.3 Payment Terms. Client shall remit full payment for all undisputed invoice amounts within [Number, e.g., Thirty (30)] days of the invoice receipt date. All payments shall be remitted in United States Dollars (USD) via wire transfer, electronic ACH, or check to the payment coordinates designated in writing by Consultant.
2.4 Late Payments & Interest. Any undisputed amounts not paid when due shall accrue late fees at the maximum rate permitted by applicable state law, or one and one-half percent (1.5%) per month (whichever is less), calculated from the date such payment was due until the date of actual payment in full. Consultant reserves the right to suspend the performance of any ongoing Services under this Agreement or any SOW if any undisputed invoice remains unpaid for more than [Number, e.g., Fifteen (15)] days following written notice of delinquency.
2.5 Expenses. Client shall reimburse Consultant for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred by Consultant in connection with the performance of the Services, including travel, lodging, and specialized third-party software or materials. Consultant shall provide itemized receipts and supporting documentation for all claimed expenses alongside the applicable invoice.
2.6 Taxes. Consultant shall be solely responsible for the payment of all federal, state, and local taxes, income tax withholding, self-employment taxes, social security, unemployment insurance, and workers' compensation insurance arising out of or related to the compensation paid under this Agreement. Client shall not withhold any sums from Consultant's compensation for tax purposes, provided that Consultant furnishes a completed IRS Form W-9 (or W-8BEN, if applicable) upon execution of this Agreement.
3. TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number, e.g., One (1)] year(s), unless earlier terminated in accordance with the provisions of this Section 3 (the "Term"). Expiration of the Term shall not extinguish obligations accrued prior to termination.
3.2 Termination for Convenience. Either party may terminate this Agreement, or any individual SOW, without cause and for any reason, by providing at least [Number, e.g., Thirty (30)] days prior written notice to the other party.
3.3 Termination for Cause. Either party may terminate this Agreement and any active SOW immediately upon written notice if the other party: (a) Materially breaches any provision of this Agreement or an SOW and fails to cure such material breach within [Number, e.g., Fifteen (15)] days after receipt of written notice detailing the specific breach; (b) Files a petition in bankruptcy, becomes insolvent, makes an assignment for the benefit of creditors, or has a receiver or trustee appointed for all or a substantial part of its assets; or (c) Engages in gross negligence, willful misconduct, or fraudulent acts materially damaging to the reputation or business operations of the non-breaching party.
3.4 Effect of Termination. Upon the effective date of termination of this Agreement or any SOW: (a) Consultant shall immediately cease performance of the terminated Services; (b) Client shall promptly pay Consultant for all Services rendered and un-reimbursed pre-approved expenses incurred up to the effective date of termination, calculated on a pro-rata basis where applicable; (c) Each party shall promptly return or destroy (and certify destruction of) all Confidential Information of the other party in its possession pursuant to Section 6; and (d) Sections 4, 5, 6, 8, 9, 10, and 11 shall survive any expiration or termination of this Agreement.

4.2 Work Made for Hire & Assignment. To the maximum extent permitted by applicable law, all Work Product shall be deemed a "work made for hire" for Client. To the extent that any Work Product does not qualify as a work made for hire, Consultant hereby irrevocably, absolutely, and unconditionally assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein (including copyrights, patents, trademarks, trade secrets, and moral rights).
4.3 Consultant Pre-Existing IP. Notwithstanding Section 4.2, Consultant retains all right, title, and interest in and to all proprietary methodologies, pre-existing software, frameworks, tools, templates, algorithms, and trade secrets owned or developed by Consultant prior to the Effective Date or independently of this Agreement ("Consultant Background IP"). If any Work Product incorporates or relies upon any Consultant Background IP, Consultant hereby grants to Client a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable license to use, execute, reproduce, display, and distribute such Consultant Background IP solely as incorporated into and necessary for the exploitation of the Work Product.
4.4 Further Assurances. 5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt prior written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

9. DISPUTE RESOLUTION & ARBITRATION
9.1 Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity (a "Dispute"), the authorized representatives of the parties shall first attempt to resolve the Dispute through good-faith negotiations during a period of not less than [Number, e.g., Fifteen (15)] days following written notice of the Dispute by one party to the other.

2. Signatory Authority Verification
- Confirm that the individuals executing the agreement on behalf of both the Consultant and the Client possess binding corporate authority (e.g., Chief Executive Officer, Managing Member, President, or explicitly authorized corporate officer).
- For high-value engagements, require corporate resolutions or a Certificate of Incumbency verifying signature authority for entities operating outside sole proprietorship structures.
