5. STEP-BY-STEP EXECUTION & FILING GUIDE

Phase I: Document Customization

  1. Field Population: Use the "Find and Replace" function (Ctrl+H in Word) to locate all bracketed text (e.g., [Client Legal Name]). Replace with your verified legal entity data.
  2. Exhibit Attachment: Do not modify the core clauses. If specific project deliverables are required, append them as "Exhibit A" at the end of the document to ensure the main contract remains clean and modular.
  3. Drafting Review: Ensure the [Jurisdiction] in the Preamble matches the governing law clause in Section 3.9.

Phase II: Validation of Authority

  1. Signatory Verification: Ensure the individuals signing possess "Actual Authority" to bind their respective entities. For corporations, verify if a board resolution or corporate officer title (CEO, COO, President) is required by your bylaws.
  2. Entity Standing: Prior to signing, verify the good standing of the counterparty via the Secretary of State’s business portal in the jurisdiction where they are incorporated.

Phase III: Record Retention

  1. Digital Archiving: Convert the final signed document to PDF/A format for long-term preservation.
  2. Metadata Tagging: File under the naming convention: YYYYMMDD_ClientName_ConsultingAgreement_ProjectID.
  3. Redline Management: If negotiating terms, maintain a "Track Changes" version history for the duration of the engagement to ensure future audit trails regarding agreed-upon modifications.
