OFFICIAL NOTICE & DISCLAIMER

Legal Notice: This Independent Consulting Agreement template is drafted to reflect general commercial standards under Canadian common law and civil law principles (Quebec CCQ considerations noted where applicable). It establishes an independent contractor relationship, not an employment relationship. However, Canadian provincial labor boards, the Canada Revenue Agency (CRA), and Workers' Compensation boards look beyond contractual titles to the actual operational reality of the engagement to determine worker status (tests include control, integration, economic risk, and provision of tools). Parties must customize this template to reflect their exact operational arrangements. Users are strongly advised to retain qualified Canadian legal and tax counsel to review final execution versions.

STEP-BY-STEP EXECUTION GUIDE

  1. Review and Customization: Ensure all bracketed placeholders (e.g., [Company Name], [Province], [Amount]) are fully completed and verified against actual operational facts.
  2. Tax Registration Check: Confirm whether the Consultant’s gross revenues exceed the $30,000 threshold requiring mandatory GST/HST/QST registration with the CRA or provincial tax bodies. Insert registration numbers accordingly.
  3. Execution: Both parties must sign and date the Execution Block. Electronic signatures (DocuSign, Adobe Sign) or scanned PDFs are fully valid across Canadian jurisdictions.
  4. Filing & Record Keeping: Store the fully executed PDF in the corporate legal repository. Provide copies to both the Company's accounts payable department and the Consultant for tax tracking.
  5. Operational Compliance: Ensure day-to-day operations reflect an independent contractor relationship (avoid establishing fixed work hours mandated by the company, control over how the work is done, or exclusive economic dependence) to mitigate Canada Revenue Agency (CRA) worker reclassification risks.
