OPERATIVE CLAUSES & LEGAL TERMS
1. Early Termination Date and Surrender of Premises
1.1 Early Termination Date. The term of the Lease shall terminate on [Termination Date] (the "Termination Date") at 11:59 local time, at which time Tenant’s right to occupy and use the Premises shall completely cease. 1.2 Surrender of Possession. On or prior to the Termination Date, Tenant shall vacate and surrender the Premises to Landlord in broom-clean condition, free of all occupants, personal property, debris, and trade fixtures (except as otherwise permitted by Landlord in writing), and in the exact condition required under the Lease upon natural expiration, normal wear and tear excepted. 1.3 Keys and Access Devices. Tenant shall deliver all keys, access cards, security codes, and garage openers pertaining to the Premises and the building to Landlord’s designated representative no later than 5:00 PM local time on the Termination Date.
2. Termination Consideration and Financial Terms
2.1 Termination Fee. In consideration for Landlord entering into this Agreement and agreeing to an early termination of the Lease, Tenant shall pay to Landlord a termination fee in the amount of [Amount in USD] (the "Termination Fee"). The Termination Fee shall be paid via wire transfer of immediately available funds to an account designated in writing by Landlord, payable on or before [Payment Due Date]. 2.2 Outstanding Rent and Additional Rent. Tenant shall pay all base rent, additional rent, operating expense escalations, real estate taxes, and utility charges accrued under the Lease up to and including the Termination Date. Such reconciliation and final billing shall be calculated by Landlord and delivered to Tenant within [Number] days following the Termination Date, and Tenant shall pay such reconciled amount within [Number] days of receipt. 2.3 Security Deposit Disposition. Landlord currently holds a security deposit in the amount of [Amount in USD] (the "Security Deposit") pursuant to the terms of the Lease. Within [Number] days following the Termination Date and the complete surrender of the Premises in compliance with Section 1, Landlord shall inspect the Premises. Landlord shall apply the Security Deposit to any outstanding obligations under this Agreement or the Lease (including damages to the Premises or unpaid Termination Fees) and return the remaining balance, if any, to Tenant via check or wire transfer, accompanied by an itemized accounting of any deductions.
3. Mutual Release of Claims
3.1 Tenant’s Release. Effective as of the Termination Date and upon receipt of full performance under this Agreement, Tenant, for itself and its past, present, and future parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, legal representatives, successors, and assigns, hereby completely, unconditionally, and irrevocably releases and forever discharges Landlord, its managing agents, and their respective past, present, and future parent companies, subsidiaries, affiliates, partners, members, officers, directors, shareholders, employees, agents, attorneys, insurers, successors, and assigns, from any and all claims, demands, liabilities, obligations, damages, costs, expenses, actions, and causes of action of every kind and nature whatsoever, whether known or unknown, suspected or unsuspected, absolute or contingent, both at law and in equity, arising out of, under, or in connection with the Lease or the Premises, accrued prior to or as of the Termination Date. 3.2 Landlord’s Release. Effective as of the Termination Date and upon receipt of full performance under this Agreement, Landlord, for itself and its past, present, and future parent companies, subsidiaries, affiliates, partners, members, officers, directors, shareholders, employees, agents, legal representatives, successors, and assigns, hereby completely, unconditionally, and irrevocably releases and forever discharges Tenant, its past, present, and future parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, attorneys, insurers, successors, and assigns, from any and all claims, demands, liabilities, obligations, damages, costs, expenses, actions, and causes of action of every kind and nature whatsoever, whether known or unknown, suspected or unsuspected, absolute or contingent, both at law and in equity, arising out of, under, or in connection with the Lease or the Premises, accrued prior to or as of the Termination Date; provided, however, that Landlord expressly reserves, and this release shall not apply to, any obligations created by or surviving under this Agreement. 3.3 Waiver of Unknown Claims. The Parties acknowledge that they may hereafter discover facts different from or in addition to those which they now know or believe to be true with respect to the subject matter of this Agreement and the releases contained herein. The Parties agree that the releases herein shall be and remain in effect in all respects as a complete general release, notwithstanding the discovery or existence of any such additional or different facts. The Parties expressly waive any rights that they may have under any applicable law, rule, or statute that limits the effect of a general release to unknown claims.
4. Representations and Warranties
4.1 Tenant’s Representations and Warranties. Tenant represents and warrants to Landlord that: (a) Tenant has full corporate/entity power and authority to execute and deliver this Agreement and perform its obligations hereunder; (b) the execution and delivery of this Agreement have been duly authorized by all necessary corporate/entity action; (c) Tenant has not assigned, sublet, transferred, encumbered, or hypothecated all or any part of its interest in the Lease or the Premises to any third party; (d) no other person or entity has any right, title, or interest in the Lease or the Premises; and (e) there are no liens, judgments, or encumbrances against Tenant that would attach to or encumber the Premises or Landlord’s property. 4.2 Landlord’s Representations and Warranties. Landlord represents and warrants to Tenant that: (a) Landlord has full corporate/entity power and authority to execute and deliver this Agreement and perform its obligations hereunder; (b) the execution and delivery of this Agreement have been duly authorized by all necessary corporate/entity action; and (c) Landlord is the current fee owner of the real property containing the Premises or has the legal authority to enter into this termination agreement.
5. Default, Cure Periods, and Remedies
5.1 Events of Default. The failure of either Party to perform, keep, or fulfill any covenant, undertaking, obligation, or condition set forth in this Agreement shall constitute an event of default hereunder. 5.2 Cure Period. In the event of a monetary default, the defaulting Party shall have [Number, e.g., 5] business days from receipt of written notice to cure such default. In the event of a non-monetary default, the defaulting Party shall have [Number, e.g., 15] days from receipt of written notice to cure such default. 5.3 Remedies upon Default. Upon the occurrence of an uncured default under this Agreement, the non-defaulting Party may pursue any and all remedies available at law or in equity, including specific performance, injunctive relief, and the recovery of damages. Furthermore, if Tenant defaults in vacating the Premises by the Termination Date, Tenant shall be deemed a holdover tenant subject to the holdover penalty provisions set forth in the Original Lease, and Landlord may immediately institute summary eviction proceedings.
6. Indemnification and Limitation of Liability
6.1 Tenant Indemnity. Tenant shall defend, indemnify, and hold harmless Landlord, its property managers, and their respective officers, directors, agents, and employees from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or resulting from: (a) Tenant’s occupation, use, or surrender of the Premises; (b) any breach of Tenant’s representations, warranties, or covenants under this Agreement; or (c) any damage to the building or the Premises caused by Tenant, its agents, employees, or contractors during the process of vacating and removing personal property. 6.2 Landlord Indemnity. Landlord shall defend, indemnify, and hold harmless Tenant and its officers, directors, agents, and employees from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or resulting from any breach of Landlord’s representations, warranties, or covenants under this Agreement.

The Parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in [County], [State/Province]. 7.2 Arbitration Election. Either Party may, by written demand, elect to submit any dispute arising out of or relating to this Agreement to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. 7.3 Attorneys’ Fees. In the event of any litigation or arbitration arising out of this Agreement, the prevailing Party shall be entitled to recover from the non-prevailing Party all reasonable costs incurred, including reasonable attorneys' fees, expert witness fees, and court costs.
8. Miscellaneous Provisions
8.1 Entire Agreement. This Agreement, together with the Original Lease (to the extent provisions are expressly stated herein as surviving), constitutes the entire understanding and agreement between Landlord and Tenant with respect to the subject matter hereof and supersedes all prior negotiations, term sheets, correspondence, and understandings, whether oral or written. 8.2 Amendments and Modifications. This Agreement may not be amended, modified, altered, or changed in any respect whatsoever except by a written instrument duly executed by authorized representatives of both Landlord and Tenant. 8.3 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from this Agreement. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected hereby. 8.4 Counterparts and Electronic Signatures. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Counterparts may be delivered via facsimile, electronic mail (including PDF or DocuSign), or other transmission method, and any such electronic signature shall have the same legal force and effect as a manually executed original. 8.5 Binding Effect. This Agreement shall be binding upon, and shall insure to the benefit of, the Parties hereto and their respective legal representatives, successors, and permitted assigns. 8.6 Authority to Execute. Each person executing this Agreement on behalf of a Party represents and warrants that they have been fully authorized by all necessary corporate, partnership, or trust action to execute and deliver this Agreement on behalf of such Party.
