COMMERCIAL LEASE AGREEMENT

THIS LEASE AGREEMENT (the "Agreement") is made and entered into this [Day] day of [Month], [Year] (the "Effective Date") by and between:

LANDLORD: [Landlord Full Legal Name], having its registered office at [Registered Address] (hereinafter referred to as the "Landlord"); and

TENANT: [Tenant Full Legal Name], having its registered office at [Registered Address] (hereinafter referred to as the "Tenant").

(Collectively referred to as the "Parties").

RECITALS

WHEREAS, the Landlord is the registered owner of the premises located at [Full Address of Property] (the "Premises"); WHEREAS, the Landlord desires to lease the Premises to the Tenant, and the Tenant desires to lease the Premises from the Landlord for commercial purposes under the terms and conditions set forth herein, subject to the laws of Ireland.

1. OPERATIONAL DEFINITIONS

1.1. "Term": The period of [Number] years commencing on the Effective Date and expiring on [Expiry Date], unless terminated earlier pursuant to this Agreement. 1.2. "Rent": The sum of [Currency Amount] per [Month/Quarter/Year], exclusive of VAT, payable in advance. 1.3. "Permitted Use": The use of the Premises exclusively for [Specific Commercial Activity]. 1.4. "Service Charge": All costs incurred by the Landlord for the maintenance, repair, and insurance of common areas. 1.5. "Business Day": A day (other than a Saturday, Sunday, or public holiday) on which banks are open for general business in Ireland.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Grant of Lease: The Landlord hereby leases the Premises to the Tenant for the Term, subject to the covenants and conditions contained herein. 2.2. Rent Payment: The Tenant shall pay the Rent via electronic funds transfer to the Landlord’s nominated bank account, without set-off or deduction, on the [Day] of each calendar month. 2.3. Maintenance and Repair: The Tenant shall keep the interior of the Premises in good and substantial repair and condition throughout the Term. The Landlord shall be responsible for the structural integrity of the roof, exterior walls, and foundations. 2.4. Compliance with Law: The Tenant shall comply with all applicable Irish statutory requirements, including Health and Safety at Work legislation, fire safety regulations, and planning permissions relevant to the Permitted Use. 2.5. Insurance: The Landlord shall maintain adequate building insurance. The Tenant shall maintain adequate public liability insurance and insurance for its own trade fixtures and contents.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Events of Default: An Event of Default occurs if: (a) The Tenant fails to pay Rent or any other sum due within 14 days of the due date; (b) The Tenant breaches any material obligation under this Agreement and fails to remedy said breach within 30 Business Days of receiving written notice from the Landlord. (c) The Tenant enters into liquidation, examinership, or becomes insolvent. 3.2. Termination for Cause: Upon the occurrence of an Event of Default, the Landlord may, at its discretion, exercise a right of re-entry or terminate this Agreement upon providing 30 Business Days’ notice. 3.3. Remedies: Termination of this Agreement shall be without prejudice to any accrued rights or remedies available to the Landlord, including the recovery of arrears, interest on late payments at the rate of [Percentage]% per annum, and legal costs incurred in enforcement.

4. BOILERPLATE LEGAL PROVISIONS

4.1. Severability: If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. 4.2. Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior representations, negotiations, or understandings, whether oral or written. 4.3. Force Majeure: Neither Party shall be liable for any failure to perform its obligations where such failure results from any cause beyond its reasonable control, including acts of God, war, or governmental restriction. 4.4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Ireland. 4.5. Dispute Resolution: Any dispute arising out of this Agreement shall, in the first instance, be attempted to be resolved through good-faith mediation. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the Courts of Ireland.
