1. STATUTORY & LEGAL COMPLIANCE NOTICE
CRITICAL LEGAL DISCLAIMER: This Commercial Lease Agreement template is drafted to reflect standard commercial real estate practices and statutory frameworks within the Republic of Singapore, specifically incorporating principles under the Conveyancing and Law of Property Act (Cap. 61), the Land Titles Act (Cap. 157), and the COVID-19 (Temporary Measures) Act where applicable.
This document is a sophisticated legal instrument intended for institutional application. Real estate transactions in Singapore often involve complex title searches, URA (Urban Redevelopment Authority) and BCA (Building and Construction Authority) compliance, property tax allocations, and Goods and Services Tax (GST) implications. Parties must seek independent Singapore-qualified legal counsel and real estate advisory services to ensure customization matches the specific physical, financial, and regulatory profile of the subject premises.

The Base Rent shall be due and payable in advance on or before the first (1st) day of each calendar month, without any demand, deduction, set-off, or counterclaim whatsoever. 3.2 Service Charge. In addition to the Base Rent, the Tenant shall pay to the Landlord a monthly service charge amounting to [Amount in USD / SGD] (the "Service Charge") to cover the operational, maintenance, security, and management expenses of the common areas of the Building. It shall not be deemed an advance payment of rent or a measure of liquidated damages sustained by the Landlord in the event of a breach by the Tenant. 4.3 Deductions and Replenishment. If the Tenant defaults in the prompt payment of rent, service charges, utilities, or breaches any other covenant herein, the Landlord may, upon written notice to the Tenant, draw upon, apply, or retain all or any part of the Security Deposit to cure such default, compensate for arrears, or repair any damage caused by the Tenant. The Tenant shall not make any structural alterations, additions, or improvements to the Premises without obtaining the prior written consent of the Landlord, which consent shall not be unreasonably withheld in the case of non-structural interior fit-outs. All authorized alterations or improvements made by the Tenant shall, upon the expiration or termination of the Lease, become the property of the Landlord, unless the Landlord elects in writing to require the Tenant to remove the same and restore the Premises to its original condition at the Tenant’s sole expense.
SECTION 7: INDEMNITY, INSURANCE, AND LIABILITY
7.1 Tenant’s Indemnity. The Tenant agrees to defend, indemnify, and hold harmless the Landlord, its directors, officers, agents, and employees from and against any and all claims, actions, damages, liabilities, losses, costs, and expenses (including legal fees on a solicitor-client basis) arising out of or resulting from: (a) any negligence or willful misconduct of the Tenant, its employees, agents, or invitees within the Premises or Building; (b) any breach or default by the Tenant in the performance of its obligations under this Agreement; or (c) any injury to persons or damage to property occurring within the Premises, except to the extent caused by the gross negligence or willful default of the Landlord. 7.2 Tenant’s Insurance. The Tenant shall, throughout the Term and at its sole cost, maintain comprehensive commercial general liability insurance covering bodily injury, property damage, and public liability arising from its occupancy of the Premises, with a coverage limit of not less than [Amount in USD / SGD] per occurrence. Furthermore, the Tenant shall maintain property insurance covering all of its trade fixtures, equipment, and internal improvements against fire, theft, and standard perils. Certificates of insurance shall be furnished to the Landlord upon request. 7.3 Limitation of Landlord Liability. The Landlord shall not be liable to the Tenant for any loss, injury, or damage sustained by the Tenant or any third party resulting from fire, theft, water leakage, interruption of utilities (electricity, water, air conditioning, telecommunications), or acts of God, except where such loss or damage is directly caused by the proven gross negligence or willful misconduct of the Landlord.
SECTION 8: DEFAULT AND TERMINATION
8.1 Events of Default. Each of the following events shall constitute an "Event of Default" by the Tenant:
- (a) The Tenant fails to pay Base Rent, Service Charges, or any other monetary sum within ten (10) business days after the same becomes due;
- (b) The Tenant breaches or fails to observe any non-monetary covenant, condition, or agreement contained in this Agreement and fails to remedy such breach within fourteen (14) calendar days after receipt of written notice from the Landlord specifying the breach;
- (c) The Tenant passes a resolution for winding up (other than for the purpose of a solvent amalgamation or reconstruction), enters into liquidation, has a judicial manager, receiver, or manager appointed over the whole or any substantial part of its assets, or compounds with its creditors; or
- (d) The Tenant abandons or vacates the Premises for a continuous period of more than thirty (30) days without prior written notice to the Landlord. 8.2 Landlord’s Remedies. Upon the occurrence of any Event of Default, the Landlord shall have the immediate right, without prejudice to any other rights or remedies available at law or in equity, to:
- (a) Terminate this Lease by written notice to the Tenant, whereupon the Term shall immediately cease and determine, but without releasing the Tenant from its accrued liabilities;
- (b) Re-enter and take possession of the Premises, forcibly if necessary, and expel the Tenant and its property without being liable for prosecution or damages; and
- (c) Sue for and recover all past-due rent, damages for breach of contract, and acceleration of remaining rent installments or damages equivalent to the unexpired balance of the Term, subject to the Landlord’s common law duty to mitigate damages.
SECTION 9: SURRENDER OF PREMISES
9.1 Condition upon Surrender. Upon the expiration or earlier termination of this Lease, the Tenant shall peaceably and quietly yield up and surrender vacant possession of the Premises to the Landlord in good, clean, and tenantable condition (fair wear and tear excepted), broom-clean, and with all Tenant's trade fixtures, movable partitions, signs, and personal property fully removed. 9.2 Holding Over. If the Tenant remains in possession of the Premises after the expiration or termination of this Lease without the express written consent of the Landlord, such holding over shall be construed as a tenancy at sufferance, and the Tenant shall pay to the Landlord holding over rent at the rate of two hundred percent (200%) of the prevailing monthly Gross Rent, alongside indemnifying the Landlord for all consequential damages resulting from the delay in delivering vacant possession.
SECTION 10: GOVERNING LAW AND DISPUTE RESOLUTION
10.1 Governing Law. This Agreement, and any non-contractual obligations arising out of or in connection with it, shall be governed by, construed, and enforced in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. 10.2 Dispute Resolution. Execution and delivery of this Agreement via electronic signature systems (such as DocuSign or Adobe Sign) or PDF transmission shall constitute valid, binding execution. 11.4 Confidentiality. Both Parties agree to keep the financial terms, conditions, and operational details of this Lease strictly confidential, and shall not disclose the same to any third party without the prior written consent of the other Party, except as required by applicable law, statutory reporting, or accounting auditing standards.
