3.8. Insurance. 3.8.1. Tenant's Insurance. Tenant shall, at its sole cost and expense, maintain throughout the Term: (a) Commercial General Liability Insurance with a minimum combined single limit of [Dollar Amount] ($[Dollar Amount]) per occurrence and [Dollar Amount] ($[Dollar Amount]) in the aggregate, naming Landlord and any parties designated by Landlord as additional insureds. (b) Property Insurance covering Tenant's personal property, trade fixtures, and Alterations located in the Premises against loss or damage by fire and other perils normally covered by an "all-risk" policy, in an amount not less than the full replacement cost. (c) Workers' Compensation Insurance as required by Law. 3.8.2. Landlord's Insurance. Landlord shall maintain, at its expense, property insurance covering the Building (excluding Tenant's property) and Commercial General Liability Insurance for the Common Areas. The cost of Landlord's insurance related to the Building and Property may be passed through to Tenant as Additional Rent. 3.8.3. Waiver of Subrogation. Landlord and Tenant each waive any and all rights of recovery against the other for loss or damage to their respective property covered by insurance policies required or permitted under this Agreement.

3.9. Indemnification. 3.9.1. Tenant's Indemnity. Tenant shall indemnify, defend, and hold harmless Landlord, its agents, employees, and invitees, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) Tenant's use or occupancy of the Premises; (b) any breach by Tenant of this Agreement; (c) any acts or omissions of Tenant or its agents, employees, contractors, or invitees; or (d) any Alterations made by Tenant. 3.9.2. 3.10. Subleasing and Assignment. Tenant shall not assign this Agreement, or sublease all or any part of the Premises, or permit the use or occupancy of the Premises by any party other than Tenant, without the prior express written consent of Landlord, which consent may be withheld in Landlord's sole discretion. Any attempted assignment, sublease, or transfer without such consent shall be null and void and constitute an Event of Default.

3.11. Damage or Destruction. 3.11.1. Partial Damage. If the Premises or Building are partially damaged by fire or other casualty, but not rendered untenantable, Landlord shall, with reasonable diligence, repair the damage. If the damage renders the Premises wholly or partially untenantable, Base Rent shall be abated proportionally during the period of untenantability. 3.11.2. Substantial Damage. If the Premises or Building are substantially damaged or rendered wholly untenantable, Landlord shall have the option to repair or reconstruct the Premises/Building within [Number] ([Number]) days of the casualty or to terminate this Agreement by written notice to Tenant. If Landlord elects to terminate, this Agreement shall terminate as of the date of damage. If Landlord elects to repair, it shall do so with reasonable diligence, and Base Rent shall be abated during the period of untenantability.

3.12. Condemnation. 3.12.1. Total Taking. If the entire Premises are taken by eminent domain or condemnation, this Agreement shall terminate as of the date of the taking. 3.12.2. Partial Taking. If the Agreement is not terminated, the Base Rent shall be equitably abated, and Landlord shall make reasonable efforts to restore the remaining Premises. 3.12.3. Awards. All compensation awarded for any taking of the Premises or Building shall belong to Landlord. Tenant shall have no claim to any part of a condemnation award, except for any separate award made to Tenant for its relocation expenses or the value of its trade fixtures, if separately awarded.

4. Default, Termination, and Remedies

4.1. Events of Default by Tenant. The occurrence of any of the following shall constitute an "Event of Default" by Tenant under this Agreement: 4.1.1. Monetary Default. Failure to pay any installment of Base Rent, Additional Rent, or any other sum due to Landlord under this Agreement, if such failure continues for [Number] ([Number]) business days after written notice from Landlord to Tenant. 4.1.2. Non-Monetary Default. Failure to perform any other term, covenant, or condition of this Agreement (other than payment of money) if such failure continues for [Number] ([Number]) business days after written notice from Landlord to Tenant; provided, however, that if such default cannot reasonably be cured within such [Number] business day period, Tenant shall not be in default if Tenant commences to cure within such period and thereafter diligently and continuously prosecutes the cure to completion within a reasonable time, not to exceed [Number] ([Number]) additional days. 4.1.3. Insolvency/Bankruptcy. The filing of a petition by or against Tenant under any chapter of the U.S. Bankruptcy Code or similar insolvency laws, or the making of any assignment for the benefit of creditors, or the appointment of a receiver, trustee, or similar official over all or substantially all of Tenant's assets, unless such petition or appointment is dismissed or vacated within [Number] ([Number]) days. 4.1.4. Abandonment. Abandonment of the Premises by Tenant.

4.2. Landlord's Remedies. Upon the occurrence of any Event of Default by Tenant, Landlord shall have the following remedies, in addition to all other rights and remedies available at law or in equity, all of which shall be cumulative and not mutually exclusive: 4.2.1. Termination of Lease. Landlord may terminate this Agreement by giving written notice to Tenant. Upon such termination, Landlord may recover from Tenant: (a) The worth at the time of award of any unpaid rent that had been earned at the time of termination. (b) The worth at the time of award of the amount by which the unpaid rent that would have been earned after termination until the time of award exceeds the amount of such rental loss that Tenant proves could have been reasonably avoided. (c) The worth at the time of award of the amount by which the unpaid rent for the balance of the Term after the time of award exceeds the amount of such rental loss that Tenant proves could be reasonably avoided. (d) Any other amount necessary to compensate Landlord for all the detriment proximately caused by Tenant’s failure to perform its obligations under this Lease or that in the ordinary course of things would be likely to result therefrom, including, without limitation, costs of recovering possession, costs of reletting, remodeling costs, attorneys’ fees, and brokerage commissions. 4.2.2. Re-entry and Repossession. Landlord may re-enter the Premises and take possession thereof, by force or otherwise, without terminating this Agreement, and without liability for trespass or damages. Landlord may relet the Premises on such terms and conditions as Landlord deems advisable, and Tenant shall remain liable for any deficiency between the rent due under this Agreement and the rent collected from any reletting, after deducting Landlord's reletting expenses. 4.2.3. Cure by Landlord. If Tenant fails to perform any of its non-monetary obligations under this Agreement after applicable notice and cure periods, Landlord may, but shall not be obligated to, perform such obligation on Tenant's behalf. All costs incurred by Landlord in performing such obligation shall be reimbursed by Tenant to Landlord upon demand, together with interest at the maximum legal rate from the date incurred until paid.

4.3. Tenant's Remedies. In the event of a material breach by Landlord of any of its obligations under this Agreement, Tenant shall provide written notice to Landlord specifying the nature of the breach. If Landlord fails to cure such breach within [Number] ([Number]) business days after receipt of such notice (or such longer period as may be reasonably required if the breach cannot be cured within [Number] business days, provided Landlord commences cure within said [Number] business days and diligently prosecutes the cure to completion), Tenant may pursue any remedies available at law or in equity, provided that Tenant's remedies shall generally be limited to injunctive relief, specific performance, or an action for damages, and Tenant shall not have the right to terminate this Agreement or withhold rent unless expressly permitted by applicable law.

4.4. Holdover. If Tenant remains in possession of the Premises after the Expiration Date or earlier termination of this Agreement without Landlord's express written consent, Tenant shall be deemed a holdover tenant. During any holdover period, Tenant shall pay to Landlord [Percentage, e.g., one hundred fifty percent (150%)] of the Total Rent applicable immediately prior to the holdover, computed on a daily basis. Such holdover shall not be deemed to extend the Term or renew this Agreement, and Tenant shall indemnify Landlord against all damages, including consequential damages, incurred by Landlord as a result of such holdover.
