The Tenant shall pay to the Landlord Base Rent in the amount of [Annual Rent Amount in Words] ($[Annual Rent Amount in Figures]) per annum, exclusive of GST, payable in advance in equal monthly installments of [Monthly Rent Amount] on the first day of each calendar month.

3.2 Rent Review

The Base Rent shall be reviewed annually on each anniversary of the Commencement Date by [Method of Review, e.g., CPI / Fixed Percentage of X%]. In no event shall the Base Rent resulting from such review be less than the Base Rent payable immediately prior to the review date.

3.4 Security Deposit

Concurrently with the execution of this Agreement, the Tenant shall deposit with the Landlord the sum of [Security Deposit Amount] ($[Security Deposit Figures]) as a Security Deposit. The Landlord may draw upon the Security Deposit to remedy any default by the Tenant in the payment of rent, outgoings, or the repair of damage caused by the Tenant.

3.5 Permitted Use and Compliance

The Tenant shall use the Premises strictly for the Permitted Use and for no other purpose whatsoever. The Tenant shall, at its sole cost and expense, comply with all applicable Commonwealth, State, and local laws, statutes, regulations, bylaws, and planning approvals (including all requirements under NSW environmental and occupational health and safety legislation).

3.6 Maintenance, Repairs, and Alterations

The Tenant shall, at its own expense, keep the interior of the Premises in good, clean, and tenantable repair, fair wear and tear excepted. The Tenant shall not make any structural alterations, additions, or improvements to the Premises without obtaining the Landlord’s prior written consent, which consent shall not be unreasonably withheld.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default

The occurrence of any one or more of the following events shall constitute an immediate Event of Default by the Tenant under this Agreement:

  1. Failure by the Tenant to pay any installment of Base Rent, Additional Rent, or GST within seven (7) Business Days of its due date.
  2. Failure by the Tenant to observe, perform, or comply with any other material term, covenant, or condition of this Agreement for a period of thirty (30) Business Days after written notice thereof has been given by the Landlord.
  3. The filing of a petition in bankruptcy, insolvency, or reorganization under any law by or against the Tenant, or the appointment of a receiver, liquidator, or trustee for all or substantially all of the Tenant's assets.
  4. Abandonment or vacation of the Premises by the Tenant for a continuous period exceeding fourteen (14) Business Days without prior written notice to the Landlord.

4.2 Notice and Cure Periods

Except for failure to pay rent (which shall require a seven (7) Business Day cure window), the Landlord shall provide the Tenant with written notice specifying the exact nature of the Default. The Tenant shall have thirty (30) Business Days from the receipt of such notice to cure the specified Default, provided that if the Default is incapable of being cured within thirty (30) Business Days, the Tenant shall be deemed compliant if it commences curative action within the period and diligently pursues it to completion.

4.3 Landlord’s Legal Recourse and Remedies

Upon the occurrence of an Event of Default that remains uncured following the applicable notice and cure period, the Landlord shall have the immediate right to pursue any or all of the following remedies, cumulatively or in the alternative:

  1. Terminate this Agreement and the tenancy created hereby by serving written notice to the Tenant, whereupon the Tenant shall immediately surrender vacant possession of the Premises.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by any court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement

This Agreement, together with any schedules or annexures expressly incorporated herein, constitutes the entire agreement between the Landlord and the Tenant relating to the subject matter hereof and supersedes all prior oral or written negotiations, representations, understandings, or agreements. No modification or amendment of this Agreement shall be valid unless executed in writing by both parties.

5.3 Force Majeure

Neither party shall be held liable for any failure or delay in performing its obligations under this Agreement if such failure or delay arises from a Force Majeure Event, provided that the affected party gives prompt written notice to the other party and uses all commercially reasonable efforts to mitigate the effects of the disruption. Financial hardship or economic downturn shall not constitute a Force Majeure Event.

5.4 Governing Law and Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of New South Wales (NSW) and the Commonwealth of Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of New South Wales and any courts competent to hear appeals therefrom.

5.5 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or invalidity, the parties shall first attempt to resolve the matter through good-faith executive negotiation.
