COMMERCIAL EQUIPMENT LEASE AGREEMENT

This Commercial Equipment Lease Agreement (the "Agreement") is entered into as of [Effective Date] (the "Effective Date") by and between:

RECITALS

WHEREAS, Lessor owns certain items of commercial equipment described in Schedule A (the "Equipment"); and WHEREAS, Lessee desires to lease the Equipment from Lessor for business purposes, and Lessor desires to lease such Equipment to Lessee, subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1. "Equipment" means the items of personal property described in Schedule A, including all attachments, replacements, parts, and accessories. 1.2. "Lease Term" means the period commencing on the Effective Date and continuing for [Number] months, unless terminated earlier in accordance with this Agreement. 1.3. "Rent" means the periodic payment required under Section 3.1. 1.4. "Default" means any failure by Lessee to perform any obligation under this Agreement, including non-payment or breach of warranty. 1.5. "Force Majeure" means an event beyond the reasonable control of a Party, including acts of God, war, terrorism, riot, embargoes, or government action.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Lease Grant: Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the Equipment for the Lease Term. 2.2. Rent Payments: Lessee shall pay to Lessor the sum of $[Dollar Amount] per [Month/Quarter] as Rent, payable in advance on the [Day] of each period. 2.3. Delivery and Acceptance: Lessee shall inspect the Equipment upon delivery. Unless Lessee notifies Lessor in writing of any defects within [Number] business days, Lessee shall be deemed to have accepted the Equipment as being in good order and condition. 2.4. 3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Events of Default: A Default occurs if Lessee: (a) fails to pay Rent when due; (b) breaches any material term of this Agreement; or (c) becomes insolvent or files for bankruptcy. 3.2. Notice and Cure: Upon the occurrence of a Default, Lessor shall provide written notice to Lessee. Lessee shall have [30] business days from the receipt of such notice to cure said Default. 3.3. Remedies: If the Default remains uncured, Lessor may, at its option: (a) declare all future Rent due; (b) enter the premises where the Equipment is located and repossess it; or (c) terminate this Agreement and pursue any other legal or equitable remedy available under the laws of [Jurisdiction].

4. BOILERPLATE LEGAL PROVISIONS

4.1. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 4.2. Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior understandings, written or oral. 4.3. Force Majeure: Neither party shall be liable for failure to perform due to Force Majeure, provided notice is given to the other party within [Number] days of the event. 4.4.
