SOCIAL MEDIA CONTENT CALENDAR LICENSING AND USAGE AGREEMENT

THIS AGREEMENT (the "Agreement") is made and entered into this [__] day of [__________], 20[__] (the "Effective Date"), by and between:

1. GRANT OF LICENSE

Subject to the terms and conditions herein, Licensor hereby grants to Licensee a [___] (exclusive/non-exclusive), non-transferable, revocable license to utilize the "Social Media Content Calendar Canva Template" (the "Template"). Licensee is authorized to use the Template for the purpose of [________________________________________________] (the "Permitted Use").

2. INTELLECTUAL PROPERTY RIGHTS

The Template remains the sole and exclusive property of the Licensor. All intellectual property rights, including but not limited to copyrights, design rights, and trademarks inherent in the Template, are reserved by the Licensor. Licensee acknowledges that they acquire no ownership interest in the Template by virtue of this Agreement.

3. RESTRICTIONS ON USE

Licensee shall not:

• Redistribute, resell, sublicense, or share the Template files with third parties.
• Modify the Template to create derivative works for the purpose of commercial resale.
• Remove, alter, or obscure any proprietary notices, labels, or marks contained within the Template.
• Use the Template in any manner that is defamatory, unlawful, or infringes upon the rights of any third party.

4. FEES AND PAYMENT

In consideration for the license granted herein, Licensee agrees to pay the Licensor a one-time fee of [__________] (Currency: [____]). Payment shall be made via [________________] no later than [__________].

5. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue for a period of [__________] unless terminated earlier. 6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Licensor shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, arising out of or in connection with the use or inability to use the Template. The total aggregate liability of the Licensor shall not exceed the fees paid by the Licensee under this Agreement.

7. GOVERNING LAW
