Document ID: BOL-CAN-2023-V1.0
Effective Date: [Effective Date]
Governing Jurisdiction: Federal Laws of Canada and the Laws of the Province of [Province Name], inclusive of applicable provincial transport statutes and the federal Transportation of Dangerous Goods Act.

1. STATUTORY & LEGAL COMPLIANCE NOTICE

CRITICAL LEGAL NOTICE: This document constitutes a binding contract of carriage under Canadian transport law. The terms, conditions, and limitations of liability set forth herein govern the transportation, custody, and delivery of the freight described below. This Bill of Lading incorporates by reference the uniform conditions of carriage mandated by provincial transport legislation (e.g., Ontario Regulation 643/20 under the Truck Transportation Act, or equivalent provincial motor transport acts). Shippers and Consignors are strictly advised to review all terms, declare accurate valuations, and ensure full compliance with the federal Transportation of Dangerous Goods Act (TDGA) where applicable. Failure to accurately declare hazardous materials or freight value constitutes a material breach of this contract and forfeits statutory protections.

3. EXHAUSTIVE OPERATIVE CLAUSES & TERMS OF CARRIAGE

Section 1: Scope of Transportation Services & Tender of Goods

1.1 Scope of Engagement: The Carrier agrees to transport safely, efficiently, and in accordance with all applicable municipal, provincial, and federal laws, the freight described in the shipment particulars section of this Bill of Lading (the "Goods") from the designated point of origin ([Origin Address]) to the designated point of destination ([Destination Address]).

1.2 Tender and Receipt: The Shipper warrants that it is the lawful owner of the Goods, or is the authorized agent of the owner, with full power and legal authority to tender the Goods for transportation. The Carrier acknowledges receipt of the Goods in apparent good order and condition, except as noted herein, with contents, condition, and quality of contents unknown to the Carrier.

1.3 Route and Equipment: The Carrier exercises complete operational control over the selection of routes, intermediate stops, and transit methods, provided such choices are commercially reasonable and executed with due dispatch. The Carrier warrants that all equipment utilized—including trailers, temperature-control units, and securement devices—is structurally sound, clean, weather-tight, and fully compliant with the National Safety Code (NSC) standards of Canada.

Section 2: Compensation, Rates, & Payment Terms

2.1 Freight Charges: The Shipper and/or third-party Payor agree to pay the Carrier the freight charges, accessorial fees, and fuel surcharges set forth in the rate confirmation sheet or freight tariff incorporated herein, totaling [Amount in USD/CAD], subject to adjustment for authorized accessorial services rendered.

2.2 Invoicing and Payment Terms: The Carrier shall issue an invoice supported by a signed copy of this Bill of Lading and clean delivery receipt (POD). Payment shall be remitted by the Shipper or designated Payor net thirty (30) calendar days from the verified date of invoice receipt, unless otherwise established in a separate Master Transportation Agreement.

2.3 Late Interest & Overdue Balances: Any undisputed sums not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month (an annualized rate of 18%) or the maximum rate permitted by applicable provincial law, calculated daily from the due date until the date of actual payment in full.

2.4 Lien Rights: The Carrier shall have a general and continuous possessory lien upon all Goods in its possession for all freight charges, past-due balances, storage fees, advances, and related costs incurred in connection with the transportation and storage of shipments under this or any prior agreement.

Section 3: Term, Operational Timing, & Delivery

3.1 Commencement and Completion: This contract commences upon the physical transfer and loading of the Goods into the Carrier's custody at the origin point and terminates upon the rightful delivery of the Goods to the Consignee and execution of the delivery receipt.

3.2 Transit Times: The Carrier shall transport the Goods with reasonable dispatch. Unless a specific guaranteed delivery time has been explicitly agreed to in writing by an authorized corporate officer of the Carrier, transit times are estimates only and do not constitute a binding operational deadline.

3.3 Undeliverable Freight: If the Consignee refuses acceptance of the Goods, or if the Carrier is unable to deliver the Goods due to fault or omission of the Shipper or Consignee, the Carrier shall immediately notify the Shipper. The Carrier shall hold the Goods as a warehouseman subject to reasonable storage charges and storage-in-transit rules. If disposition instructions are not received from the Shipper within ten (10) business days of notification, the Carrier reserves the right to dispose of or sell the Goods at public or private sale, applying proceeds against outstanding freight and storage debts.

Section 4: Carrier Liability, Cargo Claims, & Limitations

4.1 Common Carrier Liability: Except as otherwise provided herein, the Carrier acts as a common carrier and shall be liable for loss of, damage to, or delay of the Goods occurring while in its actual or constructive custody, subject to the defenses set forth in the applicable provincial motor carrier regulations.

4.2 Statutory Defenses: The Carrier shall not be liable for loss, damage, or delay caused by: (a) an Act of God; (b) public enemy; (c) authority of law; (d) act or default of the Shipper or Consignee; (e) natural shrinkage or inherent vice of the commodity; or (f) riots or strikes.

4.3 Limitation of Liability: Unless a higher value is explicitly declared by the Shipper in writing on the face of this Bill of Lading prior to pickup, and an ad valorem surcharge is assessed and paid, the Carrier’s maximum liability for loss or damage to the Goods shall be strictly limited to the lesser of:

  • The actual replacement cost of the damaged or lost Goods;
  • Two dollars ($2.00) per pound ($4.41 per kilogram) computed on the total weight of the shipment; or
  • A maximum aggregate cap of $100,000.00 per occurrence.

4.4 Filing of Cargo Claims: Notice of loss, damage, or delay must be filed in writing with the Carrier within sixty (60) days after delivery of the Goods (or, in the case of failure to make delivery, then within sixty (60) days after a reasonable time for delivery has elapsed). Suits for the recovery of claims must be instituted no later than one (1) year from the date the Carrier disallows the claim in writing. Failure to comply with these notice and filing requirements completely bars and discharges any legal claim against the Carrier.

Section 5: Shipper Warranties, Packaging, & Hazardous Materials

5.1 Proper Packaging and Marking: The Shipper warrants that all Goods are properly and securely packed, marked, labeled, and addressed in a manner adequate to withstand ordinary hazards of transportation. Fragile goods must be explicitly declared and packaged according to stringent commercial packaging standards.

5.2 Dangerous Goods / Hazardous Materials: The Shipper warrants that any hazardous materials, dangerous goods, or controlled substances tendered hereunder are fully and accurately classified, packaged, marked, and labeled in strict compliance with the federal Transportation of Dangerous Goods Act (TDGA) and associated Regulations. The Shipper shall indemnify and hold the Carrier harmless from any fines, penalties, environmental cleanup costs, personal injuries, or property damages arising from the undocumented or improper tender of hazardous materials.

Section 6: Intellectual Property & Operational Data

6.1 Data Ownership: All data generated in connection with the transport of the Goods, including electronic logging device (ELD) data, tracking metrics, and digital signatures, shall remain the operational property of the collecting party, subject to applicable Canadian privacy legislation (PIPEDA). Neither party shall exploit proprietary trade secrets or proprietary logistics algorithms of the counterparty disclosed during the execution of this carriage.

Section 7: Confidentiality

7.1 Non-Disclosure: The parties agree that all commercial terms of this contract, freight rates, volume data, and proprietary business information exchanged in the administration of this Bill of Lading constitute confidential information. Neither party shall disclose such information to any third party without the express written consent of the disclosing party, except as required by law, court order, or regulatory mandate.

Section 8: Representations and Warranties

8.1 Corporate Authority: Each party represents and warrants to the other that it possesses full corporate power, authority, and valid operating licenses to enter into this contract and perform its obligations hereunder. 8.2 Regulatory Compliance: The Carrier warrants that it maintains valid commercial general liability insurance, motor truck cargo insurance with a minimum limit of $250,000 per occurrence, and statutory workers' compensation coverage in all operating jurisdictions.

Section 9: Indemnification

9.1 Mutual Indemnity: Each party agrees to defend, indemnify, and hold harmless the other party, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, fines, penalties, and reasonable legal fees arising out of the indemnifying party’s material breach of this contract, negligence, or willful misconduct.

Section 10: Dispute Resolution & Governing Law

10.1 Governing Law: This Bill of Lading, and all disputes arising out of or relating thereto, shall be governed by, construed, and enforced in accordance with the laws of the Province of [Province Name] and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

10.2 Mandatory Mediation and Arbitration: Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or breach, shall be settled first by mandatory good-faith mediation administered by a mutually agreed commercial mediation service. If unresolved within thirty (30) days of demand, the dispute shall be submitted to binding arbitration in [City, Province] in accordance with the commercial arbitration rules then in effect. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having competent jurisdiction.

Section 11: Miscellaneous Provisions

11.1 Severability: If any provision of this Bill of Lading is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

11.2 Entire Agreement: This Bill of Lading, together with any attached rate confirmation sheets, shipper’s load and count manifests, and incorporated provincial statutory conditions, constitutes the entire and exclusive agreement between the Shipper and Carrier with respect to the subject matter hereof, superseding all prior oral or written negotiations and understandings.

11.3 Counterparts and Electronic Execution: This document may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed signature page by electronic transmission (including PDF, DocuSign, or digital facsimile) shall be fully binding and effective as an original physical signature.
