SECTION 3: EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. Scope of Services & Carriage Obligations
1.1 Receipt of Goods. The Carrier, or its authorized agent, acknowledges receipt from the Shipper, in apparent good order and condition (unless otherwise noted herein), of the total number of packages, containers, or units enumerated in the cargo description schedule for carriage from the Place of Receipt/Port of Loading to the Place of Delivery/Port of Discharge. 1.2 Subcontracting & Liberties. The Carrier is hereby expressly authorized to subcontract the performance of all or any part of the carriage, storage, handling, or forwarding of the Goods to any third party, independent contractor, stevedore, lighterman, warehouseman, or underlying carrier, on any terms whatsoever, without prior notice to the Shipper. All limitations of liability, defenses, and immunities granted to the Carrier under this Bill of Lading shall extend to and protect all such subcontractors, agents, and servants. 1.3 Route and Deviation. The Carrier may, without notice to the Shipper, carry the Goods by any route, vessel, aircraft, vehicle, or mode of transport, whether direct or indirect; proceed to, stay at, or return to any ports or places whatsoever; tow and be towed; assist vessels in distress; and drydock with or without cargo on board. Any such action shall be deemed part of the agreed contract of carriage and shall not be considered a deviation.
2. Compensation, Freight, & Payment Terms
2.1 Freight Charges. Freight shall be deemed fully earned upon receipt of the Goods by the Carrier, whether the cargo is damaged, lost, or the vessel/vehicle is abandoned or lost. Freight and charges shall be paid in full, without deduction, set-off, or counterclaim, in the currency specified by the Carrier, no later than [Payment Terms, e.g., Net 30 days] from the date of the Carrier’s invoice or prior to delivery, at the Carrier's sole discretion.
2.2 Late Payment Interest. Any undisputed invoice amount not received by the due date shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower, calculated daily from the due date until the date of actual payment in full.
2.3 Lien on Cargo. The Carrier shall have an absolute, continuous, and general lien on the Goods, and any documents relating thereto, for all freight, dead freight, demurrage, storage charges, damages, loss, costs, expenses, and any sums whatsoever due to the Carrier from the Shipper, Consignee, or owner of the Goods under this or any other contract. The Carrier may enforce this lien by public or private sale of the Goods, without notice, after providing a ten (10) day written notice of default to the Shipper.
3. Term, Performance, & Delivery
3.1 Performance Schedule. The Carrier does not guarantee transport of the Goods by any particular vessel, train, vehicle, or schedule, or to arrive at the Port of Discharge or Place of Delivery by any specific date, unless expressly agreed upon in a separate, signed service level agreement. 3.2 Delivery of Goods. The Goods shall be delivered to the Consignee or its authorized agent upon surrender of this Bill of Lading (if issued in negotiable form), properly endorsed, and upon payment of all outstanding freight and charges. If the Bill of Lading is issued in non-negotiable (straight) form, delivery may be made to the named Consignee upon proof of identity and satisfaction of all financial obligations. 3.3 Unclaimed Cargo. If the Consignee fails to take delivery of the Goods immediately upon their discharge or availability, the Carrier may, without notice, store the Goods in a warehouse, depot, or in the open at the sole risk and expense of the Shipper and Consignee. Such storage shall constitute due delivery, and the Carrier’s liability shall completely cease.
4. Intellectual Property & Documentation Ownership
4.1 Customs Documentation. The Shipper warrants that all documentation, commercial invoices, manifests, customs declarations, and certificates furnished to the Carrier are complete, accurate, and fully compliant with all applicable local, national, and international laws, export controls, and customs regulations. 4.2 Indemnification for Data Errors. The Shipper shall be exclusively liable for, and shall defend, indemnify, and hold harmless the Carrier against all claims, fines, penalties, damages, or administrative actions arising out of any misdeclaration, omission, or inaccuracy in the description of the Goods, marks, numbers, quantity, weight, volume, or value provided by the Shipper.
5. Confidentiality & Data Protection
5.1 Definition of Confidential Information. "Confidential Information" shall include all proprietary shipping data, financial terms, commercial agreements, routing data, trade secrets, and operational strategies disclosed by either party in connection with this carriage. 5.2 Obligations. Receiving Party shall protect the disclosing party's Confidential Information with the same degree of care it uses for its own proprietary information (but not less than reasonable care) and shall not disclose it to any third party except as required by law, court order, or regulatory mandate, or to agents, subcontractors, and legal counsel who have a need to know and are bound by equivalent confidentiality obligations.
6. Representations & Warranties
6.1 Shipper Warranties. The Shipper represents and warrants that:
- (a) It is the owner of, or has lawful authority and agency from the owner to contract for the shipment of, the Goods subject to this Bill of Lading;
- (b) The Goods are properly and safely packed, packaged, marked, and labeled to withstand the ordinary hazards of transportation; and
- (c) The Goods do not contain any unauthorized hazardous materials, contraband, illegal substances, or dangerous goods not explicitly disclosed in writing to the Carrier prior to loading.
7. Limitation of Liability & Indemnification
[Company Full Legal Name]
7.1 COGSA / Carriage Limitations. Where carriage is subject to COGSA (46 U.S.C. § 30701), neither the Carrier nor the vessel shall in any event be or become liable for any loss or damage to or in connection with the transportation of Goods in an amount exceeding $500 lawful money of the United States per package, or in the case of goods not shipped in packages, per customary freight unit, unless the nature and value of such goods have been declared by the Shipper before shipment and inserted in this Bill of Lading, and extra freight has been paid.
7.2 Consequential Damages Waiver. Under no circumstances shall the Carrier be liable for any indirect, incidental, consequential, punitive, or special damages of any kind, including loss of profits, loss of market, business interruption, or overhead expenses, regardless of whether such liability arises from breach of contract, tort (including negligence), strict liability, or otherwise, and even if advised of the possibility of such damages.
7.3 Indemnification. The Shipper and Consignee, jointly and severally, shall defend, indemnify, and hold harmless the Carrier, its officers, directors, employees, agents, and vessels from and against any and all claims, liabilities, losses, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or resulting from:
- (a) Breach of any warranty or representation made by the Shipper herein;
- (b) The inherent vice, defect, or fragile nature of the Goods; or
- (c) Environmental contamination, spills, or remediation costs caused by the Goods or their packaging.
8. Dispute Resolution & Arbitration
8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Bill of Lading, the parties shall first attempt in good faith to resolve the matter through senior management negotiations within thirty (30) days of receipt of written notice of the dispute by either party. 8.2 Binding Arbitration. If the dispute is not resolved through negotiation, it shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or the Society of Maritime Arbitrators (SMA) in New York, NY, if maritime in nature. The arbitration shall be conducted by a single neutral arbitrator (or a panel of three if claims exceed $500,000 USD). The language of the arbitration shall be English, and the award rendered shall be final and enforceable in any court of competent jurisdiction.
9. Governing Law & Jurisdiction
9.1 Choice of Law. This Bill of Lading, and any claims or disputes arising out of or connected with it (whether contractual or tortious), shall be governed by, construed, and enforced in accordance with the general maritime law of the United States and, where applicable, the internal laws of the State of New York, without regard to its conflict of laws principles. 9.2 Forum Selection. Subject to Section 8, any judicial proceedings relating to this Agreement or the carriage of Goods hereunder shall be brought exclusively in the United States District Court for the Southern District of New York or the state courts located in New York County, New York. The parties hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection based on forum non conveniens.
10. Miscellaneous Provisions
10.1 Severability. If any provision of this Bill of Lading is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect. 10.2 Entire Agreement & Integration. This Bill of Lading, together with any applicable rate sheets, tariffs, or booking notes issued by the Carrier, constitutes the entire contract between the Carrier, Shipper, and Consignee with respect to the carriage of the Goods, superseding all prior oral or written negotiations, representations, or understandings. 10.3 Amendments and Waivers. No modification, amendment, or waiver of any provision of this Bill of Lading shall be valid unless executed in writing and signed by an authorized executive officer of the Carrier. The failure of the Carrier to insist upon strict performance of any provision shall not constitute a waiver of future performance. 10.4 Counterparts and Electronic Execution. This Bill of Lading may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by facsimile, email PDF, or digital signature platform (e.g., DocuSign, Adobe Sign) shall be equally effective as delivery of an original manual signature.
