1. STATUTORY & LEGAL COMPLIANCE NOTICE

NOTICE: This document constitutes a legally binding multimodal bill of lading and master services contract. It incorporates by operation of law the Carriage of Goods by Sea Act (COGSA, 46 U.S.C. §§ 30701 et seq.) where applicable by trade route, the Carmack Amendment (49 U.S.C. § 14706) for domestic surface transportation within the United States, and international conventions including the CMR Convention and Montreal/Warsaw Conventions where international carriage by road or air is utilized. Failure to declare higher value pursuant to Section 4 hereof limits carrier liability strictly to statutory maximums. Counterparties are advised to consult independent legal counsel prior to execution.

2. PARTIES & RECITALS

This Multimodal Negotiated Service Agreement and Master Bill of Lading (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

Carrier / Logistics Provider:
[Company Full Legal Name], a [State of Incorporation, e.g., Delaware corporation], having its principal place of business at [Principal Address] (hereinafter referred to as the "Carrier").

Shipper / Customer:
[Client Full Legal Name], a [State of Incorporation / Entity Type], having its principal place of business at [Principal Address] (hereinafter referred to as the "Shipper").

RECITALS
WHEREAS, the Carrier is engaged in the business of providing comprehensive logistics, freight forwarding, warehousing, and multimodal transportation services; and
WHEREAS, the Shipper desires to retain the Carrier to transport, handle, store, and deliver certain freight, goods, and merchandise, and the Carrier agrees to provide such services upon the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1: Scope of Services & Engagement

1.1 Scope of Work. The Shipper hereby retains the Carrier, and the Carrier hereby accepts such engagement, to arrange for and/or perform the pickup, transportation, tracking, interim storage, handling, and final delivery of the cargo described in the accompanying shipping manifests, order schedules, and waybills issued pursuant to this Agreement (collectively, the "Cargo").
1.2 Multimodal Flexibility. The Carrier reserves the right, in its sole professional discretion, to route the Cargo via any combination of motor, rail, ocean, air, or intermodal transport, and to utilize any underlying carriers, subcontractors, or agents, without prior notice to the Shipper, provided that such utilization does not relieve the Carrier of its ultimate responsibility for the safe delivery of the Cargo.
1.3 Tender of Cargo. The Shipper shall properly pack, crate, mark, and label the Cargo in strict compliance with all applicable local, national, and international laws, regulations, and industry standards. The Shipper warrants that the physical characteristics, weight, dimensions, and descriptions of the Cargo provided to the Carrier are accurate in all material respects.

Section 2: Compensation & Payment Terms

2.1 Rates and Charges. In consideration for the logistics and transportation services rendered under this Agreement, the Shipper shall pay the Carrier the fees, tariffs, accessorial charges, and rates set forth in the applicable rate schedule or invoice, totaling the base sum of up to [Amount in USD] USD, subject to adjustments for actual quantities, fuel surcharges, detention, and ancillary services.
2.2 Invoicing and Payment Window. The Carrier shall issue invoices to the Shipper upon the completion of specific delivery milestones or on a standard bi-weekly/monthly billing cycle. All undisputed invoices shall be due and payable in full within thirty (30) calendar days from the date of the invoice (Net 30). Payments shall be remitted in United States Dollars via wire transfer, ACH, or check to the account designated by the Carrier.
2.3 Late Payment Interest. Any invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily from the due date until the date of actual payment in full. The Carrier reserves the right to suspend ongoing services and exercise possessory liens over any Cargo in its actual or constructive possession until all outstanding balances and accrued interest are paid in full.
2.4 Disputed Invoices. If the Shipper disputes any portion of an invoice in good faith, the Shipper must provide written notice detailing the specific grounds for the dispute within ten (10) business days of receipt of the invoice. The Shipper shall pay all undisputed portions of the invoice when due. The Parties shall negotiate in good faith to resolve any disputed amounts within fifteen (15) days of notice.

Section 3: Term & Termination

3.1 Initial Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of one (1) year (the "Initial Term"), unless terminated earlier in accordance with the provisions of this Section 3.
3.2 Renewal. Upon the expiration of the Initial Term, this Agreement shall automatically renew for successive one-year periods (each, a "Renewal Term") unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.
3.3 Termination for Convenience. Either Party may terminate this Agreement for convenience, in whole or in part, at any time by providing not less than ninety (90) calendar days' advance written notice to the other Party.
3.4 Termination for Cause (Breach). Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any representation, warranty, or material covenant herein and fails to cure such material breach within thirty (30) calendar days following receipt of written notice detailing the breach.
3.5 Post-Termination Obligations. Upon the termination or expiration of this Agreement, the Shipper shall promptly pay the Carrier for all services rendered up to the effective date of termination. Provisions relating to payment obligations, indemnification, limitation of liability, confidentiality, and governing law shall survive any termination of this Agreement.

Section 4: Intellectual Property Ownership & Work Made for Hire

4.1 Pre-Existing IP. Each Party shall retain exclusive ownership of all right, title, and interest in and to its respective pre-existing trademarks, trade secrets, proprietary software, routing algorithms, documentation, and intellectual property developed prior to or independently of this Agreement.
4.2 Work Product. Any proprietary route optimizations, custom reporting templates, logistics software extensions, or analytical dashboards specifically created by the Carrier for the Shipper under this Agreement (collectively, the "Work Product") shall remain the exclusive intellectual property of the Carrier, unless otherwise explicitly agreed in a separate signed writing. The Carrier grants the Shipper a limited, non-exclusive, non-transferable, revocable license to use such Work Product solely for the internal business purpose of tracking and managing shipments during the term of this Agreement.

Section 5: Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" shall mean all non-public, proprietary, or commercially sensitive information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") under this Agreement, including without limitation pricing structures, customer lists, shipment volumes, operational processes, software, trade secrets, and financial data.
5.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable standard of care; (b) not disclose such Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and subcontractors who have a "need to know" and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.
5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party.

Section 6: Representations & Warranties

6.1 Corporate Authority. Each Party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation; (b) it has full corporate power and authority to execute, deliver, and perform its obligations under this Agreement; and (c) the execution and performance of this Agreement have been duly authorized by all necessary corporate action.
6.2 Compliance with Laws. 6.3 Shipper Cargo Warranty. The Shipper represents and warrants that it is the lawful owner or authorized agent of the owner of the Cargo, that the Cargo does not contain illegal contraband, undeclared hazardous materials, or illicit substances, and that the shipment of the Cargo violates no third-party rights or statutory prohibitions.

Section 7: Limitation of Liability & Indemnification

7.1 LIMITATION OF LIABILITY.
(a) Carrier Liability Cap: Except for liability arising from the Carrier's gross negligence or willful misconduct, the aggregate liability of the Carrier for any loss, damage, misdelivery, delay, or destruction of Cargo shall be strictly limited to the lesser of actual documented replacement cost, the declared value of the Cargo, or statutory limits (e.g., $0.50 per pound under domestic surface rules or $500 per package under COGSA, unless a higher ad valorem rate was specifically contracted and paid for prior to transit).
(b) Exclusion of Consequential Damages: Neither Party shall be liable to the other Party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of business revenue, overhead recovery loss, or reputational harm, arising out of or in connection with this Agreement, regardless of whether such liability is asserted based in contract, tort (including negligence), strict liability, or otherwise, and even if advised of the possibility of such damages.

7.2 INDEMNIFICATION.
(a) Shipper Indemnity: The Shipper shall defend, indemnify, and hold harmless the Carrier, its officers, directors, employees, agents, and underlying carriers from and against any and all third-party claims, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (i) the Shipper’s breach of any representation, warranty, or covenant contained herein; (ii) improper or inadequate packaging, labeling, or description of the Cargo; (iii) the hazardous, toxic, or dangerous nature of the Cargo not properly disclosed in writing to the Carrier; or (iv) violation of any applicable environmental, customs, or safety laws by the Shipper.
(b) Carrier Indemnity: The Carrier shall defend, indemnify, and hold harmless the Shipper from and against direct third-party claims, liabilities, losses, and reasonable expenses to the extent caused by the gross negligence or willful misconduct of the Carrier, its employees, or direct agents during the physical custody and transit of the Cargo.

Section 8: Dispute Resolution & Arbitration

8.1 Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, or termination (a "Dispute"), the designated senior executives of both Parties shall attempt in good faith to resolve such Dispute through direct business negotiations within thirty (30) days of receiving written notice of the Dispute from the aggrieved Party.
8.2 Binding Arbitration. If the Dispute is not resolved through good faith negotiations within the thirty-day window, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State, e.g., New York, NY]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with AAA rules. The arbitration proceedings, testimony, and award shall remain strictly confidential.
8.3 Injunctive Relief. Notwithstanding the foregoing arbitration requirement, either Party may seek temporary, preliminary, or permanent injunctive relief or other equitable remedies from a court of competent jurisdiction to protect its intellectual property rights or confidential information without waiving its right to arbitrate underlying claims.

Section 9: Governing Law & Jurisdiction

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the laws of the [State / Country Jurisdiction, e.g., State of New York], without regard to its conflict of laws principles, and, where applicable, federal transportation laws of the United States.
9.2 Jurisdiction and Venue. Subject to Section 8 (Arbitration), each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State, e.g., New York County, New York], for any legal action or proceeding arising out of or relating to this Agreement. Each Party waives any objection to venue in such courts and any claim that such forum is inconvenient.

Section 10: Miscellaneous

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
10.2 Counterparts and Electronic Execution. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures delivered via facsimile, PDF, or electronic signature platforms (such as DocuSign or Adobe Sign) shall be deemed original signatures having full legal force and effect.
10.3 Entire Agreement. This Agreement, together with any referenced rate schedules, bills of lading, and attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, negotiations, proposals, understandings, and representations between the Parties.
10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performance under this Agreement (other than payment obligations) to the extent such failure or delay is caused by acts of God, natural disasters, epidemics, pandemics, government restrictions, wars, acts of terrorism, civil unrest, strikes, labor disputes, or other causes beyond the reasonable control of the affected Party ("Force Majeure Event"), provided that the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to mitigate the effects of the Force Majeure Event.
10.5 Assignment. Neither Party may assign, delegate, or transfer this Agreement or any of its rights or obligations hereunder, whether voluntarily, by operation of law, or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld; provided, however, that either Party may assign this Agreement without consent to a successor in interest by way of merger, acquisition, or sale of all or substantially all of its assets.
