LEGAL COMPLIANCE NOTICE
This document serves as a standardized Bill of Lading and Contract of Carriage. It is drafted for general commercial application. Parties are cautioned that transport of goods may be subject to the Carriage of Goods by Sea Act (COGSA), the Carmack Amendment (49 U.S.C. § 14706), or the Montreal/Warsaw Conventions depending on the mode of transport. Users must verify local jurisdictional compliance and the specific regulatory framework governing their commodity and carrier classification before execution.
1. PARTIES AND RECITALS
This Bill of Lading ("Agreement") is entered into by and between:
CARRIER: [Carrier Full Legal Name], having its principal place of business at [Carrier Principal Address] ("Carrier"), and
SHIPPER: [Shipper Full Legal Name], having its principal place of business at [Shipper Principal Address] ("Shipper").
RECITALS: Shipper desires to engage Carrier for the transportation of goods (the "Goods") described in the attached Schedule A, and Carrier agrees to perform such transportation services subject to the terms and conditions herein.
2. SCOPE OF SERVICES
Carrier shall receive the Goods identified in the shipping documents in apparent good order and condition, except as otherwise noted, and shall transport said Goods to the designated consignee at [Consignee Address] via the agreed-upon route. Carrier assumes the duties of a common carrier and shall exercise reasonable care in the handling, loading, and transit of all Goods.
3. COMPENSATION AND PAYMENT TERMS
3.1 Freight Charges: Shipper shall pay Carrier the sum of [Amount in USD] ("Freight Charges"). 3.2 Invoicing: Payment shall be due net thirty (30) days from the date of invoice receipt unless otherwise specified in the attached rate sheet. 3.3 Late Fees: Any undisputed amounts not paid within the specified period shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. 3.4 Liens: Carrier shall have a possessory lien on the Goods for all unpaid Freight Charges and incidental expenses incurred during transit until full payment is received.
4. TERM AND TERMINATION
4.1 Term: This Agreement shall commence on the Effective Date and remain in effect until the Goods are delivered to the Consignee or the Agreement is terminated in accordance with this Section. 4.2 Termination for Cause: Either party may terminate this Agreement upon written notice if the other party commits a material breach and fails to cure said breach within ten (10) business days of receiving written notice thereof.
5. INTELLECTUAL PROPERTY & WORK PRODUCT
If the services rendered include the creation of documentation, manifests, or proprietary tracking data, all such records produced under this Agreement are deemed "Work Made for Hire." The Shipper shall hold exclusive title to all data directly related to the shipment, while Carrier retains all rights to its proprietary transit methodology and internal tracking software.
6. CONFIDENTIALITY
The parties agree to hold in strict confidence all non-public information concerning the Goods, the shipping routes, and the financial terms of this Agreement. This obligation survives the termination of this Agreement for a period of three (3) years.
7. REPRESENTATIONS AND WARRANTIES
Shipper warrants that the Goods are accurately described, properly packaged, and marked for transit. Carrier warrants that it holds all necessary permits, licenses, and insurance coverage (including cargo liability insurance) required to perform the services under applicable law.
8. LIMITATION OF LIABILITY AND INDEMNIFICATION
8.1 Limitation: To the maximum extent permitted by law, Carrier’s liability for loss or damage to the Goods shall be limited to the declared value of the Goods or $[Amount] per pound/unit, whichever is lower. 8.2 Indemnification: Shipper agrees to indemnify and hold harmless the Carrier from any claims, damages, or fines arising from Shipper’s misdeclaration of the nature, weight, or hazardous condition of the Goods.
9. DISPUTE RESOLUTION
Any dispute arising under this Agreement shall be resolved through binding arbitration in [City, State], administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.
10. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [Governing Jurisdiction], without regard to its conflict of law principles.
11. MISCELLANEOUS
11.1 Severability: If any provision is held invalid, the remainder shall remain in full force. 11.2 Entire Agreement: This document constitutes the entire understanding between the parties, superseding all prior discussions. 11.3 Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original.
