- "Confidential Information" means all non-public information, data, trade secrets, intellectual property, proprietary strategies, financial documents, customer lists, vendor contracts, and proprietary software belonging to the Employer or its Affiliates, regardless of format or medium.
- "Effective Date" has the meaning ascribed to such term in the Preamble hereof.

- "Final Pay Period" means the final, prorated pay cycle ending on the Termination Date, encompassing all earned and unpaid base salary and accrued statutory entitlements.
- "Notice Period" means the exact duration of thirty (30) calendar days commencing on the Effective Date and terminating concurrently with the Termination Date.

3. Substantive Terms & Obligations

- Performance of Transition Services. During the Notice Period, the Employee shall faithfully, diligently, and professionally perform all Transition Services requested by the Employer. The Employee shall ensure an orderly transfer of all duties, operational files, client accounts, and institutional knowledge to designated personnel.
- Compensation and Benefits Continuation.
- During the Notice Period, the Employer shall continue to pay the Employee’s base salary at the regular, pre-notice rate, subject to all standard statutory withholdings and deductions.
- The Employee shall remain eligible for standard employee health and welfare benefits through the Termination Date, subject to the terms and conditions of the applicable benefit plans and applicable law (including COBRA).

The Employee warrants that no copies, backups, or duplicates of Employer Property or Confidential Information have been retained in any format.
- Survival of Restrictive Covenants. The execution of this Agreement does not supersede, waive, or diminish any pre-existing restrictive covenants, non-disclosure agreements, non-solicitation clauses, or non-competition obligations executed by the Employee, all of which shall survive the Termination Date in full force and effect in accordance with their respective terms.
4. Default, Termination, and Remedies
- Events of Default. A Party shall be in default under this Agreement upon the occurrence of any of the following: (a) the failure of the Employee to perform Transition Services or report to work during the Notice Period without approved leave; (b) the material breach by either Party of any covenant, representation, or warranty contained herein; or (c) the commission of an act constituting Cause by the Employee during the Notice Period.

The defaulting Party shall have a period of three (3) business days from the receipt of such notice to cure said default, provided, however, that no cure period shall apply to a breach of confidentiality, return of property, or an immediate termination for Cause.
- Summary Termination for Cause. Notwithstanding the thirty (30) day duration of the Notice Period, the Employer reserves the absolute right to terminate the Employee’s employment immediately for Cause at any time during the Notice Period. In the event of a termination for Cause, all compensation, salary continuation, and benefits shall cease immediately as of the date of such termination, and the Termination Date shall be deemed accelerated to the date of such summary termination.
- Legal Recourse and Injunctive Relief. In the event of a breach or threatened breach by the Employee of Section 3.5 (Return of Employer Property) or any restrictive covenant, the Employer shall be entitled to seek an injunction restraining the Employee from such breach, without the necessity of posting a bond, in addition to any other legal remedies available at law or in equity, including the recovery of actual damages, statutory penalties, and reasonable attorney's fees.
