The breaching Party shall have a period of thirty (30) business days from the receipt of such written notice to cure the identified default to the reasonable satisfaction of the non-breaching Party, provided that operational notice timelines which would extend past the Termination Date may be accelerated by the non-breaching Party to prevent irreparable harm.
4.3 Legal Recourse and Remedies for Breach
Upon the expiration of the cure period without effective remediation:
- Employer Remedies: If the Employee breaches this Agreement and fails to cure, the Employer may immediately terminate the Employment Relationship for cause, forfeit any unpaid discretionary bonuses or severance allocations, seek injunctive relief in a court of competent jurisdiction to restrain unauthorized disclosures or operational disruptions, and pursue all available damages at law or in equity.
- Employee Remedies: If the Employer breaches this Agreement by failing to pay earned base compensation during the Notice Period and fails to cure, the Employee may accelerate the immediate collection of unpaid wages and pursue statutory penalties as provided under the laws of the Jurisdiction.
