-
Legal Review & Customization:
- Crucial First Step: Do NOT execute this template without a thorough review and customization by qualified legal counsel in all relevant jurisdictions (e.g., your company's jurisdiction, the service provider's jurisdiction, and the governing law jurisdiction specified in the agreement). This template is a starting point, not a final document.
- Tailoring: Ensure all clauses align precisely with your specific business needs, risk tolerance, and operational model. Pay particular attention to Sections 3 (Term/Termination), 7 (Intellectual Property), 8 (Indemnification), and 9 (Limitation of Liability).
-
Fill All Blanks Accurately:
- Placeholders: Systematically go through the entire document and replace all bracketed placeholders (e.g.,
[Company Name],[Number],[Date],[Currency]) with the accurate and complete information. - Consistency: Ensure consistency in entity names, addresses, and contact information across the document.
- Options: Where bracketed options are provided (e.g.,

-
Prepare Initial Statement(s) of Work (SOWs):
- Mandatory for Services: No services should commence, and no payments become due, without a duly executed SOW referencing this MSA.
- SOW Content: Each SOW must clearly define:
- Detailed description of Services and Deliverables.
- Specific timelines and milestones.
- Fees, payment schedule, and any associated expenses.
- Acceptance criteria for Deliverables.
- Key personnel.
- Any project-specific terms not covered in the MSA.
- Review SOWs: Ensure the SOWs are also reviewed by legal counsel to ensure they integrate seamlessly with and do not inadvertently conflict with this MSA.
-
Authorized Signatures:
- Verification: Confirm that the individuals signing on behalf of Client and Provider are legally authorized to bind their respective entities (e.g., CEO, President, VP of Legal).
- Legibility: Ensure names are clearly printed below the signature lines.
- Date: All parties should date their signatures on the same date, or acknowledge the Effective Date separately. The Effective Date should ideally be the date the last party signs.
-
Execution Process:
- Originals: Obtain fully executed originals (wet signatures) from both Parties, if feasible, particularly for high-value or high-risk agreements.
- Electronic Signatures: If using electronic signatures (e.g., DocuSign, Adobe Sign), ensure the chosen platform complies with applicable electronic signature laws (e.g., ESIGN Act in the U.S.).
- Counterparts: If executed in counterparts, ensure all parts are collected and accounted for.
-
Distribution of Fully Executed Copies:
- Both Parties: Provide a complete, fully executed copy of the MSA and all attached SOWs to both Client and Provider.
- Internal Stakeholders: Distribute copies to relevant internal departments (e.g., Legal, Finance, Procurement, Project Management) for their records and operational compliance.
-
Filing and Record-Keeping:
- Central Repository: File the original (or legally valid electronic copy) in a secure, centralized contract management system or designated legal repository.
- Accessibility: Ensure the filed document is easily retrievable for reference, audit, and enforcement purposes.
- Version Control: Clearly mark the version number and Effective Date on the document and in your filing system.
-
Monitoring and Enforcement:
- Obligation Tracking: Regularly monitor adherence to the terms and conditions of the MSA and associated SOWs (e.g., payment schedules, delivery dates, reporting requirements, confidentiality).
- Amendments/Change Orders: Any modifications to an SOW or the MSA itself must be made via a written, mutually signed amendment or Change Order (as per Section 1.4 or 19.1).
- Notice Provisions: Adhere strictly to the notice provisions (Section 15) for any formal communications, particularly those related to breach, termination, or dispute.
- Renewal/Termination Deadlines: Track renewal or termination notification deadlines to avoid automatic renewals or to exercise termination rights as needed.
