8.2 Binding Arbitration. Any unresolved dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The arbitration proceedings shall be conducted in the English language. The arbitrator’s award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

8.3 Injunctive Relief. Notwithstanding the foregoing, either Party may seek temporary injunctive relief or other equitable remedies in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information without waiving its right to arbitration.

10.5 Force Majeure.
