INTERNSHIP AGREEMENT

THIS INTERNSHIP AGREEMENT (the "Agreement") is made and entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

[Company Name], a corporation organized and existing under the laws of [Jurisdiction], having its principal place of business at [Company Address] (the "Company"); and

[Intern Name], an individual residing at [Intern Address] (the "Intern").

WHEREAS, the Company desires to provide the Intern with educational and professional development opportunities in the field of [Field/Industry]; and

WHEREAS, the Intern desires to perform services for the Company under the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1 "Confidential Information" means all non-public, proprietary, or sensitive information disclosed by the Company to the Intern, including but not limited to trade secrets, client lists, software code, financial data, and business strategies.

1.2 "Intellectual Property" means any inventions, designs, works of authorship, improvements, or discoveries conceived or reduced to practice by the Intern during the Term, whether alone or with others, that relate to the Company’s business.

1.3 "Term" means the period commencing on [Start Date] and ending on [End Date], unless earlier terminated pursuant to Section 4.

1.4 "Work Product" means all deliverables, reports, data, or documents produced by the Intern during the course of the Internship.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1 Scope of Internship: The Intern shall perform duties related to [Describe Department/Role], as assigned by the supervisor. The Company shall provide training, mentorship, and supervision in accordance with the Intern's educational objectives.

2.3 Performance Standards: The Intern agrees to perform all duties in a professional and diligent manner, adhering to the Company's workplace policies, safety standards, and code of conduct.

2.5 Intellectual Property Assignment: The Intern hereby irrevocably assigns to the Company all right, title, and interest in and to any and all Work Product and Intellectual Property developed during the Internship.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Termination for Cause: The Company may terminate this Agreement immediately upon written notice if the Intern engages in misconduct, gross negligence, or a breach of this Agreement.

3.2 Termination Without Cause: Either party may terminate this Agreement upon [Number] days’ prior written notice.

3.3 Cure Period: In the event of a curable breach, the breaching party shall have thirty (30) business days from receipt of written notice to cure such breach. Failure to cure within said period shall constitute a default, entitling the non-breaching party to terminate the Agreement.

3.4 Remedies: Upon breach, the Company reserves the right to seek injunctive relief, specific performance, and monetary damages, as the Company’s Confidential Information is highly proprietary and subject to irreparable harm.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

4.2 Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, oral or written, regarding the subject matter herein.

4.3 Force Majeure: Neither party shall be liable for failure to perform duties due to causes beyond their reasonable control, including acts of God, war, or governmental regulation.

4.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.
