This Master Purchase Order Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

[Company Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC], having its principal place of business located at [Principal Address] (hereinafter referred to as the "Buyer"), and

[Client Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC], having its principal place of business located at [Principal Address] (hereinafter referred to as the "Seller").

WHEREAS, Buyer desires to purchase from Seller, and Seller desires to sell and provide to Buyer, certain goods, products, and/or services, all as more particularly described in individual Purchase Order Forms issued pursuant to this Agreement; and

WHEREAS, the parties intend for this Agreement to establish the comprehensive legal, operational, and financial terms and conditions governing all commercial transactions initiated by individual Purchase Orders.

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: DEFINITIONS & INCORPORATION OF PURCHASE ORDERS

1.1 Definitions. As used in this Agreement, the following terms shall have the meanings set forth below:

  • "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
  • "Deliverables" means all goods, products, software, documentation, reports, and work product to be supplied by Seller under a Purchase Order.
  • "Purchase Order" or "PO" means the individual, sequentially numbered procurement document issued by Buyer and accepted by Seller that incorporates the terms of this Agreement and specifies the quantities, descriptions, delivery schedules, and pricing of Goods or Services.
  • "Services" means the professional, technical, or operational services to be performed by Seller as specified in a Purchase Order.

1.2 Precedence. In the event of any express conflict or inconsistency between the terms and conditions of this Agreement and the terms and conditions of any Purchase Order, invoice, or acknowledgment, the terms and conditions of this Agreement shall strictly govern and supersede, unless the Purchase Order explicitly references the specific section of this Agreement it intends to modify and is executed by authorized legal representatives of both parties.

SECTION 2: SCOPE OF SERVICES & GOODS PROCUREMENT

2.1 Issuance of Purchase Orders. Buyer may, from time to time during the term of this Agreement, issue Purchase Orders to Seller substantially in the form prescribed by Buyer. Each Purchase Order shall constitute an independent, binding contract for the purchase and sale of Goods and/or Services upon the terms set forth herein and in the applicable Purchase Order.

2.2 Seller Acceptance. A Purchase Order shall be deemed accepted by Seller upon the earlier of: (a) Seller’s formal written acknowledgment of receipt; (b) Seller’s commencement of the performance of Services or production, packaging, or shipment of Goods; or (c) the passage of five (5) business days without written objection delivered to Buyer. Any counter-offer, additional, or different terms proposed by Seller in any acknowledgment, invoice, or other document are hereby explicitly rejected and shall be void ab initio.

2.3 Changes and Modifications. Buyer reserves the right at any time, by written notice, to make changes to drawings, specifications, quantities, delivery destinations, or schedules of any Purchase Order. If any such change causes an increase or decrease in the cost of, or the time required for, performance of the Purchase Order, an equitable adjustment shall be negotiated in good faith and incorporated via a written amendment to the Purchase Order.

SECTION 3: COMPENSATION & PAYMENT TERMS

3.1 Consideration. In consideration of the full and faithful performance of the Services and the delivery of Goods, Buyer shall pay Seller the amounts set forth in the applicable Purchase Order, not to exceed the total aggregate sum of [Amount in USD], except as modified by written amendment executed by Buyer.

3.2 Invoicing. Seller shall submit accurate, itemized invoices to Buyer’s accounts payable department referencing the applicable Purchase Order number upon the complete delivery of Goods or completion of Service milestones. Invoices submitted without a valid Buyer Purchase Order number shall be rejected and returned to Seller without incurring any late payment penalty.

3.3 Payment Terms. Unless otherwise explicitly stated on the face of the applicable Purchase Order, undisputed invoices shall be due and payable Net [30/60] days following Buyer’s receipt of a compliant, verified invoice. Payment shall be made via electronic funds transfer (ACH/Wire) or corporate check to the remittance address designated by Seller.

3.4 Late Interest and Disputes. In the event of a good-faith dispute regarding any portion of an invoice, Buyer shall notify Seller in writing detailing the specific disputed items and shall pay any undisputed portion when due. Disputed amounts shall not accrue interest. Undisputed, overdue payments shall accrue interest at the lesser of one percent (1.0%) per month or the maximum rate permitted by applicable law, calculated from the date payment was due until paid in full.

SECTION 4: TERM & TERMINATION

4.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number] years, unless terminated earlier in accordance with the provisions of this Section 4. Termination of this Agreement shall not affect any outstanding Purchase Orders issued prior to the effective date of termination, which shall continue to be governed by the terms of this Agreement.

4.2 Termination for Convenience. Buyer may terminate this Agreement or any individual Purchase Order, in whole or in part, at any time and for any reason or no reason, upon providing thirty (30) days prior written notice to Seller. Upon receipt of such notice, Seller shall immediately cease all performance, unless the notice directs otherwise. Buyer’s sole liability for termination for convenience shall be to pay Seller for: (a) Goods delivered and accepted and Services satisfactorily performed prior to the effective date of termination; and (b) reasonable, verifiable, non-cancellable out-of-pocket costs incurred by Seller in direct reliance on the terminated Purchase Order, not to exceed the total Purchase Order value.

4.3 Termination for Cause. Either party may terminate this Agreement or any Purchase Order immediately upon written notice if the other party: (a) materially breaches any provision of this Agreement or a Purchase Order and fails to cure such material breach within thirty (30) days after receipt of written notice detailing the breach; (b) becomes insolvent, files a petition in bankruptcy, makes an assignment for the benefit of creditors; or (c) has a receiver or trustee appointed for all or substantially all of its assets.

SECTION 5: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

5.1 Pre-Existing IP. Each party shall retain sole and exclusive ownership of all intellectual property rights, trademarks, trade secrets, patents, and copyrights owned or controlled by such party prior to the Effective Date or developed independently of this Agreement ("Pre-Existing IP").

5.2 Work Made for Hire & Assignment. All Deliverables, custom work product, software, documentation, designs, inventions, and derivative works conceived, created, or developed by Seller (whether solely or jointly with others) specifically for Buyer pursuant to any Purchase Order shall be deemed "work made for hire" under the copyright laws of the United States. To the extent that any such Deliverable does not qualify as a work made for hire, Seller hereby irrevocably assigns, transfers, and conveys to Buyer, worldwide and in perpetuity, all right, title, and interest in and to such Deliverables, including all intellectual property rights therein.

5.3 License Grant. Seller hereby grants to Buyer a perpetual, irrevocable, worldwide, non-exclusive, transferable, royalty-free license to use, reproduce, modify, adapt, and distribute any Pre-Existing IP embedded in or necessary for the utilization, maintenance, or operation of the Deliverables.

6.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, customer data, pricing, technical specifications, and trade secrets.

6.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect and safeguard the Confidential Information of the Disclosing Party with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) not use the Disclosing Party’s Confidential Information for any purpose outside the scope of this Agreement; and (c) not disclose such Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who need to know such information and are bound by confidentiality obligations at least as restrictive as those herein.

6.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party’s Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party.

SECTION 7: REPRESENTATIONS & WARRANTIES

7.1 Seller Representations and Warranties. Seller expressly represents, warrants, and covenants that:

  • (a) Seller has the full power, authority, and legal right to enter into this Agreement and perform its obligations hereunder;
  • (b) All Goods and Deliverables provided will be new, of merchantable quality, free from defects in design, material, and workmanship, and strictly conform to the specifications, drawings, and performance criteria set forth in the Purchase Order;
  • (c) All Services will be performed in a professional, workmanlike manner, in accordance with highest industry standards and applicable professional codes;
  • (d) The Goods, Services, and Deliverables do not and will not infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, or other intellectual property or proprietary right of any third party; and
  • (e) Seller shall comply with all applicable local, state, and federal laws, ordinances, rules, and regulations in the performance of its obligations.

7.2 Buyer Representations and Warranties. Buyer represents and warrants that it has the full corporate power and authority to enter into this Agreement and to issue Purchase Orders pursuant hereto.

SECTION 8: LIMITATION OF LIABILITY & INDEMNIFICATION

8.1 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 6 (CONFIDENTIALITY), INTELLECTUAL PROPERTY INFRINGEMENT, OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BUYER’S AGGREGATE LIABILITY UNDER THIS AGREEMENT OR ANY PURCHASE ORDER SHALL IN NO EVENT EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY BUYER TO SELLER UNDER THE APPLICABLE PURCHASE ORDER GIVING RISE TO THE CLAIM.

8.2 Indemnification. Seller shall defend, indemnify, and hold harmless Buyer, its Affiliates, and their respective officers, directors, employees, agents, and successors from and against any and all claims, damages, liabilities, losses, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or resulting from: (a) any actual or alleged breach of Seller’s representations, warranties, or covenants under this Agreement; (b) any claim that the Goods, Services, or Deliverables infringe or misappropriate any third-party intellectual property right; or (c) any negligent, willful, or wrongful acts or omissions of Seller, its employees, subcontractors, or agents.

SECTION 9: DISPUTE RESOLUTION & ARBITRATION

9.1 Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties shall first attempt in good faith to resolve the matter through informal executive negotiation. If the dispute is not resolved within thirty (30) days of written notice of the dispute, either party may escalate the matter to formal dispute resolution.

9.2 Binding Arbitration. Any unresolved dispute arising out of or relating to this Agreement, including its formation, performance, breach, or termination, shall be settled exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The award rendered by the arbitrator shall be final and binding upon both parties, and judgment upon the award may be entered in any court having competent jurisdiction.

SECTION 10: GOVERNING LAW & JURISDICTION

10.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.

10.2 Jurisdiction. Subject to Section 9 (Arbitration), each party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County], [State] for any legal action, suit, or proceeding arising out of or relating to this Agreement.

SECTION 11: MISCELLANEOUS PROVISIONS

11.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

11.2 Counterparts. This Agreement, and any Purchase Order, may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by facsimile, PDF, or secure electronic signature (such as DocuSign or Adobe Sign) shall be equally effective as delivery of an original manual signature.

11.3 Entire Agreement. This Agreement, together with all Purchase Orders issued hereunder, constitutes the sole and entire agreement between Buyer and Seller with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
