2. Purpose
The Parties desire to engage in discussions concerning [____________________] (the "Purpose"), during which one Party may disclose certain confidential and proprietary information to the other Party.
3. Definition of Confidential Information
"Confidential Information" means all non-public information, in any form or medium, disclosed by the Disclosing Party to the Receiving Party, whether oral, written, electronic, or visual, that is designated as confidential or that, by its nature, would reasonably be understood to be confidential. Confidential Information includes, but is not limited to:
- Technical Information: Trade secrets, inventions, product designs, specifications, software, source code, research and development, formulas, processes, algorithms, and engineering data.
- Business Information: Financial data, marketing plans, business strategies, customer lists, vendor lists, pricing information, personnel data, and operational methods.
- Proprietary Information: Any other information marked "Confidential," "Proprietary," or with a similar legend, or that is disclosed under circumstances reasonably indicating its confidential nature.
4. Exclusions from Confidential Information
Confidential Information does not include information that:
- (a) Is or becomes publicly available through no fault of the Receiving Party.
- (b) Was known to the Receiving Party prior to disclosure by the Disclosing Party, as evidenced by written records.
- (c) Is rightfully obtained by the Receiving Party from a third party without breach of any confidentiality obligation.
- (d) Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.
- (e) Is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt notice to the Disclosing Party to allow for a protective order or other appropriate remedy.
5. Obligations of Receiving Party
The Receiving Party agrees to:
- (a) Use the Confidential Information solely for the Purpose.
- (b) Maintain the Confidential Information in strict confidence and protect it with at least the same degree of care it uses for its own confidential information, but no less than reasonable care.
- (c) Not disclose, reproduce, or distribute the Confidential Information to any third party, except to its employees, consultants, or agents who have a "need to know" for the Purpose and are bound by confidentiality obligations at least as restrictive as those in this Agreement.
- (d) Notify the Disclosing Party immediately upon discovery of any unauthorized use or disclosure of Confidential Information.
6. Term
