Directors shall stand in a fiduciary relation to the Corporation and shall perform their duties, including duties as members of any committee of the board upon which a Director may serve, in good faith, in a manner the Director reasonably believes to be in the best interests of the Corporation, and with such care, including reasonable inquiry, as an ordinarily prudent person in a like position would use under similar circumstances.

Section 3.6 Quorum

A majority of the total number of fixed Directors in office shall constitute a quorum for the transaction of business at any meeting of the Board of Directors; provided, however, that if less than a majority of the Directors are present at said meeting, a majority of the Directors present may adjourn the meeting from time to time without further notice.

Section 3.10 Resignation and Removal

Section 3.11 Vacancies

Any vacancy occurring in the Board of Directors, including a vacancy created by an increase in the number of Directors, may be filled by the affirmative vote of a majority of the remaining Directors though less than a quorum, or by a sole remaining Director. A Director elected to fill a vacancy shall be elected for the unexpired term of their predecessor in office.

Section 3.12 Compensation

Directors shall not receive any stated salaries for their services as Directors, but by resolution of the Board of Directors, a fixed sum and expenses of attendance, if any, may be allowed for attendance at each regular or special meeting of the board; provided that nothing herein contained shall be construed to preclude any Director from serving the Corporation in any other capacity and receiving compensation therefor.
