1. STATUTORY & LEGAL COMPLIANCE NOTICE

This document is an institutional-grade legal template designed for organizations engaging volunteer personnel within New Zealand. Under New Zealand law, it is critical to distinguish between a volunteer and an employee to avoid inadvertent creation of an employment relationship under the Employment Relations Act 2000. Volunteers do not receive "remuneration" or "salary," but may receive reimbursement for actual and reasonable expenses incurred in the performance of their duties.

This template incorporates statutory obligations under the Health and Safety at Work Act 2015 (HSWA), which explicitly extends health and safety duties to volunteer workers. Legal counsel should review this template prior to execution to ensure alignment with sector-specific legislation, organizational bylaws, and operational requirements.

2. PARTIES & RECITALS

BETWEEN:

  1. [Company Full Legal Name], a [duly incorporated company / registered charitable trust / incorporated society] having its principal place of business at [Principal Address] (hereinafter referred to as the "Organization"); and

  2. [Client Full Legal Name / Volunteer Full Legal Name], residing at [Principal Address] (hereinafter referred to as the "Volunteer").

WHEREAS: A. The Organization operates a [description of organization's activities, e.g., charitable, community, or commercial enterprise] and engages individuals to assist with its programs, operations, and events on a strictly voluntary basis. B. The Volunteer desires to offer their time, skills, and services to the Organization without expectation of financial compensation, wages, or employee benefits, and the Organization agrees to accept the Volunteer’s services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Nature of Relationship & Scope of Services

1.1 Status of Parties: The Parties expressly acknowledge and agree that this Agreement does not create an employment relationship, partnership, joint venture, or agency between the Organization and the Volunteer. The Volunteer shall not be entitled to any wages, salary, holiday pay, KiwiSaver contributions, sick leave, redundancy compensation, or any other benefits associated with employment under New Zealand law. 1.2 Scope of Services: The Volunteer agrees to perform the duties and tasks set forth in Schedule A (the "Services") attached hereto and incorporated by reference. The Organization may, from time to time, modify the scope of the Services upon mutual discussion, provided that such modifications do not fundamentally alter the voluntary nature of the engagement. 1.3 Time Commitment: The Volunteer shall provide the Services on the dates, times, and locations specified in Schedule A, or as otherwise agreed upon in writing between the Parties. The Volunteer is under no obligation to accept any request for service, and the Organization is under no obligation to provide work.

2. Compensation & Expenses

2.1 No Remuneration: The Services are provided by the Volunteer on a gratuitous, uncompensated basis. The Volunteer acknowledges that they shall receive no financial remuneration, fees, or profit share for the performance of the Services. 2.2 Reimbursement of Expenses: The Organization shall reimburse the Volunteer for actual, reasonable, and pre-approved out-of-pocket expenses incurred solely and directly in connection with the performance of the Services. All expense claims must be submitted in writing on the Organization's standard expense form, accompanied by valid GST tax invoices or itemized receipts, strictly in accordance with the Organization's internal expense policies. 2.3 No Invoicing: Under no circumstances shall the Volunteer issue invoices for services rendered, hourly rates, or professional fees. Any payment made outside of approved expense reimbursements shall be strictly prohibited to preserve the integrity of the non-employment status.

3. Term & Termination

3.1 Term: This Agreement shall commence on the Effective Date and shall continue in full force and effect until [End Date] or until terminated in accordance with this Section 3 (the "Term"). 3.2 Termination for Convenience: Either Party may terminate this Agreement at any time, with or without cause, and without penalty or liability, by providing not less than [Number, e.g., 7] days' prior written notice to the other Party. 3.3 Termination for Breach: The Organization may terminate this Agreement immediately upon written notice if the Volunteer: (a) commits a serious breach of any term of this Agreement; (b) engages in gross misconduct, dishonesty, fraud, or conduct that brings the Organization into disrepute; (c) breaches the Organization’s policies, code of conduct, or health and safety directives; or (d) acts in a manner inconsistent with the values and mission of the Organization. 3.4 Survival: Upon termination of this Agreement for any reason, all rights and obligations of the Parties shall cease immediately, except that Sections 4 (Intellectual Property), 5 (Confidentiality), 7 (Liability & Indemnification), and 9 (Governing Law) shall survive indefinitely or for such period as specified therein.

Such assignment shall take effect immediately upon creation of the relevant Intellectual Property. 4.3 Moral Rights Waiver: To the maximum extent permitted by the Copyright Act 1994 (NZ), the Volunteer hereby irrevocably consents to any act or omission by the Organization, its successors, licensees, and assigns that would otherwise infringe the Volunteer’s moral rights in respect of any work created under this Agreement. 4.4 Further Assurances: The Volunteer agrees to execute all documents and perform all acts reasonably requested by the Organization, at the Organization’s expense, to perfect, register, or enforce the Organization's rights in the Intellectual Property.

5. Mutual Confidentiality & Non-Disclosure

5.1 Confidential Information: "Confidential Information" means all non-public information disclosed by the Organization to the Volunteer, or accessed by the Volunteer in the course of providing the Services, including but not limited to business operations, financial data, client lists, donor databases, software, trade secrets, and personal information governed by the Privacy Act 2020. 5.2 Obligations of Confidentiality: The Volunteer agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the prior written consent of the Organization; and (c) use Confidential Information solely for the purpose of performing the Services. 5.3 Exclusions: The obligations of confidentiality shall not apply to information that: (a) is or becomes publicly available through no breach of this Agreement by the Volunteer; (b) was already in the Volunteer’s possession prior to disclosure without an obligation of confidentiality; or (c) is required to be disclosed by law, court order, or governmental regulation, provided the Volunteer gives prompt written notice to the Organization. 5.4 Return of Materials: Upon termination of this Agreement, or upon the Organization's request, the Volunteer shall immediately return or destroy all physical and digital materials containing Confidential Information.

8. Dispute Resolution & Arbitration

8.1 Good Faith Negotiations: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement (a "Dispute"), the Parties shall first attempt in good faith to resolve the Dispute through amicable informal negotiations between designated representatives of both Parties. 8.2 Mediation: If the Dispute cannot be resolved through informal negotiations within [Number, e.g., 14] days of notice of the Dispute being given, the Parties shall refer the Dispute to mediation administered by the Arbitrators' and Mediators' Institute of New Zealand (AMINZ).
