INSTITUTIONAL VOLUNTEER ENGAGEMENT AND RELEASE AGREEMENT

DOCUMENT ID: VLA-OPS-2023-V1.0
EFFECTIVE DATE: [Effective Date]
VERSION: 1.0
GOVERNING JURISDICTION: State of [State / Jurisdiction], United States

1. STATUTORY & LEGAL COMPLIANCE NOTICE

LEGAL DISCLAIMER: This institutional volunteer agreement form template is drafted to provide a comprehensive legal framework for the engagement of uncompensated volunteer personnel by corporate, non-profit, or governmental entities. This document contains provisions concerning liability waivers, intellectual property assignment, confidentiality, and independent status. Because employment and volunteer laws vary significantly across federal, state, and local jurisdictions (including the application of the Fair Labor Standards Act, state volunteer protection acts, and workers' compensation statutes), legal counsel licensed within the applicable jurisdiction must review and customize this document prior to execution.

2. PARTIES & RECITALS

This Volunteer Engagement and Release Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

ORGANIZATION: [Company Full Legal Name], a [State of Incorporation/Organization] [Corporation/Non-Profit/LLC] having its principal place of business at [Principal Address] (hereinafter referred to as the "Organization"), and

VOLUNTEER: [Client Full Legal Name], an individual whose principal residential address is at [Principal Address] (hereinafter referred to as the "Volunteer").

RECITALS

WHEREAS, the Organization engages in [Brief Description of Organization's Mission, Business, or Activities];
WHEREAS, the Volunteer desires to donate personal time, energy, and services to assist the Organization with its mission and operations, without expectation of financial compensation, wages, or employee benefits; and
WHEREAS, the Organization agrees to accept the Volunteer’s services subject to the terms, conditions, and covenants set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1: Scope of Engagement & Volunteer Services

1.1 Nature of Engagement. The Organization hereby engages the Volunteer, and the Volunteer hereby accepts engagement, to provide non-compensated volunteer services to the Organization. The specific duties, projects, and operational scope of the Volunteer are detailed in Exhibit A (attached hereto and incorporated by reference), or as otherwise assigned from time to time by authorized representatives of the Organization.

1.2 Supervision and Direction. The Volunteer shall perform all services under the general direction of [Designated Supervisor Title or Name] or such other supervisory personnel as the Organization may designate. The Volunteer shall comply with all reasonable instructions, operational guidelines, policies, and procedures of the Organization.

1.3 Independent Status. The Volunteer acknowledges and agrees that they are acting strictly as an uncompensated volunteer and not as an employee, independent contractor, agent, partner, or joint venturer of the Organization. The Volunteer shall not be entitled to receive any salary, wages, health insurance, retirement benefits, workers' compensation coverage, unemployment insurance, or any other fringe benefits or forms of compensation from the Organization.

Section 2: Zero Compensation & Expense Reimbursement

2.1 No Remuneration. The services provided by the Volunteer are strictly voluntary. The Volunteer explicitly acknowledges that they shall receive zero financial compensation, hourly wages, stipends, or equity grants for any services rendered under this Agreement.

2.2 Pre-Approved Expenses. The Organization shall not be liable for any expenses incurred by the Volunteer in the performance of their duties unless such expenses have been authorized in advance and in writing by an executive officer of the Organization. Reimbursement, if authorized, shall be contingent upon the submission of valid receipts and formal expense reports in accordance with the Organization's standard accounting policies.

Section 3: Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until [End Date] or until terminated earlier pursuant to the provisions of this Section 3 (the "Term"). If no end date is specified, the engagement shall continue on an at-will basis.

3.2 Termination for Convenience. Either party may terminate this Agreement at any time, with or without cause, and without penalty or liability, upon providing [Number, e.g., seven (7)] days' prior written notice to the other party.

3.3 Termination for Cause. The Organization may terminate this Agreement immediately upon written notice to the Volunteer if the Volunteer: (a) breaches any material term, covenant, or policy of this Agreement; (b) engages in gross negligence, willful misconduct, illegal acts, or conduct detrimental to the reputation, safety, or operations of the Organization; or (c) discloses Confidential Information in violation of Section 5.

3.4 Post-Termination Obligations. Upon the expiration or termination of this Agreement for any reason, the Volunteer shall immediately cease all volunteer activities, return all Organization property, keys, equipment, and documents in their possession or control, and execute any terminal verifications required by the Organization.

Section 4: Intellectual Property Ownership & Work Made for Hire

4.1 Definition of Work Product. "Work Product" shall include all inventions, discoveries, designs, developments, methods, processes, software, source code, documentation, data, reports, artwork, photographs, marketing materials, and any other copyrightable or patentable works conceived, developed, authored, or reduced to practice by the Volunteer, either solely or jointly with others, during the Term of this Agreement, that relate in any manner to the actual or demonstrably anticipated business, research, or operations of the Organization, or that are created using the equipment, supplies, facilities, or Confidential Information of the Organization.

4.2 Work Made for Hire. The Volunteer acknowledges and agrees that all Work Product shall be deemed a "work made for hire" for the Organization, as defined under the United States Copyright Act (17 U.S.C. § 101). To the extent that any Work Product does not qualify as a work made for hire, the Volunteer hereby irrevocably and unconditionally assigns, transfers, and conveys to the Organization, without further consideration, all of the Volunteer's worldwide right, title, and interest in and to such Work Product, including all intellectual property rights therein (including copyrights, patents, trademark rights, and trade secret rights).

4.3 Further Assurances. The Volunteer agrees to execute, acknowledge, and deliver any and all documents, instruments, and assignments, and to perform any and all acts reasonably requested by the Organization, at the Organization's expense, to vest, perfect, register, or defend the Organization's complete ownership of all Work Product and related intellectual property rights worldwide.

Section 5: Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" means all non-public information, data, documents, materials, trade secrets, proprietary business plans, financial information, donor lists, client lists, software, technical processes, and operational strategies of the Organization, whether disclosed orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

5.2 Non-Disclosure Obligations. The Volunteer agrees to hold all Confidential Information in strict confidence, to use such information solely for the purpose of performing authorized volunteer services for the Organization, and not to disclose, publish, or disseminate such information to any third party without the prior written consent of an authorized officer of the Organization.

5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement by the Volunteer; (b) was already known to the Volunteer on a non-confidential basis prior to disclosure by the Organization; (c) is lawfully disclosed to the Volunteer by a third party without restriction on disclosure; or (d) is required to be disclosed by law, regulation, or court order, provided that the Volunteer gives prompt written notice to the Organization to enable the Organization to seek a protective order.

Section 6: Representations, Warranties & Compliance

6.1 Volunteer Representations. The Volunteer represents and warrants that: (a) they possess the necessary skills, qualifications, and physical capacity to perform the volunteer services contemplated herein; (b) the execution and performance of this Agreement do not violate any pre-existing legal obligation, contract, or restrictive covenant to which the Volunteer is bound; and (c) they shall comply with all applicable local, state, and federal laws, as well as all safety protocols and codes of conduct established by the Organization.

6.2 Background Checks. If required by the nature of the Organization's operations (e.g., working with minors, vulnerable populations, or handling sensitive financial data), the Volunteer consents to undergo a criminal background check and/or reference verification prior to commencing services, the continuation of this Agreement being expressly conditioned upon satisfactory clearance thereof.

Section 7: Assumption of Risk, Limitation of Liability & Indemnification

7.1 Assumption of Risk. The Volunteer expressly acknowledges and agrees that volunteer activities may involve inherent risks, hazards, and dangers, including physical injury, illness, property damage, or death. The Volunteer hereby freely, voluntarily, and knowingly assumes all such risks, whether known or unknown, foreseen or unforeseen, associated with their participation as a volunteer for the Organization.

7.2 Release and Waiver of Liability. To the fullest extent permitted by applicable law, the Volunteer, for themselves, their heirs, executors, administrators, and assigns, hereby releases, discharges, and holds harmless the Organization, its directors, officers, employees, agents, affiliates, and successors from any and all liabilities, claims, demands, damages, losses, or causes of action of every kind and nature whatsoever, whether at law or in equity, arising out of or relating to any personal injury, property damage, economic loss, or death sustained by the Volunteer during or in connection with the performance of volunteer services under this Agreement, including any claims allegedly caused by the ordinary negligence of the Organization or its agents.

7.3 Indemnification. The Volunteer agrees to defend, indemnify, and hold harmless the Organization, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) the willful misconduct, gross negligence, or unlawful acts of the Volunteer; (b) any breach by the Volunteer of the terms of this Agreement; or (c) any bodily injury, death, or property damage caused by the acts or omissions of the Volunteer to third parties.

Section 8: Dispute Resolution & Arbitration

8.1 Good Faith Negotiation. In the event of any dispute, claim, question, or disagreement arising from or relating to this Agreement or the breach thereof, the parties shall use their best efforts to settle the dispute through direct, good-faith negotiations between authorized representatives of the parties for a period of not less than thirty (30) days.

8.2 Binding Arbitration. If the dispute is not resolved through good-faith negotiations within thirty (30) days, the matter shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator shall have the authority to award legal fees and costs to the prevailing party.

Section 9: Governing Law & Jurisdiction

9.1 Choice of Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles.

9.2 Jurisdiction. Subject to Section 8, each party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State], for any legal action or proceeding arising out of or relating to this Agreement.

Section 10: Miscellaneous

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

10.2 Entire Agreement. This Agreement, including any attached exhibits, constitutes the entire agreement between the Organization and the Volunteer regarding the subject matter hereof, and supersedes all prior or contemporaneous oral or written negotiations, understandings, representations, or agreements.

10.3 Amendments and Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by both parties. No failure or delay by either party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.

10.4 Counterparts and Electronic Execution. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by facsimile, electronic mail in portable document format (.pdf), or via a secure digital signature platform (e.g., DocuSign, Adobe Sign) shall be equally effective as delivery of an original executed counterpart.
