3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: NATURE OF ENGAGEMENT & SCOPE OF SERVICES
1.1 Uncompensated Status. The Volunteer understands and agrees that their relationship with the Organization is strictly that of a volunteer and not that of an employee, independent contractor, agent, or partner. The Volunteer shall not receive any monetary compensation, wages, salary, employee benefits, health insurance, workers' compensation coverage, or pension rights of any kind for services rendered under this Agreement. 1.2 Scope of Services. The Volunteer agrees to perform the volunteer duties and services described in Exhibit A (attached hereto and incorporated by reference), or as otherwise assigned from time to time by authorized representatives of the Organization (the "Services"). 1.3 Standard of Conduct. SECTION 2: TERM & TERMINATION
2.1 Term. This Agreement shall commence on the Effective Date and shall continue until [End Date] or until terminated in accordance with this Section 2 (the "Term").
2.2 Termination for Convenience. Either party may terminate this Agreement at any time, with or without cause, and with or without prior notice, by providing written notice to the other party.
2.3 Termination for Breach or Misconduct. 2.4 Survival. Upon termination of this Agreement for any reason, all rights and obligations of the parties shall cease immediately, except that Sections 3, 4, 5, 6, 7, and 8 shall survive such termination indefinitely.
SECTION 3: INTELLECTUAL PROPERTY & WORK MADE FOR HIRE
3.1 Work Made for Hire. The Volunteer acknowledges and agrees that any and all works of authorship, inventions, designs, code, data, copyrightable materials, trademarks, reports, ideas, or discoveries (whether or not patentable) conceived, created, written, developed, or reduced to practice by the Volunteer, solely or jointly with others, during the Term and within the scope of the Services or utilizing the Organization’s resources, equipment, or confidential information (collectively, the "Work Product"), shall be deemed a "work made for hire" for the Organization under the copyright laws of the United States. 3.2 Assignment of Rights. The Volunteer agrees to execute all documents and take all reasonable actions requested by the Organization, both during and after the Term, to vest, perfect, register, and maintain the Organization's intellectual property rights in the Work Product.
SECTION 4: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

SECTION 5: REPRESENTATIONS, WARRANTIES & COMPLIANCE
5.1 Volunteer Representations. The Volunteer represents and warrants that: (a) they have the full legal capacity, right, and authority to enter into this Agreement; (b) the execution and performance of this Agreement do not violate any other agreement, obligation, or law to which the Volunteer is subject; (c) all information provided by the Volunteer to the Organization in connection with this engagement is true, accurate, and complete; and (d) they possess the necessary skills, qualifications, and physical capability to perform the Services safely and effectively. 5.2 Background Checks. If required by the Organization’s policies or by applicable law (particularly where the Services involve working with minors, vulnerable populations, or financial assets), the Volunteer consents to undergo a criminal background check and/or reference verification. Continued engagement is contingent upon satisfactory results, determined in the sole discretion of the Organization.
SECTION 6: ASSUMPTION OF RISK, LIMITATION OF LIABILITY & INDEMNIFICATION
6.1 Express Assumption of Risk. The Volunteer acknowledges that participation in volunteer activities may involve inherent risks, including but not limited to physical injury, illness, property damage, or death. The Volunteer knowingly, freely, and voluntarily assumes all such risks, both known and unknown, associated with the Services, including travel to and from volunteer sites. 6.2 Release and Waiver of Liability. The Volunteer, for themselves and on behalf of their heirs, executors, administrators, and assigns, hereby fully and forever releases, discharges, and holds harmless the Organization, its directors, officers, employees, agents, successors, and assigns from any and all liability, claims, demands, damages, actions, or causes of action of every kind and nature whatsoever, whether legal or equitable, arising out of or related to any loss, damage, injury, or death sustained by the Volunteer or their property, whether caused by the negligence of the Organization or otherwise, to the fullest extent permitted by law. 6.3 Indemnification. The Volunteer agrees to defend, indemnify, and hold harmless the Organization from and against any and all claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any grossly negligent, reckless, or intentional act or omission by the Volunteer; (b) any breach of this Agreement by the Volunteer; or (c) violation of any applicable law or third-party right by the Volunteer.

7.2 Mandatory Mediation. In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the parties agree first to attempt in good faith to resolve the dispute through confidential mediation administered by a mutually agreed-upon mediator in [City, State] before resorting to litigation or arbitration.

This Agreement, including Exhibit A, constitutes the final, complete, and exclusive statement of the agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous understandings, negotiations, and communications, whether oral or written. 8.2 Amendments and Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by an authorized representative of each party. No failure or delay by either party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof. 8.3 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 8.4 Assignment. The Volunteer may not assign, delegate, or transfer any of their rights or obligations under this Agreement without the prior written consent of the Organization. Any attempted assignment in violation of this section shall be null and void. 8.5 Counterparts & Electronic Signatures.
