INSTRUCTIONS FOR USE

• Completion: The Client and Freelancer must complete all bracketed fields. Ensure the "Scope of Work" (SOW) is explicitly defined in an attachment to avoid "scope creep."
• Filing & Retention: Both parties must retain a signed original of this document for a minimum of seven (7) years following the termination or completion of the contract for tax and audit purposes.
• Mandatory Attachments: Ensure the following are appended: (A) Statement of Work (SOW), (B) Fee Schedule, and (C) Non-Disclosure Agreement (NDA) if applicable.

1. PARTIES

2. SERVICES & DELIVERABLES

Designer agrees to provide UX Design services as defined in the attached SOW.

3. COMPENSATION

Client shall pay Designer according to the following structure:

Upon full payment of all fees, all right, title, and interest in the final deliverables shall vest in the Client as "Work Made for Hire." The Designer retains ownership of pre-existing tools, methodologies, and general design assets used to create the deliverables.

5. TERM AND TERMINATION
