  2. Scope of Services. The Volunteer agrees to perform the Services as described in Exhibit A (if any) or as otherwise directed by their designated Supervisor. The Organization reserves the right to modify the scope of Services at its sole discretion. The Volunteer shall perform the Services in a professional, ethical, and diligent manner, adhering to all reasonable instructions and policies of the Organization.
  3. Term of Agreement. This Agreement shall commence on the Effective Date and shall continue until terminated by either party in accordance with Section 4.3 below. This is an "at-will" arrangement, meaning either party may terminate this Agreement at any time, for any or no reason.
  4. Confidentiality. The Volunteer acknowledges that in performing the Services, they may have access to Confidential Information. The Volunteer agrees to keep all Confidential Information strictly confidential, to use it solely for the purpose of performing the Services for the Organization, and not to disclose, publish, or disseminate such Confidential Information to any third party without the prior written consent of the Organization. The Volunteer is responsible for their own personal health, accident, and liability insurance.
  9. Expense Reimbursement. Any approved reimbursements will be processed in accordance with the Organization's expense policy.
  10. Background Check. The Volunteer acknowledges and agrees that the Organization may, at its discretion and expense, conduct a background check, including but not limited to criminal history, references, and professional licenses, prior to or during the term of this Agreement. 4. Default, Termination, and Remedies

  1. Events of Default. An "Event of Default" shall occur under this Agreement if: a. Either party breaches any material term or condition of this Agreement. b. The Volunteer engages in any act of gross misconduct, insubordination, or violates any laws applicable to the Services. c. The breaching party shall have [30] business days from the receipt of such notice to cure the breach to the reasonable satisfaction of the non-breaching party. Failure to cure within the stipulated period shall constitute an Event of Default.
  3. Termination. a. Termination Without Cause: Either party may terminate this Agreement at any time, for any or no reason, by providing [7] days' prior written notice to the other party. b. Termination For Cause: i. The Organization may terminate this Agreement immediately upon written notice to the Volunteer if: (A) the Volunteer commits an Event of Default that is not curable; (B) the Volunteer fails to cure a remediable Event of Default within the specified cure period; or (C) the Organization determines, in its sole discretion, that the Volunteer's continued provision of Services poses a risk to the Organization's reputation, assets, or personnel. ii. 5. Remedies. In addition to any other remedies available at law or in equity, the Organization shall be entitled to seek injunctive relief to prevent actual or threatened breach of the Volunteer's obligations hereunder, particularly with respect to Confidential Information and Intellectual Property, without the necessity of proving actual damages or posting a bond.
