UNIVERSITY AGREEMENT FOR INTERNSHIP

This University Agreement for Internship (the "Agreement") is entered into as of this [Day] day of [Month], [Year] (the "Effective Date") by and between:

[University Name], an educational institution organized and existing under the laws of [Jurisdiction], having its principal place of business at [University Address] (the "University"); and

[Company Name], a corporation organized and existing under the laws of [Jurisdiction], having its principal place of business at [Company Address] (the "Company").

(Collectively referred to as the "Parties" and individually as a "Party").

RECITALS

WHEREAS, the University maintains academic programs requiring or permitting students to engage in professional work experience;

WHEREAS, the Company desires to provide an internship opportunity to students of the University;

WHEREAS, the Parties desire to establish the terms and conditions under which such internship program shall be conducted to ensure educational objectives and compliance with applicable law;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1 "Intern" means a student currently enrolled in good standing at the University who is selected by the Company to participate in the Program. 1.2 "Program" means the specific professional work experience opportunity offered by the Company to the Intern. 1.3 "Educational Objectives" means the learning goals defined by the University’s curriculum for which the Intern receives academic credit. 1.4 "Intellectual Property" means all inventions, designs, processes, software, and works of authorship developed by the Intern during the Program. 1.5 "Confidential Information" means all non-public, proprietary information disclosed by the Company to the Intern, including but not limited to trade secrets, customer lists, and financial data.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1 Intern Selection: The Company shall be solely responsible for the recruitment and selection of Interns. The University makes no representations or warranties regarding the fitness of any student for the Program. 2.2 Academic Credit: The University shall define the requirements for the Intern to receive academic credit. The Company agrees to provide the University with feedback regarding the Intern’s performance. 2.3 Supervision: The Company shall provide competent professional supervision for the Intern throughout the term of the Program. 2.4 Compliance: The Company shall comply with all applicable local, state, and federal labor laws, including those pertaining to compensation, safety, and non-discrimination. 2.5 Non-Interference: The Program shall be structured in a manner that does not unreasonably interfere with the Intern's academic obligations to the University. 2.6 Insurance: The Company shall maintain, at its sole expense, comprehensive general liability insurance in the amount of at least $[Dollar Amount] per occurrence.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Termination for Convenience: Either Party may terminate this Agreement upon [Number] days' prior written notice to the other Party. 3.2 Termination for Cause: Either Party may terminate this Agreement immediately upon a material breach by the other Party. 3.3 Cure Period: In the event of a breach, the non-breaching Party shall provide written notice detailing the breach. The breaching Party shall have [30] business days to cure said breach. Failure to cure within this period constitutes an Event of Default. 3.4 Remedies: Upon an Event of Default, the non-breaching Party may pursue all legal and equitable remedies available under the laws of [Jurisdiction], including but not limited to specific performance and compensatory damages.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 4.2 Entire Agreement: This Agreement constitutes the entire understanding between the Parties regarding the subject matter hereof and supersedes all prior agreements or negotiations. 4.3 Force Majeure: Neither Party shall be liable for failure to perform duties due to causes beyond its reasonable control, including acts of God, war, or government regulation. 4.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. 4.5 Dispute Resolution: Any dispute arising out of this Agreement shall be submitted to binding arbitration in [City, Jurisdiction] in accordance with the rules of the American Arbitration Association.
