Disclaimer: This template does not constitute specific legal advice. Freight and carriage are heavily regulated by specific statutes (e.g., the Carriage of Goods by Sea Act (COGSA), the Carmack Amendment, or local maritime/logistics law). Users must consult with local counsel to ensure compliance with jurisdictional mandates, mandatory insurance requirements, and specific carrier liability limitations.

2. PARTIES & RECITALS

This Bill of Lading ("Agreement") is entered into as of the Effective Date by and between:

CARRIER: [Carrier Full Legal Name], having its principal place of business at [Carrier Principal Address] ("Carrier").

SHIPPER: [Shipper Full Legal Name], having its principal place of business at [Shipper Principal Address] ("Shipper").

CONSIGNEE: [Consignee Full Legal Name], having its principal place of business at [Consignee Principal Address] ("Consignee").

RECITALS: WHEREAS, Shipper desires to engage Carrier to transport certain goods described herein; and WHEREAS, Carrier agrees to transport said goods subject to the terms and conditions set forth below.

3. OPERATIVE CLAUSES

1. SCOPE OF SERVICES: The Carrier shall receive, transport, and deliver the goods described in the attached Schedule A (the "Goods") from the Port/Point of Origin to the Port/Point of Destination with reasonable dispatch. The Carrier acts as a common carrier and accepts the Goods in apparent good order and condition unless otherwise noted.

2. COMPENSATION & PAYMENT TERMS: Shipper shall pay the freight charges in the amount of [Amount in USD] ("Freight Charges"). Invoices are due net 30 days from the date of receipt. Late payments shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Any milestone payments must be released prior to the release of the Goods at the destination.

3. TERM & TERMINATION: This Agreement commences on the Effective Date and terminates upon the final delivery of the Goods and full satisfaction of payment. Either party may terminate for a material breach by the other party, provided the non-breaching party gives 15 days’ written notice and the breaching party fails to cure such breach within said period.

4. INTELLECTUAL PROPERTY & DATA: All manifests, shipping data, and logistics schedules generated under this Agreement remain the property of the generating party, provided that the Carrier is granted a non-exclusive license to use such data as necessary to perform the Services.

5. MUTUAL CONFIDENTIALITY: Both parties agree to maintain the confidentiality of the terms of this Agreement and any non-public logistics or pricing data. This obligation survives termination for a period of three (3) years.

6. REPRESENTATIONS & WARRANTIES: Each party represents that it has the full legal authority to enter into this Agreement. The Shipper represents that the Goods are accurately described, properly packed, and marked in accordance with all applicable hazardous materials regulations and international shipping standards.

7. LIMITATION OF LIABILITY & INDEMNIFICATION: The Carrier’s liability for loss or damage to the Goods shall be limited to [e.g., $500 per package / SDR equivalent] unless a higher value is declared and additional freight is paid. The Shipper agrees to indemnify and hold harmless the Carrier from any claims, damages, or fines arising from the Shipper's misdeclaration of the nature, weight, or quantity of the Goods.

8. DISPUTE RESOLUTION & ARBITRATION: Any dispute arising out of this Agreement shall be settled by binding arbitration in [City, State] in accordance with the rules of the American Arbitration Association (AAA). Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

9. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
