If the Internship Program is undertaken for Academic Credit, the Intern shall be responsible for providing all necessary documentation, evaluation forms, and syllabi requirements from the Academic Institution to the Host Organization supervisor in a timely manner. The Host Organization agrees to cooperate with the Academic Institution to facilitate the evaluation of the Intern's performance.

3.5. Representations and Warranties

  1. Intern Representations: The Intern represents and warrants that:
    • They possess the legal right and capacity to enter into this Agreement and participate in the Internship Program.
    • Their participation in the Internship Program does not and will not breach any agreement with any third party, including former employers, academic institutions, or contracting parties.

4.2. Notice and Cure Periods

In the event of an alleged non-material breach, the non-defaulting Party shall provide written notice detailing the exact nature of the default. The defaulting Party shall have a cure period of thirty (30) business days from receipt of such notice to rectify the default to the reasonable satisfaction of the non-defaulting Party. If the default is not cured within the specified cure period, the non-defaulting Party may exercise its right to terminate this Agreement immediately upon written notice.

4.3. Termination for Cause

The Host Organization reserves the right to terminate this Agreement and the Internship Program immediately without prior notice or cure period in the event of a Material Breach by the Intern, or if the Intern engages in conduct that brings disrepute upon the Host Organization, compromises data security, or violates criminal laws.

4.4. Termination Without Cause

Any Party may terminate this Agreement without cause upon providing at least fourteen (14) calendar days' prior written notice to all other Parties. Upon receipt of such notice, the Intern shall complete pending transitional tasks as directed by the Host Organization and return all Host Organization property.

4.5. Legal Recourse and Remedies

In the event of a breach of confidentiality or intellectual property provisions, the Host Organization shall suffer irreparable harm for which monetary damages alone would be inadequate. Consequently, the Host Organization shall be entitled to seek injunctive relief, specific performance, and any other equitable remedies available under the law, in addition to monetary damages and reasonable attorneys' fees, without the necessity of posting a bond.
