3. PARTIES & DEFINITIONS

This Residential Tenancy Agreement (hereinafter referred to as the "Agreement") is entered into and made effective as of [Date, e.g., 15th day of November, 2023], by and between:

4. OPERATIVE CLAUSES & TERMS

Clause 1: Grant of Tenancy

1.1 The Landlord hereby lets, and the Tenant hereby takes, all that residential property situated at [Physical Address of Property, Plot Number, Township, City, Zambia], including fixtures, fittings, and appurtenances described in the Inventory Schedule attached hereto (hereinafter referred to as the "Demised Premises").
1.2 The Tenancy shall be for a fixed term of [Number] [Months/Years], commencing on [Start Date] and expiring on [End Date] (hereinafter referred to as the "Term"), unless determined earlier in accordance with the provisions of this Agreement.

Clause 2: Rent and Payment Terms

2.1 The Tenant shall pay to the Landlord an aggregate annual rent of [Currency, e.g., Zambian Kwacha (ZMW)] [Amount in Figures] ([Amount in Words]), payable in advance in [monthly / quarterly / semi-annual] installments of [Installment Amount] on or before the [Day, e.g., 1st] day of each respective billing period.

Clause 3: Security Deposit

3.2 The Deposit shall be held by the Landlord as security for the faithful performance by the Tenant of all terms, covenants, and conditions of this Agreement, including property damage, unpaid utilities, and rental arrears.
3.3 The Landlord shall refund the Deposit to the Tenant (without interest) within [e.g., 21] days following the expiration or lawful termination of this Agreement, subject to the deduction of any sums reasonably necessary to rectify breaches of tenant obligations or damage beyond normal wear and tear.

Clause 4: Utilities and Outgoings

4.1 The Tenant shall be solely responsible for and shall punctually pay all charges relating to utilities consumed on the Demised Premises during the Term, including but not limited to electricity (ZESCO), water and sewerage (e.g., Lusaka Water Supply and Sanitation Company or local municipal equivalent), and garbage collection services.
4.2 The Tenant shall provide proof of utility account clearance to the Landlord upon request and upon the termination of this Agreement.

Clause 5: Use of the Demised Premises

5.1 The Tenant shall use the Demised Premises strictly for private residential purposes only for the Tenant and their immediate family members, and shall not use, or permit the Demised Premises to be used, for any commercial, industrial, immoral, or illegal activity whatsoever.
5.2 The Tenant shall not assign, sublet, or part with possession of the Demised Premises or any part thereof without the express prior written consent of the Landlord.

Clause 6: Maintenance, Repairs, and Alterations

6.1 The Landlord shall maintain the structural elements of the Demised Premises, including the roof, main walls, foundations, and external plumbing and electrical mains, in a tenantable state of repair.
6.2 The Tenant shall, at the Tenant’s own expense, maintain the interior of the Demised Premises, including windows, doors, interior light fittings, sanitary fixtures, and locks, in good clean order and condition (fair wear and tear excepted).
6.3 The Tenant shall not make any structural alterations, additions, or improvements to the Demised Premises without obtaining the prior written consent of the Landlord.

Clause 7: Landlord’s Right of Entry

7.1 The Landlord, or the Landlord's authorized agents, surveyors, or workmen, shall be entitled to enter upon the Demised Premises at reasonable times during daylight hours, upon giving at least [e.g., 24] hours' prior written or electronic notice to the Tenant, to inspect the condition thereof, execute necessary repairs, or show the premises to prospective buyers or future tenants during the final [60] days of the Term.

Clause 8: Default and Termination

8.1 If the rent hereby reserved, or any part thereof, shall remain unpaid for [e.g., 14] days after becoming payable (whether formally demanded or not), or if the Tenant commits any material breach of the covenants herein contained, the Landlord shall be entitled to serve a formal notice to remedy the breach or re-enter the Demised Premises (subject to compliance with the Rent Act, Cap. 206, and relevant procedural laws of Zambia), and thereupon this Agreement shall absolutely determine, without prejudice to any antecedent claims or rights of action.
8.2 Either party may terminate this Agreement prior to the expiration of the fixed Term by giving [e.g., 2] months' prior written notice to the other party, or by paying [e.g., 2] months' rent in lieu of notice.

Clause 9: Governing Law and Dispute Resolution

9.1 This Agreement shall be governed by, construed, and enforced in accordance with the Laws of the Republic of Zambia.
9.2 Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation or breach, shall be settled amicably through good-faith negotiation. If such negotiations fail within [14] days, the dispute shall be referred to arbitration in accordance with the Arbitration Act No. 19 of 2000 of the Laws of Zambia, or submitted to the relevant Rent Tribunal or courts of competent jurisdiction in Zambia.
