INSTRUCTIONS FOR USE

• Completion: Both the Client and the Freelancer must complete all bracketed fields. Ensure the Scope of Work (Exhibit A) is detailed to mitigate future scope creep.
• Filing/Retention: Retain the original executed agreement in your secure corporate contract repository for a minimum of seven (7) years post-termination.
• Attachments: Mandatory attachments include: Exhibit A (Scope of Work), Exhibit B (Fee Schedule/Payment Terms), and a W-9 or equivalent tax identification document.

1. PARTIES

2. SERVICES

Freelancer agrees to perform the services described in Exhibit A (the “Services”). Freelancer shall perform the Services in a professional manner, consistent with industry standards.

• Termination for Convenience: Either party may terminate with [______] days written notice.
• Termination for Cause: Client may terminate immediately upon any material breach by the Freelancer.

5. INTELLECTUAL PROPERTY (WORK FOR HIRE)

All deliverables created under this Agreement shall be considered "work made for hire" and shall be the sole and exclusive property of the Client. Freelancer hereby assigns all rights, title, and interest therein to the Client.

6. CONFIDENTIALITY

Freelancer acknowledges that they may have access to Client’s proprietary information. Freelancer agrees to hold all such information in strict confidence and not disclose it to any third party without prior written consent.

7. INDEPENDENT CONTRACTOR STATUS

Freelancer is an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, or joint venture relationship. Freelancer is solely responsible for all taxes, withholdings, and insurance.

8. GOVERNING LAW

This Agreement shall be governed by the laws of the State of [____________]. Any disputes shall be resolved in the courts of [____________].
