3.1 Grant and Term

The Landlord hereby demises and leases the Premises to the Tenant, and the Tenant hereby takes and hires the Premises from the Landlord, for the Term, subject to the rents, covenants, conditions, and stipulations hereinafter detailed.

3.2 Rent and Payment Mechanics

  1. Base Rent: The Tenant covenants and agrees to pay to the Landlord the Base Rent in advance, without demand, set-off, or deduction, on the first (1st) day of each calendar month during the Term, by electronic funds transfer to an account designated in writing by the Landlord.
  2. Additional Rent: The Tenant shall pay all Additional Rent as and when billed by the Landlord. Failure to pay Additional Rent shall constitute a default in the payment of rent.
  3. Apportionment: If the Term commences on a day other than the first day of a calendar month, or terminates on a day other than the last day of a calendar month, the Base Rent for such fractional month shall be appropriately prorated on a per diem basis.

3.3 Security Deposit

Upon the execution of this Agreement, the Tenant shall deposit the Security Deposit with the Landlord. The Landlord shall hold the Security Deposit during the Term as security for the performance of the Tenant's obligations. The Landlord may apply all or part of the Security Deposit to cure any Default by the Tenant. If the Landlord applies any portion of the Security Deposit, the Tenant shall restore the Security Deposit to its original amount within ten (10) business days of written demand. The Security Deposit, without interest, shall be returned to the Tenant within thirty (30) days following the expiration of this Agreement and surrender of the Premises, subject to deductions for damages or unpaid sums.

3.4 Use and Compliance with Laws

  1. Permitted Use: The Tenant shall use and occupy the Premises solely for the Permitted Use. The Tenant shall not use, or permit the Premises to be used, for any unlawful purpose or in any manner that would void or increase the rate of insurance on the Property.
  2. Statutory Compliance: The Tenant shall, at its sole cost and expense, promptly comply with all applicable laws, statutes, ordinances, codes, rules, regulations, and orders of any governmental or regulatory authority having jurisdiction over the Premises.

3.5 Maintenance, Repairs, and Alterations

  1. Tenant Maintenance: The Tenant shall, at its sole expense, keep the interior of the Premises in good, clean, and tenantable repair, order, and condition.
  2. Landlord Maintenance: The Landlord shall maintain, repair, and keep in structural soundness the foundations, exterior walls, roof, structural framing, and common areas of the Property.
  3. Alterations: The Tenant shall not make any structural alterations, additions, or improvements to the Premises without the Landlord's prior written consent, which consent shall not be unreasonably withheld, conditioned, or delayed. All non-structural alterations shall comply with applicable building codes and receive prior written notification.

3.6 Representations and Warranties

  1. Landlord Representations: The Landlord represents and warrants that it has full legal right, power, and authority to enter into this Agreement and to lease the Premises to the Tenant, and that the Tenant shall peaceably and quietly hold and enjoy the Premises during the Term without interruption by the Landlord or any person claiming under the Landlord, subject to the terms hereof.
  2. Tenant Representations: The Tenant represents and warrants that it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation, and has full corporate power to execute, deliver, and perform its obligations under this Agreement.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default

The occurrence of any of the following shall constitute an "Event of Default" by the Tenant under this Agreement:

  1. Failure by the Tenant to pay any installment of Base Rent, Additional Rent, or any other monetary obligation within ten (10) business days after the same becomes due.
  2. Failure by the Tenant to observe or perform any non-monetary covenant, condition, or agreement contained in this Agreement for a period of thirty (30) business days after written notice specifying the breach has been delivered to the Tenant.
  3. The filing of a petition by or against the Tenant under any bankruptcy, insolvency, or similar law, or the appointment of a receiver, administrative receiver, liquidator, or trustee for all or a substantial portion of the Tenant's assets.
  4. The abandonment or vacation of the Premises by the Tenant for a continuous period exceeding twenty-one (21) days.

4.2 Notice and Cure Periods

Except for payment defaults (which shall be governed by Section 4.1(1)), the Tenant shall have a strict cure period of thirty (30) business days from the date of receipt of written notice from the Landlord to remedy any remediable Event of Default. If the nature of the default is such that it cannot reasonably be cured within thirty (30) business days, the Tenant shall not be in Default if it commences the cure within said period and diligently prosecutes the same to completion.

4.3 Landlord Remedies

Upon the occurrence of any Event of Default, and at any time thereafter while the Event of Default is continuing, the Landlord may, at its sole option and without prejudice to any other rights or remedies provided by law or equity, exercise any of the following remedies:

  1. Termination: Terminate this Agreement and the Tenant's right to possession of the Premises by giving written notice of termination, whereupon the Tenant shall immediately surrender the Premises to the Landlord.
  2. Re-Entry: Re-enter the Premises, by summary proceedings or otherwise, and expel the Tenant and any occupants, and remove all property therefrom, without being liable for any prosecution or damages therefor.
  3. Damages: Recover from the Tenant all damages incurred by the Landlord as a result of the Event of Default, including past-due rent, the present value of the-loss of future rent for the remainder of the Term, reasonable legal fees, and costs of re-letting the Premises.
  4. Interest: Charge interest on all overdue sums at the Interest Rate, calculated from the date due until paid in full.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed stricken, and the validity, legality, and enforceability of the remaining provisions of this Agreement shall not in any way be affected or impaired thereby.

5.2 Entire Agreement

This Agreement, together with any schedules and exhibits attached hereto, constitutes the entire agreement between the Landlord and the Tenant with respect to the subject matter hereof and supersedes all prior negotiations, representations, understandings, and agreements, whether written or oral. No modification or amendment to this Agreement shall be valid unless executed in writing by authorized representatives of both Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from a Force Majeure event, provided that the affected Party gives prompt written notice to the other Party stating the period of time the occurrence is expected to continue and uses commercially reasonable efforts to resume performance as soon as practicable.

5.4 Governing Law and Jurisdiction

This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of England and Wales. Each Party irrevocably agrees that the courts of [Jurisdiction, e.g., London, England] shall have exclusive jurisdiction to settle any dispute or claim arising hereunder.

5.5 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity, the Parties shall first attempt in good faith to resolve the matter through senior management negotiations. If the dispute is not resolved within thirty (30) days of the initial notification of the dispute, either Party may refer the matter to binding arbitration administered by [Arbitration Body, e.g., the London Court of International Arbitration (LCIA)] in accordance with its Arbitration Rules.
