6.1 Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by any court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be deemed deleted, and the remaining provisions shall continue in full force and effect.
6.2 Entire Agreement: This Agreement, including any attached Schedules and the incorporated Master Lease, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior drafts, agreements, negotiations, and understandings, whether oral or written.
6.3 Force Majeure: Neither Party shall be held liable for any failure or delay in performing its obligations under this Agreement if such failure arises from acts of God, war, terrorism, civil commotion, pandemics, statutory lockdowns, fire, flood, or any other cause beyond the reasonable control of the affected Party (excluding financial inability). Performance shall be excused only for the duration of such force majeure event.
6.4 Governing Law and Jurisdiction: This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of England and Wales.
